Chapter 1: The Most Typical Forms of Stocks
When a company is established, the only shareholders are the early investors (probably friends and family) and the co-founders. For example, if the company has two investors and two co-founders, each individual may own one-fourth of the total shares. As the company flourishes, it may need additional fund or capital to expand. The company may choose to issue shares or stocks to interested investors.
The originators may have a lower percentage of shares compared to when they first started. During such stage, the company shares were considered private. In most cases, it is not easy to exchange private shares, and there are only a few shareholders who have them.
As the company continues to grow, there are times when the early investors may want to sell their shares. At the same time, the company may also need to gain more investments than the private investors can provide. The company, at this point, should make an initial public offering or IPO. Such move will transform it from private to public.
Companies may also issue these other two usual types of stock: common stock and preferred shares.
