APPENDIX B: Capital Restructuring of Beijing iJoy Before Acquistion

Exhibit 1 Articles of Association of Beijing iJoy
The first page of Articles of Association of Beijing iJoy shows three shareholders contributed the
2nd tranche of registered capital in total amount of RMB 3 million on April 21, 2011. So, the
total capital injection increased to RMB 5 million.

After this RMB 3 million capital contribution, there was no any further cash contribution into the
company before acquisition. Peng Yang, Hu Yiwen and Shu Huaying contributed RMB 1.75,
RMB1.625 and RMB 1.625 mln respectively.

Peng Yang. After this transaction, Peng Yang holds 100% stakes in Beijing iJoy.

Inconsistent Registered Business Scope and Licensing

BKHT and XYHT are examples, with bizarre entries such as technology development, information
consulting, cultural exchange, conference service, advertising and logo design.

Translation of Enterprise Registration Form for XYHT.
The registered capital is RMB 30,000. The business scope includes technology development,
information consulting, cultural exchange, conference service, advertising and logo design.

Translation of SAIC filing by BKHT. The legal representative was changed to Wang Jingbo, a
relative person of Cheng Ran. The business scope includes the sale of machines, construction
materials, instruments, car accessories, stationary, light, computers, plastic and rubber material.

Cheng Ran Missing from Registrations. All seven MNS Entities are registered under Chengs wife,
sister or friend.

XYHT and ZBXT are good examples.
