Title: Company Management: A Study on the Legal Centric Approach

Introduction:
The new Companies Act duly and explicitly clarifies and enlarges the ambit of duties and
responsibilities of the directors. These newly introduced provisions in the Companies Act 2013
regarding the duties and responsibilities of the directors including the independent directors, not
only provide greater certainty to the directors regarding their conducts and responsibilities but
also ensures better corporate management and governance. Sec 2(34) defines director appointed
to the board of a company. Thus, it denotes that a person who is appointed to the position of a
director in a board of a company is the Director. In this project, I will try to understand the legal
position of the Directors with respect to the new Act by trying to delve more into the
management and governance of a company. One of the notable inclusion in the new Companies
Act has been the introduction of the Independent Directors to the Board of a Company . In this
research paper I will try to draw a distinction with a director and independent director regarding
their duties and functions.
