1. Introduction
The City of Redwood City, California (City) is soliciting Bids from qualified commercial carpet
installers(Contractor)toreplacecarpetandcovebasefortheChildcareCenterandSeniorCenter
locatedwithintheFairOaksCommunityCenter(2600MiddlefieldRoad,RedwoodCity,CA94063).
Thesuccessfulcontractorwillfurnish,installandprovideallInterfacemanufacturedcarpetsquares
and ancillary materials needed to provide a complete product. The Childcare Center and Senior
Center (located within the Fair Oaks Community Center) have slightly different requirements,
therefore, the successful contractor will work closely with Redwood City staff during the entire
project.AllareaswithintheChildcareCenterandSeniorCentershallbereturnedtotheiroriginal
condition,includingfurniture,computers,desks,chairs,equipment,supplies,etc.priortotheend
ofthecontractorsworkshift.

5. InstructionstoContractors

5.1.

ExaminationofBidDocuments
The submission of a Bid shall be deemed a representation and certification by the
Contractorthatthey:
Havecarefullyreadandfullyunderstandtheinformationthatwasprovidedby
theCitytoserveasthebasisforthesubmittedBid.
Havethecapabilitytosuccessfullyundertakeandcompletetheresponsibilities
andobligationsofthesubmittedBid.
Represent that all information contained in their submitted Bid is true and
correct.
Didnot,in anyway,collude;conspiretoagree,directlyorindirectly,withany
person,firm,corporationorotherContractorinregardtotheamount,termsor
conditionsofthesubmittedBid.
AcknowledgethattheCityhastherighttomakeanyinquiryitdeemsappropriate
to substantiate or supplement information supplied by Contractor, and
Contractor hereby grants the City permission to make these inquiries, and to
provideanyandallrelateddocumentationinatimelymanner.

NorequestformodificationofthesubmittedBidshallbeconsideredafteritssubmission
ongroundsthatContractorwasnotfullyinformedtoanyfactorcondition.

5.2.

5.3.

WithdrawalofBids
A Contractor may withdraw its Bid at any time before the NIB Submittal Deadline by
deliveringawrittenrequestforwithdrawalsignedby,oronbehalfof,theContractor.

5.4.

RightsoftheCityofRedwoodCity
ThisNIBdoesnotcommittheCitytoenterintoacontract,nordoesitobligatetheCity
topayforanycostsincurredinpreparationandsubmissionofBidsorinanticipationof
acontract.TheCityreservestherightto:

Maketheselectionbasedonitssolediscretion;
RejectanyandallBids;
IssuesubsequentNIBs;
Postponecontractstartdateforitsownconvenience;
RemedytechnicalerrorsintheNIBprocess;
Approveordisapprovetheuseofparticularsubcontractors;
Negotiatewithany,allornoneoftheContractors;
Acceptotherthanthelowestoffer;
CanceltheNIBandrejectanyandallBidsinwholeorinpartwhenitisinthebest
interestoftheCity;
WaiveinformalitiesandirregularitiesintheBids;
Enter into an agreement with another Contractor in the event the originally
selectedContractordefaultsorfailstoexecuteanagreementwiththeCityand
or
EnterintoanagreementwithmultipleContractorsfordifferentportionsofwork
asoutlinedinAttachmentA(ScopeofServices).

AnagreementshallnotbebindingorvalidwiththeCityunlessanduntilitisexecutedby
authorizedrepresentativesoftheCityandoftheContractor.

7. BidCost
TheContractorssubmittedBidwillincludeaBidCostthatincludestheinformationonAttachment
C(SampleBidCostFormat).Allsubmittedcostsmustbeinclusive;andincludelabor,material,and

equipment necessary for each task listed in Attachment A (Scope of Services). Provision of this
information assists the City in determining whether the Contractor understands the project,
whetherthecostsarefairandreasonableinlightoftheservicestobeprovided,andprovidesCity
staffwithtoolstonegotiatethefinalcost.

8. BidPreparation
TheContractorshallberesponsibleforallcostsincurredinthedevelopmentandsubmissionoftheir
Bid. The City assumes no contractual obligation as a result of the issuance of this NIB, the
preparationorsubmissionofaBidbyaContractor,theevaluationofanacceptedresponse,orthe
selection of finalists. The City shall not be contractually bound until the City and the successful
Contractorhaveexecutedawrittencontractforperformanceofthework.TheCityofRedwoodCity
doesnotpayforservicesbeforeitreceivesthem.SubmittedBidsshouldnotproposecontractterms
thatrequireupfrontpaymentordeposits.

9. InvoicingandPaymentTerms
Uponcompletionoftheproject,CitystaffandtheContractorwillscheduleafinalsitewalkthrough
to ensure the completed work meets all the requirements set forth in Attachment A (Scope of
Services).

IfthecompletedworkmeetsalloftherequirementssetforthinAttachmentA(ScopeofServices)
andnorevisionstothecompletedworkarerequiredbytheContractor,theContractorcansendan
invoicefor100%oftheBidCosttotheCity.

IfthecompletedworkdoesnotmeetalloftherequirementssetforthinAttachmentA(Scopeof
Services)andadditionalworkisrequiredbytheContractortomeettherequirementssetforthin
AttachmentA(ScopeofServices),theContractorcansendaninvoicefor70%oftheBidCosttothe
City.

Once the additional work is completed by the Contractor and accepted by the City (after an
additionalsitewalkthroughoncetheadditionalworkiscompleted),theContractorcansendan
invoicefortheremaining30%oftheBidCosttotheCity.

AllinvoicescanbesenttotheattentionoftheProjectManager(listedinSection3ofthisNIB).
Invoicesarecustomarilypaidonanet30daybasis.

10. WorkGuarantee
Uponcompletionofwork,Contractorwillguaranteeforone(1)fullyearfromthedateofthefinal
completion of the work and acceptance by City staff, to repair or replace any part of the work
performed which constitutes a defect resulting from the use of inferior or defective materials,
equipmentorworkmanship.

If,withinsaidperiod,anyrepairsorreplacementsinconnectionwiththeworkare,intheopinionof
theCitystaff,renderednecessaryasaresultoftheuseofinferiorordefectivematerials,equipment
orworkmanship,Contractoragrees,uponreceiptofnoticefromCity,andwithoutexpensetothe
City,topromptlyrepairorreplacesuchmaterialsorworkmanshipand/orcorrectanyandalldefects

therein.IfContractor,aftersuchnotice,failstoproceedpromptlytocomplywiththetermsofthis
guarantee,Citymayperformtheworknecessarytoeffectuatesuchcorrectionandrecoverthecost
thereoffromContractororhissureties.

Anyandallotherspecialguaranteeswhichmaybeapplicabletodefinitepartsoftheworkdefined
inAttachmentA(ScopeofServices)shallbeconsideredasanadditionalguaranteeandshallnot
reduceorlimittheguaranteeasprovidedbyContractorpursuanttothisparagraphduringthefirst
yearoflifeofsuchguarantee.

11. HoldHarmless
Contractor hereby agrees to indemnify and hold harmless City, its Council, officers, boards,
commissions,agentsandemployees,ofandfromanyandallclaims,suitsoractionsofeveryname,
kind,anddescriptionwhichmaybebroughtagainstCity,itsCouncil,officers,boards,commissions,
agents, or employees by reason of any injury to or death of any person of damage suffered or
sustainedbyanypersonorcorporation,causedby,orallegedtohavebeencausedby,anyactor
omission to act, negligent or otherwise, of Contractor, its officers, agents or employees in the
performanceofanyworkrequiredofContractorbythisAgreement.

12. InsuranceRequirements
Contractor, at its sole cost and expense, shall acquire and maintain in full force and effect
throughout the term of the work laid forth in Attachment A (Scope of Services), Workers
Compensation insurance, Employers Liability insurance, Commercial General Liability insurance,
andowned,nonownedandhiredAutomobileLiabilityinsurancecoveragerelatingtoContractors
worktobeperformedsetforthinAttachmentA(ScopeofServices),coveringCitysrisksinform
subjecttotheapprovaloftheCityAttorney.

PriortotheCitysexecutionoftheAgreement,theselectedContractorwillfurnishcertificatesof
insuranceandendorsementstotheCity.SpecificdetailscanbefoundinAttachmentC(Sample
GeneralServicesAgreement).

Statutory Workers Compensation Insurance and Employers Liability Insurance for any and all
personsemployeddirectlyorindirectlyforContractorwithlimitsnotlessthan$1,000,000.

CommercialGeneralandAutomobileLiabilityinsuranceinanamountnotlessthan$1,000,000per
occurrence.

13. BusinessLicense
ThesuccessfulContractorthatisselectedwillberequiredtobelicensedinaccordancewiththeCity
ofRedwoodCityBusinessLicenseOrdinance,MunicipalCodeChapter3.40through3.96,entitled
"Business Tax". Business license information (application, ordinance, fees) can be found by
navigatingtotheCityofRedwoodCityhomepage(www.redwoodcity.org)andselectingBusiness,
StartingaBusiness,Permits,andBusinessLicenses.

14. ReviewandSelectionProcess
CitystaffwillevaluatetheBidsbasedonthefollowingcriteria:

QualityandcompletenessofBid;
Quality,performance,andeffectivenessofservicestobeprovidedbytheContractor;
Contractorsexperience,includingtheexperienceofstafftobeassignedtotheproject,
theengagementsofsimilarscopeandcomplexity;
CosttotheCity(Bidpricealonewillnotbethesoledeterminingfactor);
Contractorsabilitytoperformtheworkwithinthetimespecified;
Contractorspriorrecordofperformance(includingsafetyrecord)withCityorother;and
Contractorscompliancewithapplicablelaws,regulations,policies(includingCityCouncil
policies),guidelinesandordersgoverningpriororexistingcontractsperformedbythe
Contractor.

The City reserves the right to reject any or all Bids and to determine which Bid is, in the City's
judgment,themostresponsive.TheCityalsoreservestherighttowaiveanyinformalityinanyBid
andtodeletecertainitemslistedintheBidassetforththerein.

TheCitysselectioncommitteewillmakearecommendationtotheawardingauthority.Written
NoticeofAwardwillbemadetothesuccessfulContractor.

15. AwardofContract

15.1. WhenAwardOccurs
Award of contract occurs when a Purchase Order is issued or other evidence of
acceptancebytheCityisprovidedtotheContractor.ARecommendationofAwarddoes
notconstituteawardofcontract.

15.2. PurchaseOrder
IfaPurchaseOrderisawarded,itshallbeawardedtotheresponsiveandresponsible
ContractorwhoseBidfollowedalldirectionsintheNIBandwouldbemostadvantageous
totheCityassetforthintheReviewandSelectionProcess.Theawardofthiscontract
will not be based on price alone. Factors that would affect the final cost to and the
benefitstobederivedbytheCitywillbeconsidered.TheCityreservestherighttoreject
anyandallbidsandtowaiveanyinformalityinbidsreceived.

16. PublicNatureofBidMaterial
ResponsestothisNIBbecometheexclusivepropertyoftheCity.Atsuchtime,recommendationof
AwardofContractismadetotheCityManagerortheCityCouncil,asapplicable,allBidsreceived
inresponsetothisNIBbecomesamatterofpublicrecordandshallberegardedaspublicrecords,
withtheexceptionofthoseelementsineachBidwhicharedefinedbytheContractorasbusiness
ortradesecretsandplainlymarkedasConfidential,TradeSecret,orProprietary.TheCity
shallnotinanywaybeliableorresponsibleforthedisclosureofanysuchBidorportionsthereof,if
they are not plainly marked as Confidential,Trade Secret, or Proprietary of if disclosure is
requiredunderthePublicRecordsAct.AnyBidwhichcontainslanguagepurportingtorenderallor
significantportionsoftheBidConfidential,TradeSecret,orProprietaryshallberegardedas
nonresponsive.

Although the California Public Records Act recognizes that certain confidential trade secret
information may be protected from disclosure, the City may not accept or approve that the
informationthataContractorsubmitsisatradesecret.Ifarequestismadeforinformationmarked
as Confidential, Trade Secret, or Proprietary, the City shall provide the Contractor who
submittedtheinformationwithreasonablenoticetoallowtheContractortoseekprotectionfrom
disclosurebyacourtofcompetentjurisdiction.

17. Collusion
BysubmittingaBid,eachContractorrepresentsandwarrantsthatitsBidisgenuineandnotasham
or collusive or made in the interest of or on behalf of any person not named therein; that the
ContractorhasnotdirectlyinducedorsolicitedanyotherpersontosubmitashamBidoranyother
person to refrain from submitting a Bid; and that the Contractor has not in any manner sought
collusiontosecureanyimproperadvantageoveranyotherpersonsubmittingaBid.

18. FairDealing/ConflictofInterest
TheContractorwarrantsthatnogratuities,intheformofentertainment,giftsorotherwise,were,
orwillbeofferedorgivenbytheContractor,oranyagentorrepresentativeoftheContractortoany
officer or employee of the City with a view toward securing a recommendation of award or
subsequent contract or for securing more favorable treatment with respect to making a
recommendationofaward.

TheContractorwarrantsthatitpresentlyhasnointerestandshallnotacquireanyinterest,direct
orindirect,whichwouldconflictinanymannerordegreewiththeperformanceofservicesrequired
underthecontractresultingfromthisNIB.TheContractoralsowarrantsthat,tothebestofits
knowledge,noofficer,agentoremployeeoftheCitywhoshallparticipateinanydecisionrelating
to this NIB and the resulting contract, currently has, or will have in the future, a personal or
pecuniaryinterestintheContractorsbusiness.

19. Disqualification
AContractorwillbedisqualifiedfromtheNIBprocessifanyofthefollowingapplytotheContractor:

Evidenceofcollusion,directlyorindirectly,amongContractorsinregardtotheamount,
termsorconditionsofthisNIB;
Anyattempttoimproperlyinfluenceanymemberoftheselectioncommittee;
Existenceofanylawsuit,unresolvedcontractualclaimordisputebetweenContractor
andtheCity;
EvidenceofincorrectinformationsubmittedaspartoftheBid;
Evidence of Contractors inability to successfully complete the responsibilities and
obligationoftheBid,and;
Contractors default under any previous agreement with the City, which results in
terminationoftheAgreement.

20. NonConformingBid
ABidshallbepreparedandsubmittedinaccordancewiththeprovisionsoftheseNIBinstructions
andspecifications.Anyalteration,omission,addition,variance,orlimitationof,fromortoaBid
maybesufficientgroundsfornonacceptanceoftheBid,atthesolediscretionoftheCity.

AttachmentAScopeofServices

1) Background:
TheCityofRedwoodCity,California(City)issolicitingBidsfromqualifiedcommercialcarpet
installers(Contractor)toreplacecarpetandcovebasefortheChildcareCenterandSenior
CenterlocatedwithintheFairOaksCommunityCenter(2600MiddlefieldRoad,RedwoodCity,
CA94063).Thesuccessfulcontractorwillfurnish,installandprovideallInterfacemanufactured
carpet squares and ancillary materials needed to provide a complete product. The Childcare
CenterandSeniorCenter(locatedwithintheFairOaksCommunityCenter)haveslightlydifferent
requirements, therefore, the successful contractor will work closely with Redwood City staff
during the entire project. All areas within the Childcare Center and Senior Center shall be
returnedtotheiroriginalcondition,includingfurniture,computers,desks,chairs,equipment,
supplies,etc.priortotheendofthecontractorsworkshift.

ThenormalhoursofoperationfortheChildcareCenterandSeniorCenteraregenerallyMonday
Friday,8amto4pm.Workwillnotoccurduringthesenormalhoursofoperationsothatthe
participantsoftheChildcareCenterandSeniorCenterarenotdisplaced.

Listedbelowarethepreferredinstallationdates,inorderofpreference.Theenclosedbidsheet
willallowyoutoindicatewhetheryourcompanycanaccommodatethepreferreddate/time
combinationsandinwhatorder(example:1stChoice,3rdChoice,2ndChoice).

AsitewalkthroughisscheduledforFriday,April25,2014at11am.Pleasemeetatthebenches
infrontoftheFairOaksCommunityCenter(2600MiddlefieldRoad,RedwoodCity,CA94063).

At11am,RedwoodCitystaffwillcollectthenamesandcontactinformationforallcontractors
presentandstartthesitewalkthrough.

5) InstallationDetails
a) WorkSchedule
i) ThesuccessfulContractorwillsubmitaworkscheduletotheProjectManageratleast
oneweekpriortotheplannedworkstartdate.
ii) Once the work schedule is agreed upon, any proposed changes will be immediately
coordinated with the Project Manager, but not less than 24 hours in advance of the
performanceofworkforanyparticularworkspace.Workshallnotcommenceinany
workspacewithoutpriorcoordinationwiththeProjectManager.
iii) During performance of work, the Contractor will brief the Project Manager or other
RedwoodCitystaff(designatedbytheProjectManager)ontheplannedactivitiesforthe
nextday.

b) FurnitureMoving
i) The Contractor will be responsible for moving furniture and other equipment for the
removalofexistingcarpetandtheinstallationofnewcarpettile.
ii) Allworkspacecomputers,phones,datalinesandelectricaldevicesshallstayintactand
shallnotbeunpluggedunlesscoordinatedwiththeProjectManager.
iii) TheProjectManagerwillensurethatCityemployeespersonaleffectsareboxedateach
workstationand/orreadytobemovedpriortothestartoftheworkshift.
iv) AttheendoftheContractorsworkshift,allfurniture,equipmentandboxeditemsshall
bereturnedtotheiroriginallocations.

c) CarpetRemoval
i) Mostoftheexistingcarpettoberemovediscurrentlyglueddown,rolledproduct.
ii) Whenremovingtheexistingcovebase,theContractorwillberesponsibleforanydrywall
orpaintdamageincurredabovethetopofthecurrentcovebaseline.
iii) At the end of the contractors work shift each day, all removed old carpet must be
removedfromthebuildinganddisposedofbytheContractor.
d) FloorPreparation
i) Contractor shall prep the floor, to include leveling if required, in accordance with
manufacturersspecificationspriortoinstallingnewcarpet.

e) DifferingSubsurfaceConditions
i) If the Contractor believes that any subsurface condition that is uncovered is of such
natureastorequireachangeinthescopeofservicesorisofunusualnature,anddiffers
materiallyfromconditionsordinarilyencounteredandgenerallyrecognizedasinherent
inworkofthecharacterprovidedforinfloorprep,thentheContractorshallimmediately

notifytheProjectManagerinwritingaboutsuchcondition.Contractorshallnotperform
anyworkinconnectiontherewithuntilreceiptofwrittenordertodoso.
ii) Afterreceiptofwrittennotice,theProjectManagerwillpromptlyreviewthepertinent
condition,andadvisetheContractorinwritingofCitysfindingsandconclusions.

f) NewCarpetandCoveBase
i) TheContractorshallfurnishandinstallneededcarpet,covebaseandancillarymaterials
neededfortheperformanceofthedefinedwork.
ii) TheareastobecarpetedwillbedetailedonthefloorplansprovidedtotheContractor.
Itwillbetheresponsibilityofthecontractortodeterminethespecificamountsofthe
newcarpet,covebase,glue,extrastockandallmaterialtothatneedtobeprovided.

g) ExtraStock
i) TheContractorwillturnovertotheCity,extrastockequivalentto5%ofthetotalyardage
ofnewcarpettileinstalled.ThestockwillbedeliveredtothePublicWorkscorporation
yard:1400Broadway,RedwoodCity,CA94063.

h) Buildinguse
