ARTICLESOFINCORPORATION

ArticleI
A. The name of this corporation shall be known as Community CollegeAssociation for Student Advocacy
(Corporation).
ArticleII
A. ThisCorporationisanonprofitpublicbenefitcorporationandisnotorganizedfortheprivategainofany
person.ItisorganizedundertheNonprofitPublicBenefitCorporationLawforpublicpurposes.
The
specificpurposeofthisCorporationistopromoteanddeveloplegislationbenefittingthestudentsofthe
CommunityCollegesystemofCalifornia.
B. ThisCorporationisorganizedandoperatedexclusivelyforsocialwelfarepurposeswithinthemeaningof
Section501(c)(4)oftheInternalRevenueCodeof1986,includingbutnotlimitedto:(1)developingand
advocatingforlegislation,regulationsandgovernmentprogramstobenefitthestudentsoftheCommunity
CollegesystemofCalifornia.

Thiscorporationshallhavemembers.
ArticleVI
A. Notwithstandinganyotherprovisionofthesearticlesofincorporation,thisCorporationshallnotcarryon
anyactivitiesnotpermittedtobecarriedonbyacorporationexemptfromfederalincometaxunderSection
501(c)(4)oftheCode.

B. Notwithstandinganyother provisionofthesearticles ofincorporationorothergoverninginstrumentofthis


Corporation, during such period or periods, of time, if any, as thisCorporation is treated as a private
foundation pursuant to Section 509 of the Code:(i)theCorporations incomemustbedistributed atsuch
time and in such manner so as not to subject this Corporation to tax under Section 4942 oftheCodeand
(ii) this Corporation is prohibited from (a) engaging in any act of selfdealing (as defined in Section
4941(d) of the Code) (b) retaining any excess business holdings (as defined in Section 4943(c) of the
Code) which would subject this Corporation to tax under Section 4943 of the Code (c) making any
investments in such mannerso as to subject this Corporation to tax under Section 4944 of theCodeand
(d)makinganytaxableexpenditures(asdefinedinSection4945(d)oftheCode).
ArticleVII
A. ThepropertyofthisCorporationisirrevocablydedicatedtolegislativeadvocacypurposes.Nopartofthe
netincomeorassetsofthisCorporationshalleverinuretothebenefitofanyofitsdirectorsorofficers,or
tothebenefitofanyprivateperson,exceptthatthisCorporationisauthorizedandempoweredtopay
reasonablecompensationforservicesrenderedandtomakepaymentsanddistributionsinfurtheranceof
thepurposessetforthinArticleIIhereof.
B. Uponthe dissolution or windingup ofthisCorporation,itsassetsremainingafterpayment,orprovisionfor
payment, of alldebts and liabilitiesofthisCorporationshall bedistributedto anonprofitfund,foundation,
or corporation which is organized and operated exclusively for legislativeadvocacy purposes andwhich
hasestablisheditstaxexemptstatusunderSection501(c)(4)oftheCode.
ArticleIX
A. Directors:TheBoardofDirectorsofthiscorporationshallconsistofsuchnumberofdirectorsasshallbe
fixedinthemannerprovidedintheBylawsofthiscorporation.Eachdirectorshallcontinueinofficeforthe
termforwhichheorshewasnamedorelectedanduntilhisorhersuccessoriselectedandqualified.
B. Thiscorporationreservestherighttoamendorrepeal,bytheaffirmativevoteofamajorityofthemembers
ofitsBoardofDirectorsanyoftheprovisionscontainedwithintheseArticlesofIncorporation.TheBoard
ofDirectorsshallhavethepowertoadopt,amendorrepealtheBylawsofthiscorporation.TheBylaws
shallgoverntheoperationofthiscorporationunlessanyBylawconflictswiththeseArticlesof
Incorporation,inwhichcasetheArticlesofIncorporationshallbecontrolling.
