settlement agreement filed by NAME OF OTHER PARTY on the grounds that (1) the settlement

agreement is not valid as the parties did not agree to all the material terms, and (2) the settlement

agreement was not signed by all the parties nor was it made orally before the court, thus the

9 settlement agreement does not comply with Code of Civil Procedure 664.6.

10 The Opposition shall be based on this Opposition, the attached Memorandum of Points and

Authorities, the declaration of NAME OF OPPOSING PARTY and Exhibits attached thereto, on the
12
complete files and records of this action, and on such other oral and/or documentary evidence as may
13
be presented at the hearing on the Motion.
