BYLAWS

of
Barnstead Elementary School PTO
ARTICLE I NAME, DESCRIPTION & PURPOSE
Section 1: NAME The name of the organization shall be Barnstead Elementary Parent
Teacher Organization (PTO). The PTO is located at 91 Maple St. Center Barnstead, NH
03225.
Section 2: DESCRIPTION The PTO is a non-profit organization that exists for
charitable and educational purposes, including the making of distributions to organizations
that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code.
Section 3: PURPOSE The purpose of the PTO is to enhance and support the educational
experience at Barnstead Elementary, to develop a closer connection between school and
home by encouraging parental involvement, and to improve the environment at Barnstead
Elementary through volunteer and financial support.
ARTICLE II MEMBERSHIP
Section 1: MEMBERSHIP- Membership shall be granted to all parents and guardians of
Barnstead Elementary school as well as all staff members at Barnstead Elementary School
for a fee of $10.00 per household and $5.00 per staff member/staff household. Members
have voting privileges, one vote per household.
Section 2: BARNSTEAD ELEMENTARY SCHOOL BOARD- Members of the
Barnstead Elementary School Board are eligible for general membership. They may
participate in Barnstead PTO public meetings and events but are prohibited from voting
and becoming the Chairperson of any PTO committee or subcommittee in order to avoid
conflicts of interest, undue influence and imbalance of power.
Section 3: REMOVAL- Any membership can be dissolved by a majority vote of the
executive board for conduct that undermines the values, integrity and/or image of the
Barnstead Elementary School or the Barnstead Elementary PTO. This is to include the
organization itself, the officers and/or it's members.
ARTICLE III OFFICERS

Section 1: EXECUTIVE BOARD The Executive Board shall consist of the following
officers: President, Vice President, Secretary, Treasurer and three members at large.
Officer positions can be shared.
Section 2: TERM OF OFFICE The term of office for all officers is one year,
beginning immediately upon election, and ending upon officer election the following
school year. Elections will be held at the June PTO meeting.
Section 3: QUALIFICATIONS Any PTO member in good standing may become an
officer of the PTO. Barnstead Elementary School board members are not elegible to
become officers of the PTO.
Section 4: DUTIES
Executive Board Develop the PTOs annual budget, establish and oversee committees to
conduct the work of the PTO, establish fundraising programs, approve by majority vote of
the Board unbudgeted expenditures of no more than $200.00.
President Preside at General PTO meetings and Executive Board meetings, serve as the
official representative of the PTO, and retain all official records of the PTO.
Communications and marketing, including, but not limited to PTO newsletters, email
broadcasts, website, bulletin boards, etc., is also coordinated by the President. The
president shall be a member ex officio of all committees.
Vice President Oversee the committee system of the PTO, assist the President and chair
meetings in the absence of the President.
Secretary Record and distribute minutes of all Executive Board meetings and all General
PTO meetings, prepare agendas for official PTO meetings, hold historical records for the
PTO.
Treasurer Serve as custodian of the PTOs finances, collect revenue, pay authorized
expenses, report financial activity every month, prepare year-end financial report, facilitate
an annual audit, and hold all financial records.
Members at large Represent the general membership of the PTO. They do not hold an
office on the Executive Board like that of the Treasurer or the Secretary. They have the
same voting rights as the Boards officers and are responsible for attending board
meetings. Further duties and responsibilities are determined by the Board on a case by
case basis.
Section 5: BOARD MEETINGS The Executive Board shall meet monthly during the
school year, or at the discretion of the President.
Section 6: REMOVAL An officer can be removed from office for failure to fulfill
his/her duties, after reasonable notice, by a majority vote of the Executive Board.
Section 7: VACANCY If a vacancy occurs on the Executive Board, the President shall
appoint a PTO member to fill the vacancy, for the remainder of the officers term.

Section 8: COMMUNICATION- All email and social media accounts are overseen by
the President. At the end of the term, if the President is vacating the position, all email log
in information is given to Barnstead Elementary School's Technology Director and will be
redistributed to the next Board. Social media accounts will be transferred to the Barnstead
Elementary School's Technology Director, which in turn will also be reassigned to the
incoming Board.
ARTICLE IV MEETINGS
Section 1: GENERAL PTO MEETINGS General PTO meetings shall be held to
conduct the business of the PTO. Meetings shall be held monthly during the school year
or at the discretion of the Executive Board.
Section 2: VOTING Each member in attendance at a PTO meeting is eligible to vote,
one vote per household. Absentee or proxy votes are not allowed.
Section 3 QUORUM Four (4) members of the PTO present and voting constitute
quorum for the purpose of voting.
ARTICLE V FINANCIAL POLICIES
Section 1: FISCAL YEAR - The fiscal year of the PTO begins August 1 and ends July 31
of the following year.
Section 2: BANKING - All funds shall be kept in a checking account in the name of
Barnstead Elementary School PTO requiring two signatures of the Executive Board and
held at a local financial institution.
Section 3: REPORTING - All financial activity shall be recorded in a manual or
computer-based accounting system. The Treasurer shall reconcile the account(s) monthly
and report all financial activity monthly. The PTO shall arrange an independent review of
its financial records each year.
Section 3: ENDING BALANCE - The organization shall leave a minimum of $350.00 in
the treasury at the end of each fiscal year.
Section 4: CONTRACTS - Contract signing authority is limited to the President or the
Presidents designee.
Section 5: CONFLICT OF INTEREST- Any possible conflict of interest on the part of
any member of the Board, officer or employee of the Corporation shall be disclosed in

writing to the Board and made a matter of record through an annual procedure and also
when the interest involves a specific issue before the Board. Where the transaction
involving a board member, trustee or officer exceeds five hundred dollars ($500) but is less
than five thousand dollars ($5,000) in a fiscal year, a two-thirds vote of the disinterested
directors is required. Where the transaction involved exceeds five thousand ($5,000) in a
fiscal year, then a two-thirds vote of the disinterested director and publication in the
required newspaper is required. The minutes of the meeting shall reflect that a disclosure
was made, the abstention from voting and the actual vote itself. Every new member of the
Board will be advised of this policy upon entering the duties of his or her office and shall
sign a statement acknowledging understanding of, and agreement to, this policy. The
Board will comply with all requirements of New Hampshire law in this area and the New
Hampshire requirements are incorporated into and made a part of this policy statement.
ARTICLE VI BYLAW AMENDMENTS
Amendments to the bylaws may be proposed by any PTO member. Amendments
presented at a PTO meeting shall be considered for voting at a subsequent meeting. A
majority vote of all members present and voting is required to adopt an amendment to the
Bylaws.
ARTICLE VII - DISSOLUTION
In the event of dissolution of the PTO, any funds remaining shall be donated to Barnstead
Elementary School.
ARTICLE VIII - PARLIAMENTARY AUTHORITY
The authority for this organization shall be Roberts Rules of Order Newly Revised.
