AUTHORITY TO ASSIGN

This Authority is supplemental to the Lease Agreement

dated………………………………….made between Kyeeri Rural Co-operative
Society, Shari Rural Co-operative Society and Uswaa/Mamba Rural Co-operative
Society Ltd of P.O. Box 1669 Moshi, Tanzania and Fiona (T) Ltd of the above
address in relation to all those parcels of land Tittle numbers 1412,11540,9527,9377
and 9460 known as Silverdale and Mbono Farms respectively.

We the above named Co-operative Societies hereby declare:-

1. That we give our unfettered consent to the assignment of the remaining term
of years of the above named lease agreement from Fiona (T) Ltd to, Silverdale
(T) Ltd.

2. That we are in possession of the unfettered authority to give this consent.

3. That we hereby indemnify Silverdale (T) ltd from all claims arising from any
breach of the aforementioned lease agreement from the date of the said
assignment.
