• Warranty and Maintenance of Underlying Insurance:
With respect to owned autos and owned private passenger autos and for as long as our policy is in effect:
1. In any country where a compulsory automobile liability insurance law is in force, the coverage provided by this policy shall be excess of and reduced by the limit of such local compulsory Insurance.
2. In any country where the compulsory requirement applies only to bodily injury liability, the insured shall, in addition, purchase property damage liability coverage for a limit of at least the equivalent of US $10,000 each accident, and the coverage provided by this Foreign Business Auto Liability and Physical Damage Coverage Part shall be excess of and reduced by the limit of such coverage.
3. In any country where there is no compulsory automobile liability insurance law in force, the insured shall procure local insurance for limits of at least the equi valent of US $10,000 each person/$20,000 each accident from bodily injury liability and US $10,000 each accident for property damage liability. The coverage provided by this policy shall be excess of and reduced by the limits of such coverage.
4. If the insured does not procure underlying insurance as stipulated in Paragraphs 1, 2 and 3 above, the coverage provided hereunder shall apply in the same manner and to the same extent as though local underlying insurance as herein required had been available to the insured.

3. Concerning your use of non-owned aircraft, the policy contains certain limitations with regard to type of aircraft, seating, pilots, airworthiness certificate, etc. For example:
• Non-owned aircraft leased for more than 30 days should be reported.
• No coverage is afforded for use of non-owned aircraft having more than 50 seats.
• No coverage is afforded for use of home built nonowned aircraft, ultralights, military non-owned aircraft or hang gliders.
• No coverage is afforded for physical damage to a nonowned aircraft. Considerations should be given. to purchasing this coverage, ifexposures exist, or a holdharmless agreement should be securedfrom the owner 0/ the non-owned aircraft. The insurance company providing coverage for the non-owned aircraft should also recognize this hold-harmless agreement.

Reporting of Notice: L As a condition precedent to any right to payment under
this Policy with respect to any Claim, the Insured shall give written notice to the Insurer of any Claim as soon as practicable after it is first made and the Vice President Corporate Insurance and Risk Management or General Counsel of the Parent Company first becomes aware of such claim.
2. If, during the Policy Period, the Insured first becomes aware of a specific Wrongful Act, Company Wrongful Act or Employment Practices Wrongful Act and if, during the Policy Period, the Insured:
a. provides the Insurer with written notice of the specific Wrongful Act, Company Wrongful Act or Employment Practices Wrongful Act, the consequences which have resulted or may result there from (including but not limited to actual or potential damages), the identities of the potential claimants, the circumstances by which the Insured first became aware of such Wrongful Act, Company Wrongful Act or Employment Practices Wrongful Act; and

EXCLUSIONS
The Insurer shall not be liable for:
1. loss of or damage to the property insured and expenses arising from faulty design, defective material, or bad workmanship;
'l loss of or damage to the insured items themselves or expenses arising therefrom due to wear and tear, inherent or latent defect, change in substance, spontaneous combustion, natural heating, oxidation, rust and corrosion, leakage, mice, insects or vermin, change in atmosphere (climatic or temperature) conditions, change in normal water level or any other progressively operating cause;
3. loss of or damage to the mechanical or electrical devices not due to exterior forces;
4. loss of or damage to steam boilers, steam pipes, or other pressure vessel machines or apparatus themselves due to their explosion;
5. loss of or damage to electrical or mechanical equipment caused by faulty operation or defective technology on the part of the Insured or any of his employee(s);
6. shortage discovered at the time of taking an inventory;
7. depreciation, loss of market, loss of use and other consequential loss of any descri pti on;
8. loss of or damage to the insured property caused by wind, frost, rain water, snow, flood, hailstorm, or dust while being stored in the open or covered by or under a shed thatched with reeds, tarpaulins, straw, asphalt felt, plastic or nylon sheet;
9. loss of or damage to the insured property caused or expense incurred by earthquake or tsunami;
10. loss of or damage to the insured property caused or expenses incurred by intentional act or gross negligence of the Insured or his representative, and burglary by Insured's family member or relatives or employees;

This Policy comprises mainly the Schedule, Scope of Cover, Exclusions, Treatment of Claim, Insured's Obligations, General Conditions and Special Provisions, including also the Proposal of Insurance together with its attachments as well as any additions to be made, from time to time, by the Insurer in the form of Endorsement.
SCOPE OF COVER
1. The Insurer shall in the manner hereinafter provided indemnify the Insured against such sums which the Insured shall become legally liable to pay as damages in respect of death of or personal injury to third parties, or loss of or damage to property belonging to third parties in consequence of an accident occurring in direct connection with the performance of the work and happening within the Territory stated in the Schedule during the period of insurance;
2. In respect of any claim covered under this Policy, the Insurer shall in addition indemnify the Insured against the relevant legal costs payable by the Insured and other expenses incurred with the prior written consent of the Insurer;
3. The indemnification made by the Insurer for anyone accident shall be subject to the amounts to be payable by the Insured which are decided in accordance with the law by the court or the governmental department concerned.
Provided always that the liability of the Insurer shall in no case exceed the limits of indemnity for anyone accident stated in the Schedule, other than in respect of legal and defence costs which shall be in excess of the Limit of Indemnity.
EXCLUSIONS
The Insurer shall not be liable for:
I. liability assumed in accordance with any agreement between the Insured and other parties, unless such liability would have been attached to the Insured notwithstanding such agreement.
2. liability in respect of injury to any person who at the time of sustaining such injury is engaged in the service of the Insured.
