FOGln" TRADRMARK ASSIGNMENT EXH. A IS .4. NAKED ASSIGNMENT AND OR ASSIGNMENT IN GROSS TO SPTA

The A~sigJl1nenT Exh. A conceived in frand has no legal existence and is void ab initio, In addition the vagl1c~ indefinite, ambiguous and imprecise Ianguage of the said Assignrnenr esrablishes that We said assignment is a "naked" assignment for the following reasons:

a). Paragraph 3 is so vague to make the said assignment nothing more than an "assi gnmcnt in gross". "Whereas as of the Petition DMe, the Debtor owned or claimed an interest in certain intellectual property, including but no Jimired to. registered and unregistered rradcrnarks and service marks along with the underlying goodwill uf 'whatever' business or arrangement may use sud marks .. _ tl This language ;'\ ~o vague as to make it impossible for any party who reads this assignment to ascertain what marks. If any arc being assigned from what companies, on what goods so as to render this assignment "void" "viodable or "unenforceable", Trustee Fogel's language in paragraph is so vague, imprecise. ambiguous and indefinite as to render the: said assignment of any trademarks to SPTA "uncnforccble" and "void" on its face.

b) Paragraph four is equally. imprecise, ambiguous and indefinite as 10 render the said. asslgnment in gross "null and void". To stare that Sti,;)~lt11

1. What intellectual property? What specific companies own what mUM, on what goods? For TnlSWC Fogel to stare in an assignment l11<'11 various companies "(I\J,-n M claim an interest in certain intellectual property" without mming that Mid inlellecmal property, Federal Trademarks Registrations Numbers, and listing the gOOd5 that the said marks are use for. by which specific companies, such a "indefinite" language does not qualify as. anything ether than an

11 lissi1'.UIllCllt ill g ross' .

c) Now in paragraph 5 of Exhibit A. Trustee Richard M Fogel not starts to compete with Burnam and Bailey when Fogel auempts the "impossible" to assign trariemarks to ~PTA "whether k".flWll or unknown, dlf:lcl()se,~ hy the Debtor or undisclosed by the Debtor." There is no trademark assignment that has ever been held to be valid In the history of U.~. 'Irademark Law from r 776 to the current date, that contains the assignment language assigning trademarks "whether known or unknown" to a third party,

d). The Trustee Assignment Exh A is dearly void as paragraph 7 states that "Assignor desires to COIlV(;!)'. transfer, assign. deliver and contribu le W Assignee (SPTA) all of the Estate's right, tide, and interest in and to the AS;IlctR (Trademarks) whether, known or unknown to The. }'OGEL AW .JOHNSON's Fraudulent Schem:e

The Debtor alleges and asserts that Trustee Fogel, SPTA and Lance Johnson were engaged in a fraudulent scheme which disqualified Johnson as a Bidder of Stollers trademarks and that the Bankruptcy judge as U matter of law, could not sanction Fogel and SPTA's fraudulent scheme by permitting SP'[I\ and/or Lance J olinson to bid OIl the as se ts and trudernar ks u r S toller 's es tale Richard Fogel's contract' to sell Lance G. Fraud in obtaining registration of a mark consists of knowingly f •. ilse representation to the Trademark Office regarding a material fact made with the intent to induce reliances, followed by reasonable reliance resulting i n a registration or other similar benefit that would not have been granted but for the misrepresentation. Trustee Fogel, SPTA and Lance J ohnson are well aware that an abandoned mark cannot be federally registered, because proof of use i s a predicate to registration. See 1V1cCanhy OIL Trademarks, ~* 19: l m 19:22-19;24 (no registration without use). In Lance Johnson's conringenr agreements to sell Exh. 2 and assign. paragraph four states:

§17~7 - Assignment of mark without good will

If a trademark symbol is assigned apart from the good win which

is symbolized, some cou-rts will characterize the result as .... abando ned " ,

since the mark may cease to identify a continuity of a certain nature and quality of goods. See ** 18: 17 - 18:20.

Lance Johnson, Richard M. Johnson and the said parties have conspired and colluded together by signing the Contingent Agreement to Sell and Assign Exh. 2 that Stotler's marks are all invalid.

Since an abandonment of a trademark results lTI a forfeiture of rights ~ as well known to Trustee Pogel, the parties that Lance Johnson had sign the contin gent agreements. Group Exb. 6~ abandoned their rights to the trademarks upon signing the said agreements as well-known to Lance Johnson and Trustee Richa rd !VI. Fogel.

"Sale of trademark rights apart from good will symbolized by the trademark is known as ill) 'assignment in gross'''. See ~§ 18: 1 . 1 &:9.

McCarlhy on Trademarks,

Lance Johnson with the permission or Trustee fogcl set up a "scheme" in which JOhU~OIl formed a "sham" company called Soddy [or the Prevention of Trademarks to acquire the trademarks of Leo Stoller. Lance Johnson provided assignmenr documents Exh. 3 which are to be filed with {he Trademark Office alleging that the same trademarks which are purchased as invalid and unenforceable a rc val id. Such a scheme represents a dear fraud on the Patent and Trademark Office as well known to Trustee Fogel, Lance Johnson and SPTA. Judge Schmcttcrcr said he is only approving the contingent agreement to sell and assign Exh 2 not the assignment document Exh 3, It is for the Office of Enrollment and Discipline to determine if Lance G.
