CONTRACT TO BUY & SELL REAL ESTATE PROPERTY

KNOW ALL MEN BY THESE PRESENTS:

LUZ B. LUZ, of legal age, Filipino citizen, and resident of 22 Street

Street, Park Park Parañaque, Metro Manila, hereinafter referred to as the
SELLER;

IN FAVOR OF:

LIM A. LIM and LIM T. LIM, both of legal age, and resident of 2 Street
Street Parky Park Parañaque, Metro Manila, hereinafter referred to as the
BUYER;

WITNESSETH:

The SELLER is the registered owner of a parcel of land Lot 100, Block
10 of the consolidation-subdivision plan (LRC) Pcs-8888 with improvements
located at 22 Street Street, Parque Park Parañaque, Metro Manila, and
covered by Transfer Certificate of Title No. 67800-Register of Deeds of
Parañaque free of all liens and encumbrances.

NOW, THEREFORE, for and in consideration for the sum of EIGHT

MILLION (P8,000,000.00) the SELLER has agreed to SELL, by way of Deed of
Absolute Sale, the above described property free from all liens and
encumbrances whatsoever, subject to the following terms, conditions and
stipulations, namely:

1. The BUYER shall pay a no-refundable down payment of TWO HUNDRED

THOUSAND PESOS (200,000.00) to the SELLER upon due execution of
this Contract to Buy and Sell.

2. The balance of SEVEN MILLION EIGHT HUNDRED THOUSAND PESOS

(P7,800,000.00) shall be paid within a period of two (2) months from
date of down payment.

3. Documentary Stamp, Tax Registration, Capital Gains Tax, Brokers

Commission (a separate cheque) and Transfer of the property from the
name of the SELLER to the BUYER shall be for the account of the
BUYER.

4. Updated Real Estate Taxes, updated homeowner’s dues shall be for the
account of the SELLER.

5. BUYER shall be allowed to occupy the property 30 days from the date
of down payment provided full payment has been made.
 6. The SELLER shall defend the rights of the BUYER to the property
against any claim of other legal heirs, creditors, or any third person at
their own expense.
