NON COMPETE AGREEMENT This Non Compete Agreement (Agreement) is made and entered into this date: __________________

(Effective Date), by and between company name ________________________________________________________________ (hereinafter Subcontractor) and Cougar Tech. with corporate offices at 41829 Albrae St #102, Fremont, CA - 94538 (hereinafter COUGAR TECH) (collectively the Parties). Both the parties agree to be bound by the following clauses: 1. Non Solicitation and Non Compete: Sub Contractor agrees that during the term of this contract and one year thereafter, sub contractor will not solicit, enter into agreement with or assign personnel to Cougar Techs client to whom the Sub contractors consultants have been introduced by interview or placement. Sub contractor will for no reason contact Cougar Techs client directly. Sub contractor will contact only Cougar Tech for all matters whatsoever. Consultant Full name ________________________________________. 2. Choice of Law: This agreement shall be governed by and constructed in accordance with the laws of the State of California. 3. Assignment: this agreement shall not be transferable without the prior written consent of both parties. 4. Deliverability: Sub Contractor agrees to hold the consultant for at least 2 business days after the client interview and guarantees the delivery of the consultant for the project if selected and confirmed within 2 business days after the interview, failing to do so will give right to Cougar Tech to take necessary steps to recover the loss of business revenue from the supplier.
