Laporan keuangan adalah tanggung jawab manajemen Perusahaan. Tanggung jawab kami terletak pada pernyataan pendapat atas laporan keuangan berdasarkan audit kami. Kami melaksanakan audit berdasarkan standar auditing yang ditetapkan Institut Akuntan Publik Indonesia. Standar tersebut mengharuskan kami merencanakan dan melaksanakan audit agar kami memperoleh keyakinan memadai bahwa laporan keuangan bebas dari salah saji material. We have audited the accompanying balance sheets of PT Aetra Air Jakarta (the Company) as at 31 December 2010 and 2009 and the related statements of income, changes in equity and cash flows for the years then ended. These financial statements are the responsibility of the Companys management. Our responsibility is to express an opinion on these financial statements based on our audits. We conducted our audits in accordance with auditing standards established by the Indonesian Institute of Certified Public Accountants. Those standards require that we plan and perform the audit to obtain reasonable assurance about whether the financial statements are free of material misstatement. An audit includes examining, on a test basis, evidence supporting the amounts and disclosures in the financial statements. An audit also includes assessing the accounting principles used and significant estimates made by the management, as well as evaluating the overall presentation of the financial statements. We believe that our audits provide a reasonable basis for our opinion. In our opinion, the financial statements referred to above present fairly, in all material respects, the financial position of PT Aetra Air Jakarta as at 31 December 2010 and 2009, and the results of its operations and cash flows for the years then ended, in conformity with accounting principles generally accepted in Indonesia.

INFORMASI UMUM a. Anggaran Dasar PT Thames PAM JAYA (Perusahaan) didirikan sesuai dengan Undang-Undang No. 1 tahun 1967 mengenai Penanaman Modal Asing dan Undang -Undang No. 11 tahun 1970 berdasarkan Akta Notaris No. 16 tertanggal 4 Desember 1997 yang dibuat di hadapan Andalia Farida, S.H., sebagai pengganti notaris Sutjipto, S.H., notaris di Jakarta dan diubah dengan Akta Notaris No. 15 tertanggal 9 Februari 1998 yang dibuat di hadapan Sutjipto, S.H. Anggaran Dasar yang telah diubah ini telah disetujui oleh Menteri Kehakiman dan Hak Asasi Manusia Republik Indonesia dalam Surat Keputusan No. C2-1213.HT.01.01.Th.98 tertanggal 25 Februari 1998, dan telah diumumkan dalam Berita Negara Republik Indonesia No. 58, Tambahan No. 3975 tertanggal 21 Juli 1998. Perubahan Anggaran Dasar Perusahaan telah dilakukan berdasarkan Akta Notaris No. 97, Sutjipto, S.H.,M.Kn., notaris di Jakarta, tertanggal 24 Maret 2008, mengenai persetujuan untuk mengubah nama Perusahaan yang semula bernama PT Thames PAM JAYA menjadi PT Aetra Air Jakarta, dan menyesuaikan Anggaran Dasar Perusahaan dengan Undang-Undang No. 40/2007 tentang Perseroan Terbatas. Perubahan atas Anggaran Dasar Perusahaan tersebut telah disetujui oleh Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dengan Surat Keputusan No. AHU-15408.AH.01.02. Th.2008 tertanggal 28 Maret 2008. Berdasarkan Akta Notaris Sutjipto, S.H., M.Kn., notaris di Jakarta, No. 162 tertanggal 22 Juni 2010, terdapat perubahan susunan Dewan Direksi dan Dewan Komisaris Perusahaan yang berlaku efektif tanggal 22 Juni 2010. Perubahan tersebut telah diberitahukan kepada dan disetujui oleh Menteri Hukum dan Hak Asasi Manusia Republik Indonesia dengan Surat Keputusan No. AHU-0050087.AH.01.09. Tahun 2010 tertanggal 2 Juli 2010.

GENERAL a. Articles of Association PT Thames PAM JAYA (the Company) was established within the framework of Foreign Capital Investment Law No. 1/1967 and Law No. 11/1970 by Notarial Deed No. 16 dated 4 December 1997 of Andalia Farida, S.H., as substitute for Sutjipto, S.H., notary in Jakarta and amended by Notarial Deed No. 15 dated 9 February 1998 of Sutjipto, S.H. The amended Articles of Association were approved by the Minister of Justice and Human Rights of the Republic of Indonesia through Decree No. C21213.HT.01.01.Th.98 dated 25 February 1998, and published in the State Gazette of the Republic of Indonesia No. 58, Supplement No. 3975 dated 21 July 1998. An amendment was made to the Articles of Association of the Company based on Notarial Deed No. 97 of Sutjipto, S.H.,M.Kn., notary in Jakarta, dated 24 March 2008, in relation to approval to change the Companys name from PT Thames PAM JAYA to PT Aetra Air Jakarta, and to amend the Companys Articles of Association to conform with the requirements of Indonesian Limited Liability Company Law No. 40/2007. The amendment of the Companys Articles of Association was approved by the Minister of Law and Human Rights of the Republic of Indonesia in Decree No. AHU15408.AH.01.02. Th.2008 dated 28 March 2008. Based on Notarial Deed of Sutjipto, S.H., M.Kn., notary in Jakarta, No. 162 dated 22 June 2010, there were changes in the composition of the Companys Board of Directors and Board of Commissioners effective on 22 June 2010. The changes have been notified to and approved by the Minister of Law and Human Rights of the Republic of Indonesia in Decree No. AHU0050087.AH.01.09.Tahun 2010 dated 2 July 2010.
The Companys head office is located in Jakarta and the Company commenced its commercial operations after the Cooperation Agreement was signed in 1998. As stated in the Articles of Association and the Cooperation Agreement, the Companys main activities are to provide clean water supply and to improve service, including distributing, processing and managing the water supply in the eastern part of Jakarta, Indonesia. Cooperation Agreement The Company entered into a Cooperation Agreement (the Agreement) with Perusahaan Daerah Air Minum Daerah Khusus Ibukota Jakarta (PAM JAYA) on 6 June 1997, whereby the Company was granted the exclusive right to develop and manage production and distribution of clean water and potable water services in the eastern region of DKI Jakarta (the Project) which was amended by an addendum to the Agreement dated 28 January 1998 to upgrade the operational performance including improvement of production, distribution, management and technological capabilities in the cooperation area. Based on this amendment, the effective date of the Agreement shall be 1 February 1998 with a term of 25 years from the effective date.

Revenue sharing Based on the Revised Agreement, shared revenue means all revenues generated and collected by the Project including water billed and collected, meter fees charged to customers, fixed charge and other revenue to be stipulated in accordance with the Revised Agreement which was shared between PAM JAYA and the Company. All shared revenues generated and collected from the Project shall be distributed to PAM JAYA and the Company in the following order: i. PAM JAYAs revenue share (First Party Requirement) shall be the Rupiah amount consisting of payments required to be made to PAM JAYA (Primary Requirements), the Ministry of Finance (Debt Service Requirement), DKI Jakarta (DKI Jakarta Requirements) and Regulatory Body (Regulatory Body Financial Requirements) as defined in the Revised Agreement; The Companys revenue share shall be the Rupiah amount which is the lesser of: a. The result of the shared revenue less PAM JAYAs revenue share; or b. The result of water volume billed and collected multiplied by the water charge applicable for the month in which the customer is billed;

iv. Any excess amounts following the application of items i, ii and iii above shall be paid to PAM JAYA. Unshared revenues of the Company consist of revenue from customer connections, penalties for late payment of receivables and any bad debts recovered at any time during the term of the Revised Agreement, a portion of outstanding receivables relating to the volume of water billed multiplied by the prevailing water charge as at the expiration of the term of the Revised Agreement which will be collected by PAM JAYA, charges on disconnections or reconnections, 50% of all fines and penalties other than the charges on disconnections or reconnections imposed on customers and the interest accruing on the outstanding amount of the escrow account.
The Revised Agreement also provides that an escrow account be maintained into which all sums collected from trade customers shall be deposited for the purpose of distribution in accordance with the terms of the Revised Agreement. The escrow account shall be operated by an escrow agent agreed by PAM JAYA and the Company under terms and conditions provided in the Escrow Account Agreement. Unless otherwise stated in the Revised Agreement, each instruction for withdrawing funds from the escrow account shall be verified by PAM JAYA before the relevant memorandum is signed by both parties.
All new immovable assets will be handed over to PAM JAYA on the expiry of the Revised Agreement term or the effective date of termination before the expiry of the Agreement or any new immovable asset becoming a surplus asset in accordance with the requirement in the Revised Agreement. In the circumstances of the termination of the Agreement before the expiry of the term, and where such new immovable assets that have not been fully depreciated or amortised, then PAM JAYA shall pay to the Company the Net Book Value of such assets.
The base termination price is calculated based on the net book value of the new assets, specified intangible assets and inventory and consumables made, financed and acquired, constructed or refurbished by the Company in respect of the Project and all monies outstanding to the Company based on the Revised Agreement plus direct costs and expenses incurred by the Company arising from the termination of the Agreement.
Upon the expiry of the term or effective termination of the Revised Agreement, the Company shall enforce a full and effective transfer under the law and hand back to PAM JAYA all of its rights, titles and interests in the Project and in any new assets the ownership of which has not been transferred to PAM JAYA during the term of the Revised Agreement, free of any lien, charge or encumbrance.
Transition period During the transition period 1 April 2001 to 31 December 2002, water charges paid by PAM JAYA to the Company were reduced from Rp 3,107.73 (full amount) to Rp 2,400.00 (full amount) of 3 each cubic meter (m ) of water with the amount to be adjusted in the beginning of the relevant semester during the term of the Revised Agreement, consequently, the Company may recover from PAM JAYA its mutually agreed real and reasonable costs over the amount of Rp 170 billion (full amount) and Rp 165 billion (full amount) during 2001 and 2002, respectively.

Audit Perusahaan sebagai perusahaan yang melayani publik wajib membuat dan melakukan pembukuan yang transparan sehubungan dengan pelaksanaan Perjanjian Revisi ini, yang dapat diaudit setiap saat oleh PAM JAYA berdasarkan kerangka acuan yang disepakati bersama. Selain itu Badan Pengatur dan Instansi Pemerintah berwenang lainnya dapat pula mengaudit Perusahaan.

Audit The Company as a public utility service company shall establish and maintain transparent accounts in respect of its performance of the Revised Agreement, which may be audited at any time by PAM JAYA based on a term of reference to be mutually agreed. The Regulatory Body and other relevant Governmental authority having the authority may also audit the Company.
Add a new clause to the Cooperation Agreement stating that where the targets set out in the Cooperation Agreement are not achieved due to the Companys failure, then the Company shall pay a penalty of the excess of water charge withdrawal to the Project and compensate it into the financing of the Project every year and every five years;
The Company agrees that the replacement mechanism of Directors shall be discussed with PAM JAYA and an independent consultant appointed by the shareholders of the Company; Acuatico and PT Alberta Utilities (Alberta) as new shareholders (refer to Note 1c) are prohibited from transferring their shares to other shareholders and/or their affiliates or any third party for a period of five years from 17 January 2007. The transfer may take place after five years with prior written notice to PAM JAYA, and the aggregate shareholdings of the new shareholders would not be less than 51% of the Companys total shares;

On 8 January 2009, the Company and PAM JAYA entered into a Fourth Addendum to the amended and restated Cooperation Agreement regarding Rebasing for the period of 2008 2012 as follows: 1. The Water Charge is reset at Rp 5,670.15 (full amount) per m 3 effective on 1 July 2008 (the New Date of Water Charge) which is automatically indexed from Semester I/2009 in accordance with the new water charge indexation formula as set out in the Fourth Addendum.

Kompensasi atas ketidaktercapaian volume terjual untuk Periode Lima Tahun Kedua untuk tahun 2005 - 2007 yang harus dibayarkan kepada PAM JAYA adalah sebesar Rp 183 milyar (nilai penuh). Jumlah ini akan dikurangkan dari jumlah terhutang PAM JAYA kepada Perusahaan. Perusahaan dan PAM JAYA sepakat bahwa biaya dukungan teknis akan dihitung berdasarkan pendapatan bersih rekening berjalan yang mulai berlaku tahun 2008. Perjanjian untuk membahas definisi Manifest Error akan dilakukan dalam tiga bulan sejak tanggal penandatanganan. Jika tidak tercapai kesepakatan maka proses mengacu pada PERDA No. 11 Tahun 1993. Rumusan kompensasi atas ketidaktercapaian volume terjual untuk periode ketiga dan periode selanjutnya yang disepakati adalah (Perkiraan Pendapatan Pendapatan Aktual) x 70%. Perusahaan diharuskan menerapkan standar air minum sesuai dengan Peraturan Menteri Kesehatan No. 907/MENKES/SK/2002 yang dimulai pada tahun 2009. Sesuai dengan Addendum Keempat dari Perjanjian Revisi, Perusahaan harus memperluas cakupan wilayah air minum sampai dengan 100% di wilayah jasanya.

The Company shall implement drinking water standards pursuant to Minister of Health Regulation No. 907/MENKES/SK/2002 commencing 2009. Under the Fourth Addendum to the Revised Agreement, the Company shall extend drinking water coverage to 100% of the Service Area.

SUMMARY OF SIGNIFICANT ACCOUNTING POLICIES The Companys financial statements were prepared and finalised by the Board of Directors on 30 March 2011. The accompanying financial statements have been prepared in accordance with accounting principles generally accepted in Indonesia and the Capital Market and Financial Institutions Supervisory Board (BAPEPAM and LK) Regulation No. VIII. G. 7 regarding the Guidance of Presentation of the Financial Statements as stipulated in the Deed of Head of BAPEPAM and LK No. KEP-06/PM/2000 dated 13 March 2000. a. Basis of preparation of the financial statements The financial statements have been prepared on the basis of historical cost, except for available for sale investments and financial assets and financial liabilities measured at fair value through the statements of income. The reporting currency used in the preparation of the financial statements is the Indonesian Rupiah currency (Rupiah or Rp). The statements of cash flows have been prepared using the direct method by classifying cash flows on the basis of operating, investing and financing activities. For the purpose of the statement of cash flows, cash and cash equivalents include cash on hand, cash in banks and short-term investments with a maturity of three months or less, net of overdrafts.

Laporan keuangan telah disusun dengan dasar harga perolehan, kecuali efek yang tersedia untuk dijual dan aset keuangan dan kewajiban keuangan yang diukur pada nilai wajar melalui laporan laba-rugi. Mata uang pelaporan yang digunakan dalam penyusunan laporan keuangan adalah mata uang Rupiah Indonesia (Rupiah atau Rp). Laporan arus kas disusun dengan menggunakan metode langsung yang mengklasifikasikan arus kas berdasarkan aktivitas operasi, investasi, dan pendanaan. Untuk tujuan penyusunan laporan arus kas, kas dan setara kas mencakup kas, kas pada bank, dan investasi jangka pendek yang berjangka waktu tiga bulan atau kurang, setelah dikurangi cerukan.

Perusahaan mengakui pendapatan berdasarkan volume air yang dijual dan ditagih, yang disesuaikan untuk mencerminkan tingkat penerimaan pembayaran dengan mempertimbangkan secara seksama jumlah volume yang akan diterima dari penerimaan pembayaran tersebut. Beban diakui pada saat terjadinya dengan basis akrual. d. Piutang usaha Piutang usaha adalah jumlah tagihan kepada PAM JAYA untuk jasa distribusi, pengelolaan, penyediaan air di bagian timur Jakarta, Indonesia. Jika pembayaran piutang diharapkan selesai dalam satu tahun atau kurang (atau dalam siklus normal operasi dari bisnis jika lebih lama), piutang tersebut dikelompokkan sebagai aset lancar. Jika tidak, piutang tersebut disajikan sebagai aset tidak lancar. Piutang usaha pada awalnya diakui sebesar nilai wajar dan selanjutnya diukur dengan biaya perolehan yang diamortisasi dengan menggunakan metode suku bunga efektif, dikurangi dengan penyisihan penurunan nilai. e. Persediaan Persediaan terdiri dari bahan kimia dan material untuk proyek dan pemeliharaan proyek diakui sebesar nilai yang lebih rendah antara harga perolehan dan nilai realisasi bersih. Harga perolehan bahan kimia dan material untuk Proyek ditentukan berdasarkan metode rata -rata tertimbang, setelah dikurangi penyisihan persediaan usang . Penyisihan untuk persediaan yang sudah usang dan lambat bergerak ditentukan berdasarkan estimasi penggunaan atau penjualan masing -masing jenis persediaan pada masa mendatang.

Revenue and expense recognition The Cooperation Agreement entitles the Company to recognise revenue based upon the volume of water billed and collected multiplied by a predetermined water charge 3 per m . The Company recognises revenue on the basis of the volume sold and billed adjusted to reflect the collections and prudent judgement of what will be collected.
Expenses are recognised as incurred on the accrual basis. d. Trade receivables Trade receivables are amounts due to PAM JAYA for distributing, processing and managing services of water supply in the eastern part of Jakarta, Indonesia. If collection is expected in one year or less (or in the normal operating cycle of the business if longer), they are classified as current assets. If not, they are presented as non current assets. Trade receivables are recognised initially at fair value and subsequently measured at amortised cost using the effective interest method, less provision for impairment. e. Inventories Inventories consist of chemicals and materials for capital projects and maintenance projects and are valued at the lower of cost or net realisable value. Cost for chemicals and materials for capital projects are determined on the weighted average basis, less allowance for obsolete inventory. A provision for obsolete and slow moving inventory is determined on the basis of estimated future usage or sale of individual inventory items.

Financial assets and liabilities On 1 January 2010, the Company has adopted Statement of Financial Accounting Standards (SFAS) No. 50 (Revised 2006) Financial Instruments: Presentation and Disclosures and SFAS No. 55 (Revised 2006) Financial Instruments: Recognition and Measurement, which are applicable for financial statements covering periods beginning on or after 1 January 2010. f.1. Financial assets The Company classifies its financial assets into the categories of: (i) financial assets at fair value through statement of income, (ii) held-tomaturity investments, (iii) loans and receivables and (iv) available-for-sale financial assets. The classification depends on the purpose for which the financial assets were acquired. Management determines the classification of its financial assets at initial recognition. Financial assets are derecognised when the rights to receive cash flows from the investments have expired or the ownership, risks and benefits have been substantially transferred to the Company. (i) Financial assets at fair value through statement of income Financial assets at fair value through the statement of income are financial assets held for trading. A financial asset is classified in this category if acquired principally for the purpose of selling in the short-term. Gains or losses arising from changes in fair value of the financial assets are presented in the statement of income in the period in which they arise. Dividend income from the financial assets is recognised in the statement of income as part of other income when the Companys right to receive payment is established.

They are classified into non-current assets, unless the investment matures or management intends to dispose of it within 12 months of the end of the reporting period.
Available-for-sale financial assets are initially resognised at fair value, including directly attributable transaction costs. Subsequently, the financial assets are carried at fair value, with gains and losses recognised in the statement of changes in equity, except for impairment losses and foreign exchange gains or losses, until the financial assets are derecognised. If the available-for-sale financial assets are impaired, the cumulative gain or loss previously recognised in the statement of changes in equity, is recognised in the statement of income.
Interest on available-for-sale securities calculated using the effective interest method is recognised in the statement of income as part of other income. Dividend on available-for-sale equity instruments are recognised in the statement of income as part of other income when the Companys right to receive the payment is established.

The classification depends on the purpose for which the financial liabilities were acquired. Management determines the classification of its financial liabilities at initial recognition. Financial liabilities are derecognised when it is extinguished which is the obligation specified in the contract is discharged or cancelled or expires.

Financial liabilities at fair value through statement of income are financial liabilities held for trading. A financial liabilities is classified in this category if incurred principally for the purpose of repurchasing it in the short-term.
Financial liabilities carried at fair value through the statement of income are initially recognised at fair value and subsequently carried at fair value, with gains and losses recognised in the statement of income.

Financial liabilities that are not classified as financial liabilities carried at fair value through the statement of income, are initially recognised at fair value, including directly attributable transaction costs. Subsequently, the financial liabilities are carried at amortised cost using effective interest method. They are included in current liabilities, except for maturities more than 12 months after the end of reporting period. These are classified as non-current liabilities.
Gains and losses are recognised in the statement of income when the financial liabilities are derecognised or impaired, as well as through the amortisation process. f.3. Fair value estimation The Company uses widely recognised valuation models for determining fair values of nonstandardised financial instruments of lower complexity. For these financial instruments, inputs into models are generally market observable.
f.4. Offsetting financial instruments Financial assets and liabilities are offset and the net amount reported in the balance sheet when there is a legally enforceable right to offset the recognised amounts and there is an intention to settle on a net basis, or realise the asset and settle the liability simultaneously.

The Company assesses at the balance sheet date whether there is objective evidence that a financial asset or group of financial assets is impaired. A financial asset or a group of financial assets is impaired and impairment losses are incurred only if there is objective evidence of impairment as a result of one or more events that occurred after the initial recognition of the asset (a loss event) and that loss event (or events) has an impact on the estimated future cash flows of the financial asset or group of financial assets that can be reliably estimated.
The criteria that the Company uses to determine that there is objective evidence of an impairment loss include:
significant financial difficulty of the issuer or obligor; a breach of contract, such as a default or delinquency in interest or principal payments; the lenders, for economic or legal reasons relating to the borrowers financial difficulty, granting to the borrower a concession that the lender would not otherwise consider;
it becomes probable that the borrower will enter bankruptcy or other financial reorganisation; the disappearance of an active market for that financial asset because of financial difficulties; or

Impairment of financial assets (continued) (i) Assets carried at amortised cost (continued) observable data indicating that there is a measurable decrease in the estimated future cash flows from a portfolio of financial assets since the initial recognition of those assets, although the decrease cannot yet be identified with the individual financial assets in the portfolio, including: adverse changes in the payment status of borrowers in the portfolio; and national or local economic conditions that correlate with defaults on the assets in the portfolio. If there is objective evidence that impairment loss has been incurred, the amount of the loss is measured as the difference between the assets carrying amount and the present value of estimated future cash flows (excluding future credit losses that have not been incurred) discounted at the financial assets original effective interest rate. The assets carrying amount of the asset is reduced either directly or through use of allowance account. The amount of the loss is recognised in the statement of income. If, in the subsequent period, the amount of the impairment loss decreases and the decrease can be related objectively to an event occurring after the impairment was recognised (such as an improvement in the debtors credit rating), the previously recognised impairment loss shall be reversed either directly or by adjusting an allowance account. The reversal shall not result in carrying amount of the financial asset that exceeds what the amortised cost would have been had the impairment not been recognised at the date the impairment reversed. The reversal amount shall be recognised in the statement of income.

Impairment of financial assets (continued) (ii) Assets classified as available for sale When a decline in the fair value of an available for sale financial asset has been recognised directly in equity and there is objective evidence that the assets are impaired, the cumulative loss that had been recognised in the equity shall be reclassified from equity to statement of income even though the financial asset has not been derecognised. The amount of the cumulative loss measured as the difference between the acquisition cost and the current fair value, less any impairment loss on that financial asset previously recognised in the statement of income.

The carrying amount of the replaced part is derecognised. All other repairs and maintenance are charged to the statement of income during the financial period in which they are incurred.
The assets useful lives and residual values shall be reviewed, and adjusted if appropriate, at least at the financial year-end. Sewa aset tetap dimana Perusahaan memiliki secara substansi seluruh risiko dan manfaat kepemilikan aset diklasifikasikan sebagai sewa pembiayaan. Sewa pembiayaan dikapitalisasi pada awal masa sewa sebesar nilai yang lebih rendah antara nilai wajar aset sewaan atau nilai kini pembayaran sewa minimum. Setiap pembayaran sewa dialokasikan antara bagian yang merupakan pelunasan kewajiban dan bagian yang merupakan beban keuangan sedemikian rupa sehingga menghasilkan tingkat suku bunga yang konstan atas saldo pembiayaan. Jumlah kewajiban sewa, bersih dari beban keuangan disajikan sebagai hutang jangka panjang. Fixed assets under finance leases Leases in which a significant portion of the risks and rewards of ownership are retained by the lessor are classified as operating leases. Payments made under operating leases are charged to the statement of income on a straight-line basis over the period of the lease.
Leases of fixed assets where the Company has substantially all the risks and rewards of ownership are classified as finance leases. Finance leases are capitalised at the leases commencement at the lower of the fair value of the leased property and the present value of the minimum lease payments. Each lease payment is allocated between the liability and finance charges so as to achieve a constant rate on the finance balance outstanding. The corresponding rental obligations, net of finance charges, are included in other long-term payables. The interest element of the finance cost is charged to statement of income over the lease period so as to produce a constant periodic rate of interest on the remaining balance of the liability for each period. Fixed assets acquired under finance leases are depreciated similarly to owned assets.

Hutang usaha Hutang usaha adalah kewajiban untuk membayar atas barang atau jasa yang telah diperoleh dari pemasok dalam transaksi bisnis pada umumnya. Hutang usaha dikelompokkan sebagai kewajiban lancar apabila pembayaran jatuh tempo dalam waktu satu tahun atau kurang (atau dalam siklus normal operasi dari bisnis jika lebih lama). Impairment of non-financial assets At the balance sheet date, the Company undertakes a review to determine whether there is any indication of asset impairment. Fixed assets and other non-current assets are reviewed for impairment losses whenever events or changes in circumstances indicate that the carrying amount may not be recoverable. An impairment loss is recognised for the amount by which the carrying amount of the asset exceeds its recoverable amount, which is the higher of an assets net selling price or value in use. For the purpose of assessing impairment, assets are grouped at the lowest levels for which there are separately identifiable cash flows. Reversal of impairment is recorded as income in the period when the reversal occurs.
k.
Trade payables Trade payables are obligations to pay for goods or services that have been acquired in the ordinary course of business from suppliers. Trade payables are classified as current liabilities if payment is due within one year or less (or in the normal operating cycle of the business if longer). If not, they are presented as non-current liabilities.
Trade payables are recognised initially at fair value and subsequently measured at amortised cost using the effective interest method.
i) Enterprises that through one or more intermediaries control, or are controlled by, or are under common control of the reporting enterprise (this includes holding companies, subsidiaries, and fellow subsidiaries);

Sebagian besar karyawan yang diperbantukan dari PAM JAYA adalah anggota Dana Pensiun PAM Seluruh Indonesia (Dapenma Pamsi), sebuah program pensiun manfaat pasti.
The nature and extent of the transactions with related parties are disclosed in the financial statements. Such transactions are conducted on terms agreed between the parties.
n. Basic earnings per share Basic earning per share is calculated by dividing net income by the weightedaverage number of ordinary shares outstanding during the period. o. Employee benefits (i) Post-retirement benefit obligations The Company has two types of employees, direct employees and employees seconded from PAM JAYA. Most employees seconded from PAM JAYA are members of Dana Pensiun PAM Seluruh Indonesia (Dapenma Pamsi), a defined benefit pension plan.
Employee benefits relating to retirement, severance, service compensation payments and other benefits are recognised when they are vested to the employees and calculated based on: The Labour Law No. 13/2003 for direct employees, and The higher of the benefit obligation provided under the defined benefit pension plan and the Labour Law No. 13/2003 for employees seconded from PAM JAYA.
Sampai dengan 31 Desember 2010, Dapenma Pamsi telah memisahkan aset program antara pendiri dan mitra pendiri Dapenma Pamsi. Oleh karena itu, aset program dipertimbangkan oleh aktuaris independen dalam menghitung imbalan kerja untuk karyawan yang diperbantukan dari PAM JAYA. Kewajiban program pensiun imbalan pasti yang diakui dalam necara adalah nilai kini kewajiban imbalan pasti pada tanggal neraca dikurangi nilai wajar aset program, serta disesuaikan dengan keuntungan atau kerugian aktuarial dan biaya jasa lalu yang belum diakui. Besarnya kewajiban imbalan pasti ditentukan berdasarkan perhitungan aktuaris independen yang dilakukan secara periodik dengan menggunakan metode projected unit credit. Nilai kini kewajiban imbalan pasti ditentukan dengan mendiskonto estimasi arus kas keluar masa depan dengan menggunakan tingkat suku bunga obligasi pemerintah (dengan pertimbangan saat ini tidak ada pasar aktif untuk obligasi korporat berkualitas tinggi) dalam mata uang yang sama dengan mata uang imbalan yang akan dibayarkan dan waktu jatuh tempo yang kurang lebih sama dengan waktu jatuh tempo imbalan yang bersangkutan.
As of 31 December 2010, Dapenma Pamsi has separated the plan assets of the founder and co-founders of Dapenma Pamsi. Therefore, these plan assets are considered by the independent actuary when calculating the employee benefits for employees seconded from PAM JAYA. The liability recognised in the balance sheets in respect of the defined benefit pension plan is the present value of the defined benefit obligation at the balance sheet date less the fair value of plan assets, together with adjustments for unrecognised actuarial gains or losses and past service costs. The defined benefit obligation is determined based on the periodic calculation of independent actuaries using the projected unit credit method. The present value of the defined benefit obligation is determined by discounting the estimated future cash outflows using interest rates of government bonds (considering currently there is no deep market for high-quality corporate bonds) that are denominated in the currency in which the benefit will be paid, and that have terms of maturity approximating the terms of the related pension liabilities.

Kewajiban jasa lalu diamortisasi berdasarkan metode garis lurus selama estimasi periode jasa ratarata sampai manfaat tersebut menjadi hak karyawan. Keuntungan dan kerugian aktuarial yang timbul dari penyesuaian yang dibuat berdasarkan pengalaman, perubahan dalam asumsi aktuarial dan perubahan program pensiun yang jumlahnya melebihi 10% dari imbalan pasti atau 10% dari nilai wajar aset program pada tanggal neraca, maka kelebihannya dibebankan atau dikreditkan pada pendapatan atau beban selama rata-rata sisa masa kerja yang diharapkan dari karyawan tersebut. (ii) Pesangon pemutusan kontrak kerja Pesangon pemutusan kontrak kerja terhutang ketika karyawan dihentikan kontrak kerjanya sebelum usia pensiun normal. Perusahaan mengakui pesangon pemutusan kontrak kerja ketika Perusahaan menunjukkan komitmennya untuk memberhentikan kontrak kerja dengan karyawan berdasarkan suatu rencana formal terinci yang kecil kemungkinannya untuk dibatalkan. p. Expenses charged to the statement of income include current service cost, interest on the obligation, and the amortisation of past service cost and actuarial gain and losses. The past service liability is amortised over the estimated average service period until the benefits become vested, on a straight-line basis. Actuarial gains and losses arising from experience adjustments, changes in actuarial assumptions and amendments to pension plans when exceeding 10% of the present value of the defined benefit or 10% of fair value of the plan assets at the balance sheet date are charged or credited to income or expense over the average remaining service lives of the related employees.
(ii) Termination benefits Termination benefits are payable whenever an employees employment is terminated before the normal retirement date. The Company recognises termination benefits when it is demonstrably committed to terminate the employment of current employees according to a detailed formal plan with a low possibility of withdrawal.
p. Taxation The tax expense for the period comprises current and deferred income tax. The tax expense is recognised in the statement of income.

Pada tanggal 6 November 2009, Perusahaan melakukan investasi dalam bentuk Obligasi Republik Indonesia (ORI) dengan nilai nominal Rp 1.000.000.000 (nilai penuh) dan tingkat bunga 9,35% per tahun pada harga 100,75% melalui PT Recapital Securities, pihak yang mempunyai hubungan istimewa. Pada tanggal 3 September 2010, Perusahaan menjual investasi nya di ORI dengan harga 102%. Perusahaan telah mengakui keuntungan investasi sejumlah perbedaan harga perolehan dan harga pada saat dicairkan. On 3 September 2010, the Company sold the investment in ORI with value 102%. The Company had recognized gain on investment amounted to difference of acquisition price and the maturity price. Piutang escrow Piutang escrow merupakan volume air bersih yang tertagih dan terbayar dikalikan dengan imbalan air. Escrow receivable Escrow receivable represents net volume billed and collected multiplied by water charge. The Company collects customer payments through the escrow account based upon customer tariffs. Any cash received in excess of these is applied to the receivable from PAM JAYA. The Company is entitled to reimbursement of severance payments made to PAM JAYAs employees seconded to the Company during the transition period. The Company will bear all of the severance payments made to the seconded employees from the effective date of the Agreement until the end of the transfer process of seconded employees to the Company as direct employees in order to achieve a single status of employees in the Company. At present, this process is still ongoing.

PAM JAYA is Rp 57.8 billion (full amount) and Rp 18.8 billion (full amount), respectively. The total amount is Rp 76.6 billion (full amount). In addition to the shortfall receivable, lump sum income and severance payments noted above, the receivables outstanding also include adjustments for the impact of retroactive increases in the price of raw water. Furthermore, additions and deductions from the receivables outstanding also include items such as penalty for non achievement of 2005 2007 performance target; payments to Dapenma Pamsi which are recoverable from PAM JAYA; the effect of the retroactive reduction in the Semester II, 2008 water charge arising from the Third Period Rebasing. Manajemen berkeyakinan adalah tepat untuk tidak mengakui aset pajak tangguhan dari penyisihan kerugian penurunan nilai atas piutang. e. Pemeriksaan pajak Pada tanggal laporan keuangan, Perusahaan sedang diaudit oleh kantor pajak atas berbagai jenis pajak untuk tahun fiskal 2009. Pada tanggal laporan keuangan ini, hasil audit tersebut belum diterima. Manajemen berpendapat bahwa hasil audit tersebut tidak memiliki dampak yang akan merugikan posisi keuangan dan arus kas Perusahaan secara material. f. Administrasi pajak Berdasarkan Undang-Undang Perpajakan yang berlaku di Indonesia, Perusahaan menghitung, menetapkan dan membayar sendiri besarnya jumlah pajak yang terhutang. DJP dapat menetapkan atau mengubah kewajiban pajak dalam batas waktu sepuluh tahun sejak saat terhutangnya pajak, atau akhir tahun 2013, mana yang lebih awal. Ketentuan baru yang diberlakukan terhadap tahun pajak 2008 dan tahun-tahun selanjutnya menentukan bahwa DJP dapat menetapkan dan mengubah kewajiban pajak tersebut dalam batas waktu lima tahun sejak saat terhutangnya pajak. g. Perubahan Undang-Undang Perpajakan Pada tanggal 3 September 2008, Dewan Perwakilan Rakyat menyetujui perubahan Undang-Undang Pajak Penghasilan. Undang-Undang ini kemudian ditandatangani Presiden pada tanggal 23 September 2008. Salah satu dari perubahan tersebut mengatur tentang tarif pajak penghasilan badan yang ditetapkan pada tarif tetap sebesar 28% dimulai sejak 1 Januari 2009 dan kemudian dikurangi menjadi 25% sejak 1 Januari 2010. g. f.
Management believes it is prudent not to recognise a deferred tax asset from the provision for impairment of receivables at this time. e. Tax audit As at the date of the financial statements, the Company is being audited by the tax office for various taxes for the 2009 fiscal year. At the date of these financial statements, the audit results have not yet been received. Management believes that the results will not have a material adverse impact on the Companys operations and cash flows. Tax administration Under the taxation laws of Indonesia, the Company calculates, submits, and pays tax on the basis of self assessment. The DGT may assess or amend taxes within ten years of the time the tax becomes due, or until the end of 2013, whichever is earlier. There are new rules applicable to fiscal year 2008 and subsequent years stipulating that the DGT may assess or amend taxes within five years of the time the tax becomes due.
Changes to taxation law On 3 September 2008 the House of Representatives approved the amendments to the income tax law. This was signed into law by the President on 23 September 2008. One of these amendments stipulates that the income tax for corporations is set at a flat rate of 28% commencing 1 January 2009 and further reduced to 25% from 1 January 2010.

Pada tanggal 13 Maret 2008, Perusahaan melakukan penawaran obligasi kepada masyarakat (Obligasi TPJ I tahun 2008 dengan tingkat bunga tetap) dengan Wali Amanat, PT Bank CIMB Niaga Tbk, pihak independen, dengan nilai nominal sebanyak-banyaknya sebesar Rp 700 milyar (nilai penuh) dengan penerimaan sebagai berikut: Nilai nominal/ Nominal amounts 97,000,000 149,500,000 368,000,000 614,500,000 Penerimaan ini digunakan untuk melunasi hutang bank Perusahaan kepada Citibank N.A.
On 13 March 2008, the Company completed a bond public offering (TPJ Fixed Rate Bonds I Year 2008) with the Trustee, PT Bank CIMB Niaga Tbk., an independent party, with a total nominal value at the maximum of Rp 700 billion (full amount) with proceeds as follows:

The proceeds of these bonds have been used to repay the Companys bank loan to Citibank N.A.
Interest on the bonds is paid quarterly every 13 June, 13 September, 13 December and 13 March of each year. The first interest payment was due on 13 June 2008, and the last interest payment will be due on 13 March 2015. The bonds were listed on the Indonesian Stock Exchange on 14 March 2008. The Companys bond has obtained A (idn) (Single A (idn); stable outlook) rating from PT Fitch Ratings Indonesia (FITCH) based on its letter No. RC059/DIR/XII/2010 dated 10 December 2010. The bonds are rated annually.
On 17 March 2009, the Company purchased Rp 30 billion (full amount) nominal value of the TPJ 1 Year 2008 Bond obligation Series C. The bonds were purchased at 87% of the face value and presented as treasury bond. On 23 March 2010, the Company re-sold Rp 30 billion (full amount) nominal value of the TPJ 1 year 2008 Bond obligation Series C. The bonds were re-sold at 90.5% of the face value.
The Company is also required to provide the following guarantees, in order to secure the settlement of its obligations based on the Trusteeship Agreement:

A one-year time deposit under the name of the Company (Time Deposit), which will be automatically renewed in an amount not less than 2% of the principal bonds payable to the Trustee which will be bound by the Time Deposit Pledge Agreement; and

Membuat hutang baru yang mengakibatkan dilanggarnya rasio keuangan sebagaimana dimaksud dalam Perjanjian Perwaliamatan, kecuali ketika hutang baru tersebut dipergunakan untuk melunasi jumlah terhutang; Memberikan pinjaman kepada afiliasi atau pihak ketiga dalam jumlah keseluruhan lebih dari 25% dari ekuitas Perusahaan sepanjang jangka waktu obligasi; Memberikan jaminan atas aset Perusahaan yang ada sekarang dan/atau yang diperoleh di kemudian hari dan/atau memberikan penanggungan atas kewajiban pihak lain kecuali bila terpenuhinya syarat-syarat tertentu; Membayar atau membagikan dividen secara tunai kepada pemegang saham Perusahaan kecuali apabila syarat-syarat tertentu terpenuhi; Menjual, menyewakan, mengalihkan atau melepaskan sebagian atau seluruh aset Perusahaan dalam jumlah lebih dari Rp 10 milyar (nilai penuh) dalam satu tahun buku atau sampai dengan pelunasan pokok obligasi tidak lebih dari Rp 50 milyar (nilai penuh); Melakukan penggabungan atau peleburan dengan perusahaan lain;

During the term of the bonds, the Company shall not execute any of the following actions without the written permission of the Trustee: a. EBITDA ditambah kas terhadap biaya bunga ditambah jumlah pokok obligasi yang terutang tidak kurang dari 1:1 dalam hal Perusahaan membuat hutang baru atau memperoleh penambahan hutang. b. Jika Acuatico memutuskan untuk menurunkan kepemilikannya di Perusahaan lebih rendah dari 51%, Perusahaan harus memperoleh persetujuan secara tertulis dari Wali Amanat sesuai dengan kondisi yang tertuang dalam Perjanjian Perwaliamanatan.
During the term of the bonds, the Company is also obliged to comply with the following to guarantee the bonds repayment: a. Maintain the following financial ratios: i. Debt to equity ratio of not more than 3:1;
ii. EBITDA to interest expense ratio of not less than 2:1 if the Company does not obtain new indebtedness; iii. EBITDA plus cash to interest expense plus the bonds principal obligation outstanding ratio of not less than 1:1 if the Company obtains new indebtedness or receives additional indebtedness. b. Should Acuatico decide to reduce its ownership in the Company to lower than 51%, the Company should obtain a written approval from the Trustee subject to conditions as stipulated in the Trusteeship Agreement.
Perusahaan berjanji dan mengikat diri untuk melakukan penyisihan dana untuk kepentingan pembayaran bunga obligasi setiap 30 (tiga puluh) hari sebelum tanggal pembayaran bunga obligasi dalam jumlah tidak kurang dari jumlah bunga obligasi yang akan jatuh tempo (selanjutnya disebut Penyisihan Dana).
The Company is committed to provide funds for the bonds interest payment every thirty days before the interest actually falls due, in which the value of the fund should not be less than the interest due itself (the Sinking Fund).
13. HUTANG OBLIGASI (lanjutan) Penyisihan Dana tersebut akan ditempatkan dalam bentuk deposito berjangka yang tanggal jatuh temponya sekurang-kurangnya 1 hari kerja sebelum tanggal pembayaran bunga obligasi. As at 31 December 2010 and 2009, the Companys authorised capital is 50,000,000 shares. On 21 May 2008, based on Notarial Deed of Sutjipto S.H. 23. PERJANJIAN, KOMITMEN DAN KONTINJENSI PENTING a. Komitmen pengeluaran modal Pada tanggal 31 Desember 2010, Perusahaan mempunyai komitmen untuk pengeluaran barang modal berdasarkan kontrak yang telah disepakati kurang lebih sebesar Rp 104,4 milyar (nilai penuh). Komitmen tersebut ditujukan untuk perluasan jaringan pipa Perusahaan.
23. SIGNIFICANT AGREEMENTS, COMMITMENTS AND CONTINGENCIES a. Capital expenditure commitments As at 31 December 2010, the Company had commitments for capital expenditure based on the contracts entered into amounting to approximately Rp 104.4 billion (full amount). The purpose of these capital commitments is to expand the Companys pipe network.
Based on the Fourth Addendum to the amended and restated Cooperation Agreement regarding Rebasing for period 2008 - 2012, the Company has committed to a capital investment program amounting to Rp 681.8 billion (full amount) for those periods based on 2008 constant price (refer to Note 1b). Litigation Business competition In 2004, the Business Competition Supervisory Commission of the Republic of Indonesia (KPPU), following a complaint by PT Gardatama Nusantara, investigated a suspected breach of Article 22 Law No. 5 year 1999 regarding the Prohibition of Monopolistic Practices and Unfair Business Competition involving the Company and PT Interteknis Surya Terang (IST). IST was the winner of the security services tender held by the Company. Based on KPPUs Decision Letter No. 05/KPPU-L/2004, which was read in the public court on 13 December 2004, the Company was required to pay a penalty amounting to Rp 1 billion (full amount) to the State Treasury. The Company filed an appeal to the South Jakarta District Court on 28 December 2004 in response to this decision. The South Jakarta District Court rejected the Companys appeal. On 14 March 2005, the Company appealed the South Jakarta District Courts decision as stated in its decision No. 002/Pdt.KPPU/2004/PN. Jak.Sel to the Supreme Court. In September 2005, the Supreme Court registered the case as case number 02 K/KPPU/2005. Based on the Supreme Courts Decision dated 13 January 2009, which official copy of a civil verdict was provided on 1 July 2010, the Supreme Court has rejected the Companys appeal. The Company has made a provision for this penalty.
Pada tanggal 13 Juni 2008, 1.055 Karyawan yang Diperbantukan PAM Jaya mengajukan gugatan di Pengadilan Hubungan Industrial kepada PAM JAYA (Tergugat), Perusahaan (Turut Tergugat I) dan Palyja (Turut Tergugat II) agar hakhak mereka disamakan dengan hak-hak karyawan kantor pusat PAM Jaya. Mereka juga menggugat agar PAM Jaya membayarkan selisih hak-hak mereka sejak tanggal 1 Februari 1998 seluruhnya sebesar Rp 224 milyar (nilai penuh). Pada tanggal 19 Februari 2009, Pengadilan Hubungan Industri pada Pengadilan Negeri Jakarta Pusat Nomor: 167/PHI.G/2008/PHI.PN.JKT.PST, telah mengeluarkan Putusan pada pokoknya menolak argumen para tergugat yang berbunyi sebagai berikut: Menghukum Tergugat, Turut Tergugat I dan Turut Tergugat II secara tanggung renteng untuk membayar kepada para Penggugat selisih uang tunjangan kesejahteraan, tunjangan makan, tunjangan transportasi, tunjangan berobat jalan dan tunjangan air, listrik, gas dan telepon dari tahun 2001 sampai dengan tahun 2007 sebesar Rp 101,3 milyar (nilai penuh).
On 13 June 2008, 1,055 of PAM Jayas Seconded Employees submitted a claim to the Industrial Court against PAM Jaya (Defendant), the Company (Co-Defendant I) and Palyja (Co-Defendant II), to adjust their wages in-line with PAM Jayas head office employees. They also demanded PAM Jaya pay the difference in their wages since 1 February 1998 amounting to Rp 224 billion (full amount).
On 19 February 2009, the Industrial Court in Central Jakarta District Court Number: 167/PHI.G/2008/PHI.PN.JKT.PST, has issued a Decision which, in principle rejected the arguments of all defendants and found as follows:
Punish the Defendant, Co-Defendant I and Co-Defendant II as responsible to pay the plaintiff the difference of cash welfare benefits, meals benefits, transportation benefits, medical benefits and benefits of water, electricity, gas and telephone from 2001 until 2007 amounting to Rp 101.3 billion (full amount).
Atas putusan tersebut, Tergugat, Turut Tergugat I dan Turut Tergugat II tidak setuju dan telah mengajukan memori kasasi ke Mahkamah Agung tanggal 16 Maret 2009. Pada tanggal 4 November 2009, Mahkamah Agung berdasarkan Putusan Mahkamah Agung RI Nomor: 730 K/Pdt.Sus/2009 telah mengeluarkan Putusan yang memenangkan Perusahaan, yang berbunyi: menolak gugatan para Penggugat untuk seluruhnya.
Defendant, Co-Defendant I and CoDefendant II did not agree with the decision and filed a written plea to the Supreme Court on 16 March 2009. On 4 November 2009, the Supreme Court, based on the Supreme Courts Decision Number: 730 K/Pdt.Sus/2009 has issued a decision in favor of the Company which stated: reject all claims filed by the Plaintiffs.
On 20 December 2010, the Company submitted a contra memorandum motion to reconsider that submitted to the Industrial Court in Central Jakarta District Court No. 28/Srt.Pk/2010/PHI.PN.JKT.PST. As at the date of the financial statements, the decision from the Supreme Court has not yet been issued.
The Companys claim over illegal water connection and consumption to PT Ancol Pusaka On 13 January 2010, the Company (the Plaintiff) submitted a claim to North Jakarta District Court based on Registration No. 09/Pdt.G/2010/PN.Jkt.Ut. against PT Ancol Pusaka (the Defendant) for illegal water connection and consumption in Permata Ancol area allegedly performed by the Defendant. The Plaintiff claimed the defendant has to pay Rp. 10,2 billion (full amount) in total. Aetra has reported such illegal activities to the police (Polda Metro Jaya) under police report no. LP/2985/K/XII/2008/SPK Unit III dated 2 December 2008. On 3 May 2010, North Jakarta District Court issued a decision in favor of the Company by punishing the defendant to pay compensation amounting to Rp 9.6 billion (full amount). On 7 June 2010, the Company has received a copy of the verdict which declared that on 7 June 2010 the decision was final and binding.
The Companys claim over illegal water connection and consumption to PT Kelapa Gading Square The Company (Plaintiff) has reported illegal water connection by PT Kelapa Gading Square (Defendant) to the police (Polda Metro Jaya) under police report No. 130/K/I/2010/SPK UNIT II dated 15 January 2010. The Plaintiff claimed the Defendant has to pay Rp 2.5 billion (full amount) in total.
This case is still under investigation by the police. The Companys claim over illegal water connection and consumption to PT Steel Mills and PT Jakarta Prima Steel The Company (Plaintiff) has reported illegal water connection by PT Steel Mills and PT Jakarta Prima Steel (Defendant) to the police (Polda Metro Jaya) under police report No. LP/2546/K/X/2008/SPK UNIT III dated 21 October 2008. The Plaintiff claimed the Defendant has to pay Rp 1.8 billion (full amount) in total.

Perjanjian Penyediaan Fasilitas Pinjaman Guna Memenuhi Komitmen Capital Expenditure (Capex) Pada tanggal 28 Desember 2007, Perusahaan dan Acuatico menandatangani Perjanjian Penyediaan Fasilitas Pinjaman Guna Memenuhi Komitmen Capex. Kedua belah pihak telah menyetujui hal -hal sebagai berikut: 1. Fasilitas sebesar-besarnya bernilai AS$15.000.000 (nilai penuh) yang tersedia hanya dapat dipergunakan semata-mata untuk membiayai program penyediaan barang modal yang telah disepakati oleh Perusahaan dan PAM JAYA berdasarkan Perjanjian Kerjasama (selanjutnya disebut Capex yang Diperjanjikan), dalam hal kondisi keuangan Perusahaan tidak memungkinkan untuk membiayai sendiri pelaksanaan program tersebut. Karena itu, untuk menghindari keraguan, Perusahaan harus berupaya untuk dapat membiayai sendiri pelaksanaan Capex yang Diperjanjikan sebelum menggunakan fasilitas yang tersedia; 2. Pencairan fasilitas dilakukan sesuai kebutuhan Perusahaan untuk menutupi kekurangan pembiayaan Capex yang Diperjanjikan, dengan ketentuan dapat dilakukan sampai dengan seluruh fasilitas termanfaatkan; 3. Fasilitas yang tersedia bersifat pinjaman tanpa bunga dari Acuatico (selanjutnya disebut Pinjaman); 4. Setiap permintaan penarikan pinjaman harus disetujui Acuatico, dengan dokumen yang lengkap; dan 5. Pinjaman hanya dapat dikembalikan oleh Perusahaan apabila tidak mengganggu keuangan Perusahaan. Sampai dengan tanggal laporan keuangan ini, Perusahaan belum menggunakan fasilitas ini.
Loan Facility Agreement for Financing of Capital Expenditure Commitment (Capex) On 28 December 2007, the Company and Acuatico entered into a Loan Facility Agreement for financing of Capital Expenditure Commitment. The parties have agreed on the following:
1. The facility of at most US$15,000,000 (full amount) is only available to finance the capital expenditure program, which has been agreed upon by the Company and PAM JAYA under the Cooperation Agreement (hereafter known as Agreed Capex), in the event that the Companys cashflow is insufficient to self-finance the program implementation. Hence, in order to avoid any doubt, the Company shall persist in self-financing the program before resorting to using the facility;
2. The facility can be withdrawn when the Company needed to cover the shortage to finance the Agreed Capex program until the facilty is fully used;
3. The facility is a non-interest-bearing loan from Acuatico (hereafter known as Loan); 4. The requests for Loan withdrawal shall be agreed by Acuatico and supported by the complete documents; and 5. The Loan shall be repaid only when the transaction will not disrupt the Companys cash flow. Up to the date of this financial statements, the Company has not used this facility.
The Company has calculated the costs to repair the damaged equipment and building and assessed the loss of gross profit suffered. The Company has submitted an insurance claim amounting to US$1,877,564 (full amount) to recover these costs and other losses under the appropriate policies.
Until the period ended 31 December 2010, the Company has received a total of US$1,822,707 (full amount) or equivalent to Rp 17.8 billion (full amount) for these claims, which has been recorded as other income in the financial statements. Performance penalty In Schedules 8 and 15 of the Revised Agreement, the Company is subject to certain penalties or sanctions if it is not able to achieve certain technical targets or service standards. Penalties have been agreed with PAM JAYA in respect of the period 2006 to 2007 and settlement attained through deduction from the monies owing by PAM JAYA. The Company is of the view that penalties do not apply for periods prior to 2006. For the year ended 31 December 2010, the Company has provided for penalties at the level it believes are applicable under the Restated Cooperation Agreement Fourth Addendum.

26. MANAJEMEN RISIKO Berbagai aktivitas yang dilakukan membuat Perusahaan terekspos terhadap berbagai risiko keuangan, termasuk didalamnya adalah dampak nilai tukar mata uang asing, tingkat harga komoditas, dan tingkat suku bunga. Tujuan dari manajemen risiko Perusahaan adalah untuk mengidentifikasi, mengukur, mengawasi, dan mengelola risiko dasar dalam upaya melindungi kesinambungan bisnis dalam jangka panjang dan meminimalkan dampak yang tidak diharapkan pada kinerja keuangan Perusahaan. a. Risiko pasar (i) Risiko mata uang asing Pendanaan dan sebagian besar biaya Perusahaan didenominasi Rupiah. Beberapa biaya dilakukan dalam mata uang Dolar AS. Atas transaksi ini, Perusahaan membeli Dolar AS secara spot untuk melakukan transaksi atas biaya yang didenominasi dalam Dolar AS. (ii) Risiko harga Perusahaan juga menghadapi risiko harga komoditas berkaitan dengan pemakaian listrik yang diperlukan untuk menjalankan operasinya, dimana mulai 1 Juli 2010 Pemerintah memutuskan menaikkan tarif dasar listrik rata-rata 10% berdasarkan Pasal 8, UndangUndang No. 2 Tahun 2010. (iii) Risiko suku bunga Untuk mengurangi risiko perubahan tingkat suku bunga yang menyebabkan adanya ketidakpastian arus kas terhadap pembayaran beban bunga di masa depan, Perusahaan mengeluarkan obligasi dengan tingkat suku bunga tetap.
26. RISK MANAGEMENT The Companys activities expose it to a variety of financial risks, including the effects of foreign currency exchange rates, commodity prices and interest rates. The objectives of the Companys risk management are to identify, measure, monitor and manage basic risks in order to safeguard the Company's long term business continuity and to minimise potential adverse effects on the financial performance of the Company.

Market risk (i) Foreign exchange risk The financing revenue and majority expenditure of the Company are denominated in Rupiah. Several expenses are carried out in US Dollars. For these transactions, the Company purchased US Dollars based on spot to cover current expenses denominated in US Dollars. (ii) Price risk The Company faces commodity price risk relating to electricity usage necessary to run its operations, where starting 1 July 2010 Government have decided to increase electricity base price by average 10% based on Article 8, Law no. 2, Year 2010. (iii) Interest rate risk In order to reduce the risks caused by fluctuation in the interest rate which increase the uncertainty of the cash flow for interest payments in the future, the Company issued fixed rate bonds.

As at 31 December 2010, balance of trade receivables that has been overdue more than 30 days amounting to Rp 3 billion (full amount), which represents 2.36% of total trade receivables. Management is confident in its ability to maintain minimal exposure of credit risk given that the Company has clear agreement with PAM JAYA. c. Liquidity risk Liquidity risk is defined as a risk arises in situations where the Company's cash flow indicates that the cash inflow from short-term revenue is not enough to cover the cash outflow of short-term expenditure. In the liquidity risk management policy, the Company monitor and maintain a level of cash and cash equivalents deemed adequate to finance the Company's operational activities and to mitigate the effect of fluctuation in cash flows. The Company's management also regularly monitor the projected and actual cash flows, including their loan maturity profiles, and continuously assess condition in the financial markets for opportunities to pursue fund-raising.
d. Fair value Fair value represents the amount by which financial assets are exchangeable, or financial liabilities could be settled upon arms-length terms. The table below represents recorded amount and fair value of financial assets and financial liabilities:

Fair value of trade receivables are measured using discounted cash flows based on the interest of time deposits at market. Fair value of bonds payable are measured using the quoted market price at balance sheet date. b. Short-term Loans On 9 February 2011, the Company obtained a loan facility amounting to Rp 100 billion (full amount) with interest rate 10.85% per annum and foreign currency transaction facility amounting US$1 million (full amount) from PT Bank Internasional Indonesia, Tbk (BII) that used by the Company for working capital purposes and facilitating short term hedging transaction for one month.
This facility is secured by pledge over Companys bank account in BII (operational and escrow accounts). Under the facility agreement, the Company is required to maintain certain financial ratios and to comply with certain restrictive covenants related to the Companys nature of business, corporate actions and others. Financing Capital Expenditure Facility On 17 March 2011, the Company obtained a Financing Capital Expenditure Facility amounting to Rp 150 billion (full amount), which consists of Facility A and Facility B amounting to Rp 50 billion (full amount) and Rp 100 billion (full amount), with interest rate 10.85% per annum for 3 years period for facility A and 11.85% per annum for 5 years period for facility B since the signing of Financing Facility Agreement from PT Sarana Multi Infrastruktur (Persero) that used by the Company for financing capital expenditure purposes for drinking water infrastructure.
This facility is secured by pledge oves on Debt Service Reserve Account that required as collateral on the appointed bank.
