TENANCY AGREEMENT An Agreement made the_______________days of , between the Landlord and the Tena nt as more particularly described in the

The Landlord shall let and the Tenant shall ta e the Premises for the Term of Te nancy and at the Rent as more particularly described in the Schedule I and both parties agree to observe and perform the terms and conditions asfollows:

1. The Tenant shall pay the Rent in advance on the day of each and every calendar m onth during the Term of Tenancy. If the Tenant shall fail to pay the Rent after 7 days from the due date, the Landlord shall have right toinstitute appropriate action to recover the rent and all costs, expenses and other outgoing so incurre d by theLandlord in relation to such action shall be a debt owed by the Tenant t o the Landlord and shall recoverable in full by the Landlord.

2. The Tenant shall not ma e any alteration and / or additions to the Premises with out the prior written consent of theLandlord, which consent shall not be unreaso nably withheld.

3.The Tenant shall not assign, transfer, sublet or part with the possession of t he Premises or any part thereof to anyother person. This tenancy shall be person al to the Tenant named herein.

4. The Tenant shall comply with all ordinances, regulations and rules of Hong Kong and shall observe and performthe covenants, terms and conditions of the Deed of Mutual Covenant and Sub-Deed of Mutual Covenant (if any)relating to the Premises . The Tenant shall not contravene any negative or restrictive covenants containe d in theGovernment Lease(s) under which the Premises are held from the Governmen t. 5. The Tenant shall during the Term of Tenancy pay and discharge in respect of wate r, electricity, gas and telephone 1

and other similar charges payable in respect of the Premises. 6.

The Tenant shall during the Term of Tenancy eep the interior of the Premises in good and tenantable repair andcondition (fair wear and tear and damage caused b y inherent defect excepted) and shall deliver up vacant possession of the Premis es in the same repair and good condition on the expiration or sooner determinati on of thistenancy. ( ) 7. The Tenant shall pay to the Landlord the Security Deposit set out in the Schedul e I for the due observance and performance of the terms and conditions therein c ontained and on his part to be observed and performed. Providedthat there is no antecedent breach of any of the terms and conditions herein contained, the Landl ord shall refund theSecurity Deposit to the Tenant without interest within 30 da ys from the date of delivery of vacant possession of thePremises to the Landlord or settlement of any outstanding payment owed by the Tenant to the Landlord, wh ichever is later. If the Tenant shall commit a breach of any of the terms and co nditions herein contained, this Agreementshall absolutely determine and the Secu rity Deposit paid under this clause shall be absolutely forfeited to theLandlord as and for liquidated damages (but not as penalty) and the rights and remedies given to the Landlord bythis clause shall not prejudice any other right of actio n or any remedy of the Landlord in respect of such breach bythe Tenant. Provided the Tenant shall have paid the Rent and other outgoing on the days and in the manner herein provided andobserve and perform the terms and conditions he rein contained and on the Tenants part to be observed and performed, the Tenant s hall peacefully hold and enjoy the Premises during the Term of Tenancy without a nyinterruption by the Landlord.

9. The Landlord shall eep and maintain the structural parts of the Premises and th e main drains, pipes and cables in proper state of repair, provided that the Lan dlords liability shall not be incurred unless and until written notice of any def ect or want of repair has been given by the Tenant to be Landlord and the Landlo rd has confirmed that suchdefect is not caused by any intentional behaviors or n egligence of the Tenant and the Landlord shall have failed tota e reasonable ste ps to repair and remedy the same after the lapse of a reasonable time from the d ate of service of such notice. 10.The Landlord shall pay the Property tax payable in respect of the Premises. 11. The Stamp Duty payable on this Agreement shall be borne by the Landlord and the Tenant in equal shares.

12.The Landlord and the Tenant agree to is bound by the additional terms and con ditions contained in the Schedule II(if any). ( )

13. If there is any conflict between the English version and the Chinese version in the agreement, the English versionshall prevail.
