Entry Terms & Conditions: IN SYNCHLIFES A PITCH

During the Berlin Music Week 2012, Red Bull Media House GmbH (RBMH), in cooperation with all2gethernow e.V. and Tracks and Fields GmbH, present the composition contest IN SYNCHLIFES A PITCH as a case study. The goal is to find the best scoring of a Red Bull spot provided by RBMH. The winner of the contest, to be selected in public by a panel of judges at Berlin Music Week on September 6, 2012, will have the opportunity to sign an exclusive publishing agreement with RBMH providing, among other things, for an advance of EUR 2,000. The following terms and conditions apply for entry in the contest: 1 Entry (1) As a rule, all natural persons 18 years or older are eligible to enter. (2) It is possible to enter the contest until Midnight CET on August 31, 2012 (deadline for entries). (3) Employees of Red Bull Media House GmbH, all2gethernow e.V., and Tracks and Fields GmbH and the respective affiliates thereof and their family members are not eligible to enter. (4) As a rule, no one has an absolute right to enter the contest. RBMH may reject any entry without stating reasons. RBMH further reserves the right to disqualify previously admitted entrants from the contest at any time. 2 Contest procedure Entry to the contest is performed online at www.tracksandfields.com, a platform belonging to Tracks and Fields GmbH, or via e-mail. To enter the contest, entrants must accept the entry terms and conditions by e-mail (to INSYNCH@tracksandfields.com). The entrant will then receive an e-mail message containing a download link where he or she can download the Red Bull spot. The entrant is free to submit his or her specially composed music as an audio track only or to combine his or her music with the Red Bull spot and submit it as video material with an audio track (audio and/or video material referred to hereinafter collectively as the Material). In either case, the Material may be submitted either by uploading it to tracksandfields.com or sending it by e-mail to: INSYNCH@tracksandfields.com. In the event the entrant submits his or her originally and solely composed music as an audio track only, RBMH will combine the audio track with the advertising spot. The same applies if it becomes necessary for technical reasons to recombine the audio track with the Red Bull spot. The Material will then be published in a form visible and audible for all users at www.tracksandfields.com. A panel of judges will select three finalists from among all entrants, and these will be notified by e-mail. A public discussion by the judging panel will take place on September 6, 2012, as part of Berlin Music Week, in which the submitted Material by the three finalists will be presented and evaluated. The winner will be selected from among the three finalists at the end of the panel discussion. If the winner cannot attend personally, he or she will be notified by e-mail. 3 Prize (1) The composer/author of the winning title will have the opportunity to sign an exclusive publishing agreement with respect to the submitted composition with Red Bull Media House GmbH, as well as a non-exclusive licensing agreement for the master of the winning title; the publishing agreement provides for an advance payment of 2,000 euros, among other things. The advance shall be non-returnable but fully recoupable against any royalty payments to composer by RBMH. After signing the publishing agreement and licensing agreement, the winning title will be added to the Red Bull Audio Library, thereby making it accessible to worldwide exploitation in all Red Bull productions. (2) Cash payout of the advance without signing the publishing agreement is hereby precluded. (3) The prize is non-transferable. (4) The winner is required to make himself or herself reasonably available for media/photo dates and interviews after the contest, and hereby consents to the use of his or her personal information for these purposes. 4 Travel costs Entrants pay all their own travel expenses. 5 Use of the Red Bull spot Entrants acknowledge that they may download, adapt, and dub the RBMH advertising spot available for download at Tracksandfields.com exclusively for use in the context of the contest. After being redubbed, the advertising spot must be sent exclusively to the above-named E-mail address. Any other use is hereby prohibited. This goes especially for uploads to the entrants own websites (e.g., showreels), social networks (e.g., Facebook), or video portals (YouTube, Vimeo). Violation of this provision may result in disqualification of the entrant from the contest.

6 Utilization rights to submitted content (1) Entrants agree that the Material they submit will be made available to the public for all users at TracksandFields.com. If the entrant is among the three finalists, he or she hereby grants RBMH the right to additionally play the Material publicly and make it perceivable to the public during the public panel discussion at Berlin Music Week. The judges will publicly discuss and evaluate the Material. To this end, RBMH is authorized to recombine the submitted Material with the advertising spot, if necessary, and to adapt, reproduce, distribute, and store the Material while preserving the moral rights of the author. (2) RBMH may transfer any and all rights shown in Section 6 (1) to third parties. (3) RBMH is further authorized and entitled to place ads and/or perform other promotional measures in connection with the contest and/or Berlin Music Week using the Material. 7 Guarantee of rights and indemnification from third-party claims (1) The entrant warrants and assures that he or she will solely use originally composed music to participate in the contest. (2) The entrant states and declares that he or she holds all rights to the music (composition and recording) submitted by him or her. (3) The entrant guarantees that he or she is authorized and entitled to enter the contest and, if appropriate, to sign an exclusive-title publishing agreement with RBMH, and specifically that he or she is not prevented from signing such an agreement by any other conflicting publishing contract. If the entrant is bound to a conflicting -publishing agreement, a release declaration from the publisher must be sent to Red Bull Media House GmbH, Attn.: Christine Tottlepp, Oberst-Lepperdinger-Strasse 11-15, A-5071 Wals bei Salzburg. (4) The entrant guarantees that the Material and/or the components thereof do not violate third-party rights. Entrants hereby indemnify RBMH and its affiliates and will hold them harmless from any and all claims by third parties on first request in this context, and will compensate RBMH for any legal defense costs incurred. 8 Preclusion of unlawful/damaging content (1) The entrant is required to follow all statutory and legal provisions in the course of participating in the contest. (2) In particular, the entrant is required not to send any content to RBMH containing elements that are unlawful, grossly offensive, pornographic or sexual, harmful to young people, extremist, that glorify or trivialize violence, glorify war, promote any terrorist or extremist political association, solicit any criminal offense, contain defamatory statements, or any other criminal content. Entrants are prohibited from submitting or uploading content that pursues commercial interests (particularly spam), spreads or is intended to promote political or ideological positions (particularly those that make use of symbols or signs of such ideologies), or that otherwise has any political or ideological objective. (3) The sender guarantees that the submitted or uploaded content is free of viruses, worms, Trojans, or other programs that might endanger or harm the functional capacity of the websites of Tracks and Fields GmbH, RBMH, or the websites of RBMHs affiliates or other users. 9 Liability (1) RBMH assumes no liability for any damage or loss whatsoever. Furthermore, RBMH shall be liable only for damage caused through intentional misconduct and gross negligence or by violating material contractual obligations. This does not apply to injuries to life, limb, or health. (2) The preceding limitation of liability applies in particular to damage resulting from impairment of the availability of the website tracksandfields.com in case of technical faults that cannot be influenced and events of force majeure, as well as attacks by third parties against this website. 10 Personal data and special data privacy provisions (1) The information provided by the entrant (name, mailing address, E-mail address) will be stored by RBMH in connection with participation in the contest and handled in accordance with the legal data privacy provisions. (2) The entrant hereby agrees that the data provided in the course of participation will be stored and used by RBMH and Tracks and Fields GmbH to conduct the contest, and if appropriate will be published with name, image, and video. This consent may be canceled in writing at any time by sending an E-mail message to info@tracksandfields.com. Such cancellation will end the entrants participation in the contest.

(3) Following the end of the contest, all data provided by the entrant for the purpose of participating in the contest will be deleted at RBMH. Deletion of the data stored at Tracks and Fields GmbH will be based on the usage and data privacy provisions of Tracks and Fields GmbH (http://www.tracksandfields.com/page/privacy?view_blank=1). If a newsletter subscription was requested at the time of entry in the contest, the entrants E-mail address may be stored for that purpose. 11 Miscellaneous (1) These terms and conditions of entry may be modified by RBMH at any time without special notification. (2) RBMH reserves the right to bar entrants from use who violate these terms and conditions of entry, and, if applicable, to assert damages. The sender does not have the right to have his or her submitted content returned or otherwise provided. (3) Should individual provisions of the terms and conditions of entry be or become invalid, the validity of the remaining terms and conditions of entry shall not be affected thereby. They shall be replaced by a reasonable arrangement that most nearly corresponds to the economic goal of the invalid provision. (4) These terms and conditions of entry and the entire legal relationship between entrants and RBMH are governed by and shall be construed exclusively in accordance with Austrian law. (5) Recourse to the courts is precluded hereby.
