1.0 Purpose.

than51percentofthenetprofits/lossesearnedbytheJointVenturewillbedistributedtotheManaging
Venturer.

4.0 BankAccount.

6.0 ContractPerformance.

6.1 SourceofLabor.TheManagingVenturerhassubmittedthefollowingstaffingplan
outliningitsmethodofmaintainingalaborpoolthroughoutthedurationof8(a)Contract
performance.

7.0 EnsuredPerformance.
EachoftheVenturersindividuallyagreestoensureperformanceofthe8(a)Contractandtocomplete
performancedespitethewithdrawalofanymember.

8.0 AccountingandAdministrativeRecords.
AccountingandotheradministrativerecordsrelatingtotheJointVenturewillbekeptintheofficesof
theManagingVenturer,unlessapprovaltokeepthemelsewhereisgrantedbytheU.S.SmallBusiness
Administration(SBA)DistrictDirectororhis/herdesigneeuponwrittenrequest.

9.0 FinalOriginalRecords.
Uponcompletionofthe8(a)Contract,thefinaloriginalrecordsoftheJointVenturewillberetainedby
theManagingVenturer.

10.0
QuarterlyFinancialStatements.
Quarterlyfinancialstatementsshowingcumulative8(a)Contractreceiptsandexpenditures(including
salariesoftheJointVenturesprincipals)willbesubmittedtoSBAnotlaterthanfortyfive(45)daysafter
eachoperatingquarteroftheJointVenture.

11.0
ProjectEndProfitandLossStatement.
Aprojectendprofitandlossstatement,includingastatementoffinalprofitdistribution,willbe
submittedtoSBAnolaterthan90daysaftercompletionofthe8(a)Contract.

12.0
PerformanceofWork.

TheManagingVenturerwillperform [describeservices]

thenameof[8(a)ParticipantName]and[PartnerVenturersName]tradingas[JointVentureName].

15.0
AmendmentstotheAgreement.
AllamendmentstothisAgreementshallbeinwritingexecutedbybothpartieshereto,andmustbe
approvedinwritingbySBA.

16.0
InspectionofRecords.
SBAmayinspecttherecordsoftheJointVenturewithoutnoticeatanytimedeemednecessary.

17.0
Mediation.
IfanycontroversyorclaimarisingoutofthisAgreementcannotbeagreeduponbytheVenturers,the
controversyorclaimshallbesettledbymediation,inaccordancewiththefollowing:

17.1
TheclaimorcontroversyshallberesolvedbyamediatoroftheAmericanMediation
Association.
17.2
Themediatorshalldecide,resolveanddeterminetheclaimorcontroversy.Thewritten
decisionofthemediatorshallbefinalandconclusiveupontheVenturers.Judgmenton
suchadecisionmaybeenteredinthehighestcourtortheforumhavingjurisdiction.
17.3 Whilethemediationproceedingispending,workonsaidcontractwillcontinuewithout
interruptionuntilcompletion.

18.0
OtherProvisions.

ThissectionshouldincludeallprovisionstheVenturerswouldordinarilyincludeinlimitedliability
companyoperatingagreementsormemberagreements,partnershipagreements,shareholder
agreements,bylaws,buysellagreements,andthelike.Suchprovisionsmustnotconflictwiththeabove
provisionsandmustnotviolatetheprovisionsoftheCodeofFederalRegulations,Title13,Part124.
