Amit, With reference to your application and subsequent interview, the Management is pleased to appoint you on the following terms and conditions: 1. Designation: Senior Executive Accounts 2. Date of Appointment: June 8, 2012 3. Salary Annexure : CTC-Rs. 180000/- Annum (as per enclosed Annexure) 4. Probation You will be on probation for a period of six months from the date of your joining, where after if your services are found satisfactory, you will be confirmed in writing. If found necessary, probation period may be extended for such further period as required by the management However your services may be dispensed with during the probation period or the extended period of probation by either side without assigning any reason thereof. Unless confirmed in writing by management, you will be deemed as probationer. 5. Termination This letter of appointment has been issued to you on the understanding that there is nothing in your past record which should have weighed with the management while considering you for employment. If, however, it is found that your past record is objectionable in any manner, or if any declaration given by you at the time of your appointment to the Company proves false or it is found that you have willfully suppressed any material information or misrepresented the facts then your appointment itself shall be treated as irregular and your services shall be terminated forthwith without any notice. After confirmation, your services can be terminated by one month's notice in writing on either side or payment in lieu thereof. The management shall, however, have a right to refuse to accept your resignation in case disciplinary proceedings are pending or contemplated against you. 6. Prohibition During the period of employment with us, you shall not serve or try to serve any other job or business, honorary or remunerative, nor would you undertake any course of study or part time work without the express permission and consent in writing of the Management.

7. Secrecy That you will not utilize, disclose or divulge to any person or persons any secret of the Company 8. Company Property Upon your resignation or termination of your employment for any reason, you will deliver to the company all computer hardware, software, equipment, keys, passes, password, documents, records, reports, notes, copies or any other property of the company in whatever form, which may be in your possession or control, which relate in any way to the business of the company or contains any confidential information. 9. Performance of duties That, during the course of your employment, you will discharge your duties efficiently and diligently and to the best of your ability and shall devote your whole time and attention to the Organization and shall carry out the instructions of your superiors. You will be entrusted with such duties as the Management may consider fit and shall adhere to the schedule of work, which may change from time to time. You shall accept such promotions, transfers, and increments as formulated from time to time and existing under the rules and regulations of the Company. 10. Suspension Pending Enquiry (a) In case, you are charged with any acts of misconduct, you may be suspended from duty pending enquiry. During suspension, you shall be entitled to 50% wages. If, after the enquiry, you are found guilty, you shall not be entitled to remaining 50% wages for the period of suspension. If however, the charges are not proved, you shall be deemed to be on duty during the period of your suspension and you will be entitled to full wages for this period. (b) In case, any employee is suspended from duty pending further enquiry into the charges level against him, he may be required to mark his attendance daily during the period of suspension failing which he will be treated as absent and deduction from his subsistence allowance for that month will be made accordingly. In case of long period of suspension pending further enquiry into the charges leveled against an employee, he/she will have to give an affidavit to the effect that he/she is not working anywhere during the period of suspension. In case, he/she fails to submit such affidavit, subsistence allowance may not be paid to him/her. 11. Service of Notice For any service of Notice or communication of whatever kind, you will be informed by ordinary post at the address given by you at the time of joining or such other address which you may hereafter intimate to the Management. All communications sent to you by the Management at your last given address will be deemed to have been received by you. In case of any change in your residential address during the course of your employment, it will be your duty to intimate the Management in writing with in 2 days about such a change and will get the changes so effected/recorded in the personal file maintained for the purpose

12. Place of Posting Youre Place of posting will with Virgo Softech Ltd at all India but your services shall be liable to be transferred to any of the office and any of the department of the company anywhere in India, purely at the discretion of the management or on account of exigencies of work. Upon such transfer, the rules and regulations of service applicable to such post or at the place of transfer will become applicable to you. Your designation may be changed as and when necessary keeping in view the nature of the job assigned to you. 13. Medical fitness Your appointment and its continuance is subject to your being found medically fit and the Management shall have the right to get you examined from the Companys doctor whose findings shall be final and binding on you. 14. Automatic Termination Your services would come to an end automatically on attaining the age of 58 years. However in case of your continuous illegal absence from the services for a period of Seven days or violation of any of the terms and conditions of your appointment by you, Your services shall stand terminated forthwith for which no notice will be required to be served by the management. 15. Rules & Regulations Your appointment and work in the Company will be subject to the rules and regulations of the Company as promulgated and modified from time to time in relation to conduct, discipline, medical and other matters which will be deemed as Rules, Regulations and form part of the terms of employment. Please sign the duplicate copy of this letter as a token of acceptance of the terms & conditions mentioned above.
