(HEREINAFTER BEST BUY). CAREFULLY READ THIS EULA. THIS EULA APPLIES TO YOUR USE OF THE SOFTWARE, SOFTWARE UPDATES OR ANY RELATED DOCUMENTATION PREINSTALLED ON, OR SHIPPED WITH, A BEST BUY OR SUPPLIER HARDWARE PRODUCT OR OTHERWISE MADE AVAILABLE TO YOU BY BEST BUY IN WHATEVER FORM OR MEDIA, INCLUDING BUT NOT LIMITED TO PRINTED MATERIALS, ELECTRONIC MATERIALS, ONLINE OR THROUGH ELECTRONIC MEDIA, WHICH FACILITATES THE DOWNLOAD OF THIRD-PARTY CONTENT PROVIDERS SOFTWARE (HEREINAFTER CONTENT PROVIDER SOFTWARE) WHICH MAY BE PRESENTED TO YOU AS PART OF THE INSTALLATION OR SET UP PROCESS ASSOCIATED WITH A PERSONAL COMPUTER (HEREINAFTER SOFTWARE). IF YOU DO NOT AGREE WITH THE TERMS OF THIS EULA, DO NOT INSTALL, COPY OR USE THE SOFTWARE. 1. License Grant. The Software is licensed, not sold. Best Buy grants to you a personal, non-transferable and non-exclusive right to use the copy of the Software. You agree you will not copy the Software except as necessary to use it on a single hardware product system at one location. Modifying, translating, renting, copying, distributing, transferring, lending or assigning all or part of the Software, or any rights granted hereunder, to any other persons and removing any proprietary notices, labels or marks from the Software is strictly prohibited. Furthermore, you hereby agree not to create derivative works based on the Software. 2. Content Provider Software. You acknowledge and agree that use of the Software may involve, be associated or require you to download or utilize Content Provider Software. Before you use, access or download Content Provider Software you may be presented with an end user license agreement for or related to the Content Provider Software. Your use of the Content Provider Software shall be governed by such end user license agreement. You understand and agree that Best Buy does not support, provide service with respect to, or have any control over the Content Provider Software. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEST BUY DISCLAIMS ALL WARRANTIES WITH REGARD TO THE CONTENT PROVIDER SOFTWARE, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BEST BUY DOES NOT WARRANT WORKMANLIKE CONDUCT IN OR RELATED TO THE CONTENT PROVIDER SOFTWARE, THE RELIABILITY OR AVAILABILITY OF THE CONTENT PROVIDER SOFTWARE, THE ACCURACY OR COMPLETENESS OF THE CONTENT PROVIDER SOFTWARE, OR ANY RESPONSES, OR RESULTS RELATED TO OR GENERATED BY THE CONTENT PROVIDER SOFTWARE. IN ADDITION, BEST BUY DOES NOT WARRANT THAT THE CONTENT PROVIDER SOFTWARE IS FREE FROM VIRUSES, THAT THE FUNCTIONS CONTAINED IN THE CONTENT PROVIDER SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE CONTENT PROVIDER SOFTWARE WILL BE UNINTERRUPTED OR ERRORFREE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE CONTENT PROVIDER SOFTWARE IS WITH YOU.

3. Termination. Without prejudice to any other rights, Best Buy may terminate this EULA if you fail to comply with the terms and conditions of this EULA. 4. Intellectual Property. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of Best Buy and/or its suppliers, and you will not acquire any rights to the Software, except the license expressly set forth above. 5. Reverse Engineering. You agree that you will not reverse compile, reverse engineer, modify, translate or disassemble the Software (or attempt to do any of the foregoing) in whole or in part. Any failure to comply with the above or any other terms and conditions contained herein will result in the automatic termination of this license and the reversion of the rights granted hereunder to Best Buy. 6. Disclaimer of Warranty. THE SOFTWARE IS PROVIDED AS lS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BEST BUY AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES WITH REGARD TO THE SOFTWARE. EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF NON-INFRINGEMENT OF THIRD PARTY RIGHTS, AND THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. NEITHER BEST BUY NOR ITS SUPPLIERS WARRANT WORKMANLIKE CONDUCT IN OR RELATED TO THE SOFTWARE, THE RELIABILITY OR AVAILABILITY OF THE SOFTWARE, THE ACCURACY OR COMPLETENESS OF THE SOFTWARE, OR ANY RESPONSES, OR RESULTS RELATED TO OR GENERATED BY THE SOFTWARE. IN ADDITION, NEITHER BEST BUY NOR ITS SUPPLIERS WARRANT THAT THE SOFTWARE IS FREE FROM VIRUSES, THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR THAT THE SOFTWARE IS ERROR-FREE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU. 7. Limitation of Liability. BEST BUYS ENTIRE LIABILITY AND YOUR SOLE AND EXCLUSIVE REMEDY UNDER THIS EULA SHALL NOT EXCEED U.S. $5.00. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BEST BUY OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, SPECIAL, INCIDENTAL OR INDIRECT DAMAGES FOR PERSONAL INJURY, LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION/DATA, OR ANY OTHER PECUNIARY LOSS OF ANY KIND ARISING OUT OF THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF BEST BUY OR ITS SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL BEST BUY OR ITS SUPPLIERS BE LIABLE FOR ANY CLAIM BY A THIRD PARTY. 8. State/Jurisdiction Laws. SOME STATES/JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY MAY LAST, OR THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SUCH LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU. THIS EULA GIVES YOU SPECIFIC RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE/JURISDICTION TO STATE/JURISDICTION. 9. Links to Third Party Sites. You may be able to link to third party sites through use of the Software. The third party sites are not under

the control of Best Buy, and Best Buy is not responsible for the contents of any third party sites, any links contained in third party sites, or any changes or updates to third party sites. Best Buy is not responsible for webcasting or any other form of transmission received from third party sites. 10. Third Party Acknowledgements. A. This Best Buy software contains DotNetZip software that is licensed under the Microsoft Public License (Ms-PL). The software licensed under the Ms-PL is provided AS-IS. You bear the risk of using it. The contributors give no express warranties, guarantees or conditions. You may have additional consumer rights under your local laws which this license cannot change. To the extent permitted under your local laws, the contributors exclude the implied warranties of merchantability, fitness for a particular purpose and non-infringement. B. This Best Buy software contains Microsoft Windows API Code Pack for Microsoft .NET Framework licensed under a Microsoft Custom License. THE SOFTWARE PROVIDED UNDER THE CUSTOM LICENSE IS PROVIDED AS-IS. YOU BEAR THE RISK OF USING IT. MICROSOFT GIVES NO EXPRESS WARRANTIES, GUARANTEES OR CONDITIONS. YOU MAY HAVE ADDITIONAL CONSUMER RIGHTS UNDER YOUR LOCAL LAWS WHICH THIS AGREEMENT CANNOT CHANGE. TO THE EXTENT PERMITTED UNDER YOUR LOCAL LAWS, MICROSOFT EXCLUDES THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGMENT. LIMITATION ON AND EXCLUSION OF REMEDIES AND DAMAGES. YOU CAN RECOVER FROM MICROSOFT AND ITS SUPPLIERS ONLY DIRECT DAMANAGES UP TO $5.00. YOU CANNOT RECOVER ANY OTHER DAMAGES, INCLUDING CONSEQUENTIAL, LOST PROFITS, SPECIAL, INDIRECT OR INCIDENTIAL DAMAGES. C. This Best Buy software contains sharpBITS.NET software licensed under the BSD License 2007, 2008, sharpBITS.NET. THE SOFTWARE PROVIDED UNDER THE BSD LICENSE BY THE COPYRIGHT HOLDERS AND CONTRIBUTORS "AS IS" AND ANY EXPRESS OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE ARE DISCLAIMED. IN NO EVENT SHALL THE COPYRIGHT OWNER OR CONTRIBUTORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. 10. Internet-Based Services. A. The Software is intended to allow your computer to use Internet-based services provided by Best Buy. To provide you with the most up to date support, services, and software, you acknowledge and agree that Best Buy may automatically check the version of the Software installed on your computer and may provide upgrades or fixes to the Software that will be automatically downloaded and installed on your computer. B. In an effort to provide you with Content Provider Software recommendations that are suitable for your computer, the Software will check your computer for our list of available Content Provider Software.

This check will occur immediately after launching the Software. Best Buy may alter the recommended Content Provider Software based on the results of the software check. This scan of already installed software is not retained by Best Buy. By using the Software you acknowledge and agree to this use. C. So that we may improve our software offerings in the future, Best Buy also performs a scan of some computer hardware. This scan records information about your computer such as the make, model, IP Address, and Time Zone. You acknowledge and agree that Best Buy may collect and retain this information each time you access the Software and/or download Content Provider Software through the Software. In some cases, Best Buy may share such information with the vendor of the Content Provider Software for use related to the Content Provider Software. Related uses may include use to determine appropriate content for the device, available space for installation, etc. In addition, this information may be used to tailor software recommendations or messaging. 11. Export Laws. This EULA involves products and/or technical data that may be controlled under the United States Export Administration Regulations and may be subject to the approval of the United States Department of Commerce prior to export. Any export, directly or indirectly, in contravention of the United States Export Administration Regulations, or any other applicable law, regulation or order, is prohibited. 12. Governing Law. This EULA will be governed by the laws of the State of Minnesota, United States of America, excluding its conflicts of laws provisions. 13. United States Government Restricted Rights. The Software Is provided with RESTRICTED RIGHTS. Use, duplication, or disclosure by the United States Government, its agencies and/or instrumentalities is subject to restrictions as set forth in subparagraph (c)(1)(ii) of The Rights in Technical Data and Computer Software Clause at DFARS 252.227-7013 (October 1988) or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable. 14. Severability. It any provision of this EULA shall be hold to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions hereof shall not in any way be affected or impaired. 15. No Waiver. No waiver of any breach of any provision of this EULA shall constitute a waiver of any prior, concurrent or subsequent breach of the same or any other provisions hereof, and no waiver shall be effective unless made in writing and signed by an authorized representative of the waiving party. 16. Entire Agreement. This EULA (including any addendum or amendment to the EULA which is included in the Software) is the entire agreement between you and Best Buy, and supersedes all prior or contemporaneous oral or written communications, proposals and representations with respect to the Software or any other subject matter covered by this EULA.

17. Third-Party Beneficiaries. This Agreement is intended solely for you and Best Buy (including its affiliated companies), and it will not benefit or be enforceable by any other person or entity.
