Pmfessimlltls, LLC (the "Company" or "Health Industry"), does b=by consent. to the adoption
of the following Resolutions:
WHEREAS, the Member has held extensive discussions d:uting the course nf several
monlhs regarding the current circumstances of the fimmcial liquidity and business prospects of
the Company ami its parent company, witlt the Company's e>recutive officers and financial and
legal advisors; and
WHEREAS, the Member has evaluated and considered the infowation provided by and
