STIPULATION TO WITHDRAW SPECIAL PACA COUNSEL'S OBJECTION TO THE KINGDOM FRESH GROUP'S CERTAIN PACA CLAIMS
Kingdom Fresh Produce, Inc. ("Kingdom Fresh"), l Kunik Company, Inc. ("l Kunik") and Five Brothers Jalisco Produce Co. Inc d/b/a Bonanza 2001 ("Five Brothers") (collectively the "Kingdom Fresh Group") together with the debtor, Delta Produce, L.P., (the "Debtor"), in connection with the Perishable Agricultural Commodities Act, 7 U.S. C. 499a-t (the "PACA"), by and through their respective undersigned counsel, hereby stipulate to the withdrawal of the following objection: 1. The Debtor hereby withdraws its objection to I. Kunik's contract right to include

attorney's fees and costs into its PACA trust claim 2. The parties agree to include the Court-approved amount of any PACA claimant's

contractual attomey's fees and costs into the claimant's overall PACA trust claim. Any distributions made prior to the time the Court approves a request for attomey' s fees and costs shall include a holdback of the full amount of the pending or disputed request for attomey's fees and costs to avoid delay and prevent any prejudice to any bona fide PACA trust claims. 3. As of the date this Stipulation, the Debtor does not have any unresolved or remaining

objections to the PACA trust claims of any ofthe members ofthe Kingdom Fresh Group.
