Amendment to the Commitment Letter Regarding the Restructuring of the Hilton Suites in Anaheim, California

Lehman Brothers Holdings Inc. ("Lehman"), as lender of record for that certain mezzanine loan in the original principal amount of $21,300,000.00 (the "Anaheim Mezzanine Loan"), evidenced by among other things a mezzanine loan agreement dated as of June 29, 2007 (as amended, the "Anaheim Mezzanine Loan Agreement"), and CWCapital Asset Management LLC, as special servicer (solely in such capacity and on behalf of the Series 2005-C5 trust, "CW") for Wells Fargo Bank, N .A., as trustee for the registered holders of Credit Suisse First Boston Mortgage Securities Corp., Commercial Mortgage Pass-Through Certificates, Series 2005-C5 (the "Trustee" for the "Trust," respectively), holder of that certain mortgage loan in the original principal amount of $13.7 million (the "Anaheim Mortgage Loan"), evidenced by among other things a loan agreement dated as of June 14, 2005 (as amended, the "Anaheim Mortgage Loan Agreement"), hereby amend (this "Amendment") that certain Commitment Letter Regarding the Restructuring of the Hilton Suites in Anaheim, California, dated as of May 10, 2011, by and between Lehman and CW (together with the term sheet ("Term Sheet") attached thereto, the "Letter"). Each capitalized term not otherwise defined herein shall have the respective meaning assigned to it in the Letter. The undersigned parties hereto are collectively referred to as "Parties," and each a "Party." The Letter is hereby amended as follows: The section in the Term Sheet titled "Effective Date of the Anaheim Plan" is hereby amended and restated to read as follows: Unless otherwise agreed by Lehman and CW in writing, which agreement shall not be unreasonably delayed, conditioned, or withheld, the effective date of the Anaheim Plan shall occur no later than July 25, 2011 (the "Effective Date"). The fifth bullet point in the section in the Term Sheet titled "Termination Events" 1s hereby amended and restated to read as follows:

The Lehman Due Diligence is not completed before July 5, 2011 or if the Lehman Due Diligence is not acceptable to Lehman in Lehman's sole and absolute discretion; or All references in the Letter to the "Letter" shall mean the Letter as amended by this Amendment. It is expressly acknowledged and agreed by the Parties hereto that all of the terms and provisions of the Letter, as amended by this Amendment, shall remain binding and in full force and effect, and all of the terms and provisions of the Letter, as amended by this Amendment, are hereby ratified and reaffirmed.
