Prior to July 9, 2008, Fisher Price provided the Debtors with goods in the

aggregate net amount of $288,662.36.

Fisher Price timely filed four se.parate proofs of claim (Claim Nos. 3940, 4007,

4008 and 6305) seeking, among other things, payment for such goods (collectively, the "Filed

The Debtors and Fisher Price HEREBY STIPULATE AND AGREE as follows:

AGREEMENT
The Recitals are hue and correct and are incorporated herein by reference.

This Stipulation is subject to Bankruptcy Court approval and shall be of no force

and effect unless and

until approved by the Bantauptcy Court.

On account of the Filed Claims, Fisher Price shall be allowed a general unsecured
