I am a shareholder ofthe applicant law firm Schully, Robert, Slattery & Marno (''te "Fir").
a) I am thoroughy faar with the work pedormed on behalf of the

Debtors by the lawyers and paraprofessionals of SRSM.

b) Purant to its Order signed on December 23, 2009, the United States

Bankptcy Cour for the Distrct of Delaware approved that certain Purchase and Sale
Agreement ("PSA") by and among Pacific Energy Resources Ltd. (the "Debtot'), Rise Energy

Beta, LLC ("Rise"), and SP Beta Properties, LLC ("Silver Point") together with that certain
Transition Servces Agreement ("TSA") between Rise and Beta Operating Company, a wholly
owned subsidiary of Rise, authorizing PERL to continue operating cerain offshore oil and gas

propertes for Rise until Rise qualifies as Operator with the Minerals Management Services,

United States Deparent of Interor. Pursuant to the terms of the TSA, the Fir has been and
is providing servces to Rise in order to assist Rise in its qualification as Operator of the oil and
gas properties and ultimately to expedite post-closing matters for both Debtor and Rise.
c) In its provision of serices, there is no actual or potential conflict of

interest. The representations of the Debtor and Rise pursuant to the PSA require reciprocal

cooperation in effectuating the prompt qualification of Rise as Operator of the oil and gas

properties as well as the orderly transition of day-to-day operations from the Debtor to Rise.
