(CBOI and, collectively with CBI, the Debtors), submits this first interim fee application (the Application) seeking allowance of compensation for professional services rendered by the Richler Firm to the Committee for the period from October 31, 2011 through July 31, 2012 (the Compensation Period) pursuant to section 330(a) of Title 11 of the United States Code (the Bankruptcy Code), Rule 2016 of the Federal Rules of Bankruptcy Procedure (the Bankruptcy Rules), the United States Trustee Guidelines for Reviewing Applications for Compensation and Reimbursement of Expenses Filed Under 11 U.S.C. 330, adopted on January 30, 1996 (the UST Guidelines), and General Order M-389, Amended Guidelines for Case No. 11-22820 (RDD) (Jointly Administered)

Fees and Disbursements for Professionals in Southern District of New York Bankruptcy Cases (the Local Guidelines and, collectively with the UST Guidelines, the Guidelines). In support of this Application, the Richler Firm respectfully states as follows: I. 1. JURISDICTION

The Court has jurisdiction over this Application pursuant to 28 U.S.C.

157 and 1334. This matter is a core proceeding within the meaning of 28 U.S.C. 157(b)(2). Venue of this proceeding and this Application is proper in this District pursuant to 28 U.S.C. 1408 and 1409. 2. The statutory bases for the relief requested herein are sections 328, 504,

1102, and 1103 of title 11 of the United States Code (the Bankruptcy Code), and Rules 2014 and 2016 of the Federal Rule of Bankruptcy Procedure (the Bankruptcy Rules). II. 3. BACKGROUND

On April 28, 2011, the Debtors filed voluntary petitions for relief under

chapter 11 of the Bankruptcy Code. The Debtors have continued in the possession of their properties and have continued to operate and manage their businesses as debtors in possession pursuant to sections 1107(a) and 1108 of the Bankruptcy Code. No trustee or examiner has been appointed in these Cases. The purpose of these Cases is to address the Debtors liabilities for abuse perpetrated by Christian Brothers or others for whom the Debtors are responsible. 4. On May 11, 2011 the United States Trustee for District 2 (the U.S.

Trustee) appointed the Committee pursuant to section 1102 of the Bankruptcy Code.

The Committee retained Pachulski Stang Ziehl & Jones LLP (PSZJ) as

counsel to represent the Committee in all matters during the pendency of the Bankruptcy Cases. The Court has approved the Committees retention of PSZJ. 6. The status of insurance coverage for the Debtors is a subject of dispute.

See, Corporation of the Catholic Archbishop of Seattle v. Congregation of Christian Brothers of Ireland (Bankr. S.D.NY, Adv. Pro. No. 11-08332-rdd). The Committee has also informed the Debtors of the existence of unscheduled liability insurance policies, and there is Debtors testimony uncertainty of the Debtors interest in scheduled policies. In addition, the Committee has undertaken to investigate whether third parties, such as schools and diocese, have insurance policies that provide coverage. Finally, PSZJs experience in other Church-affiliated cases is that debtors in these types of cases, whether represented in insurance coverage matters by defense counsel or by special counsel, have a degree of conflict that warrants special Committee insurance counsel. 7. After the Committees appointment and because of the foregoing issues,

the Committee determined to retain the Richler Firm as its special insurance counsel in these Cases.

RETENTION OF THE RICHLER FIRM 8. On November 21, 2011, the Committee filed the Application of the Official

Committee of Unsecured Creditors Pursuant to Fed. R. Bankr. P. 2014 for Entry of an Order Authorizing and Approving the Employment of the Law Offices of Paul A. Richler as Special

Insurance Counsel to the Official Committee of Unsecured Creditors Nunc Pro Tunc to October 31, 2011 [Docket No. 165]. 9. On December 15, 2011, the Court entered its Order Authorizing and Approving

the Employment of the Law Offices of Paul A. Richler as Special Insurance Counsel to the Official Committee of Unsecured Creditors Nunc Pro Tunc to October 31, 2011 [Docket No. 187] (the Retention Order). Pursuant to the Retention Order, the Richler Firm has been retained with respect to the following matters (collectively, the Representative Matters): a. b. c. Insurance issues relating to any proposed plan(s) of reorganization(s), mediation(s), and/or settlement discussion(s); Negotiations with insurance companies having potential liability for the Debtors tortious acts; Insurance issues affecting the Debtors and the Committee, including, but not limited to, triggers for insurance coverage for sex abuse, limits of coverage, calculation of the number of occurrences of sex abuse, expected or intended defenses, and other insurance defenses; Potential insurance policy buybacks from the Debtors insurance carriers; Litigation of insurance coverage issues; and Other issues as necessary to assist the Committee with respect to issues relating to the Debtors insurance.

On August 2, 2011, the Court entered its Order Pursuant to 11

U.S.C.105(a)330 and 331 Establishing Procedures for Monthly Compensation and Reimbursement of Expenses of Professionals (the Monthly Compensation Order) [Docket No. 64]. Pursuant to the Monthly Compensation Order, the Debtors have paid $25,306.00 to the Reichler Firm.

RELIEF REQUESTED 11. By this Application, the Richler Firm requests approval of (a) fees in the amount

of $43,680.00 for 67.2 hours of services rendered during the Compensation Period and (b) expenses in the amount of $1,071.03 incurred during the Compensation Period. 12. All of the services provided by the Richler Firm were provided by Paul A.

Richler. All of the professional services rendered by the Richler Firm for which compensation is requested were rendered solely in connection with the Richler Firms representation of Committee. All services were performed in a reasonable amount of time commensurate with the complexity, importance, and nature of the problem, issue, or task addressed. 13. Annexed hereto as Exhibit C are the invoices submitted by the Richler Firm to

the Debtors, which indicates the time expended by the Paul Richler, his hourly rates, and the total amount of fees charged. COMPENSATION PAID AND ITS SOURCE 14. All services for which the Richler Firm requests compensation were performed

for or on behalf of the Committee. The sources of the Richler Firms compensation in the Debtors cases are the Debtors and their assets. 15. Pursuant to Bankruptcy Rule 2016(b), there is no agreement or understanding

between the Richler Firm and any other entity for the sharing of compensation to be received for services rendered in the Debtors Cases. The Richler Firm did not receive a retainer in these Cases. DESCRIPTION OF SERVICES PROVIDED 16. All services performed by the Richler Firm during the Compensation Period relate

to insurance matters affecting the Debtors and their creditors, including, without limitation, (a) analysis of insurance policies maintained by the Debtors, (b) analysis of insurance policies 5

maintained by the Seattle Archdiocese which may provide coverage for the Debtors actions, and (c) effort to obtain information regarding insurance coverage from third parties, such as CBIs insurance agent, schools and diocese. A summary of the specific services provided by the Richler Firm is annexed hereto as Exhibit A. EXPENSES INCURRED BY THE RICHLER FIRM 17. Section 330 of the Bankruptcy Code authorizes reimbursement for actual,

necessary expenses incurred by professionals employed under section 327 of the Bankruptcy Code. The total amount of the requested expenses incurred by the Richler Firm during the Compensation Period is $1,071.03, as detailed in the attached Exhibit B. 18. In accordance with the requirements of the Bankruptcy Code, the Bankruptcy

Rules, and the Guidelines, PSZJ maintains the following policies with respect to expenses for which reimbursement is sought herein: a. No amortization of the cost of any investment, equipment, or capital outlay is included in the expenses. In addition, for those items or services that the Richler Firm purchased or contracted from a third party (such as outside copy services), the Richler Firm seeks reimbursement only for the exact amount billed to the Richler Firm by the third party vendor and paid by the Richler Firm to the third party vendor. b. Photocopying by the Richler Firm was charged at 20 cents per page. To the extent practicable, the Richler Firm utilized less expensive outside copying services. THE REQUESTED COMPENSATION SHOULD BE ALLOWED 19. Section 330 of the Bankruptcy Code provides that the Court may award

professionals employed under section 327 or 1103 of the Bankruptcy Code: a. reasonable compensation for actual, necessary services rendered by the trustee, examiner, professional person, or attorney and by any paraprofessional person employed by any such person; and reimbursement for actual, necessary expenses.

11 U.S.C. 330(a)(1). 20. In determining the amount of reasonable compensation to be awarded, the Court

shall consider the nature, the extent, and the value of such services, taking into account all relevant factors, including: a. b. c. the time spent on such services; the rates charged for such services; whether the services were necessary to the administration of, or beneficial at the time the service was rendered toward the completion of, a case under the Bankruptcy Code; whether the services were performed within a reasonable amount of time commensurate with the complexity, importance, and nature of the problem, issue, or task addressed; with respect to a professional person, whether the person is board certified or otherwise has demonstrated skill and experience in the bankruptcy field; and whether the compensation is reasonable, based on the customary compensation charged by comparably skilled practitioners in cases other than cases under this title.

11 U.S.C. 330(a)(3)(A)-(F). 21. The Richler Firm respectfully submits that it has satisfied the requirements for the

allowance of the compensation and reimbursement of expenses sought herein. The services described above, at the time they were provided, were necessary and beneficial to the Committees administration of the Debtors Cases. The Richler Firms services were consistently performed in a timely manner, commensurate with the complexity of the issues facing the Committee and the nature and importance of the problem, issues, and tasks. Furthermore, the compensation sought by the Richler Firm is reasonable because it is based on the customary compensation charged by comparably skilled practitioners outside of bankruptcy. 22. Accordingly, approval of the compensation sought herein is warranted. 7

NOTICE 23. Notice of this Application and its exhibits will be given to: (i) counsel to the

Debtors; (ii) the U.S. Trustee; (iii) lend counsel to the Committee; (iv); and other parties entitled to receive notice of this Application. The Richler Firm respectfully submits that no other or further notice is required. CONCLUSION WHEREFORE, the Richler Firm respectfully requests that the Court enter an order (i) allowing (a) compensation of $43,680.00 to the Richler Firm for professional services rendered as special insurance counsel to the Committee for during the Compensation Period and (b) reimbursement of expenses of $1,071.03 incurred in connection with the Richler Firms representation of the Committee; (i) authorizing the Committee to pay to the Richler Firm any and all unpaid amounts for the Compensation Period in the amount of $25,306.00; and (ii) granting to the Richler Firm such other and further relief as the Court may deem proper. This Certification is made in connection with the First Interim Application of Law

Offices of Paul A. Richler for Compensation of Services Rendered and Reimbursement of Expenses as Special Insurance Counsel to the Official Committee of Unsecured Creditors (the First Fee Application) in accordance with the Local Guidelines. 3. The Richler Firm has not entered into any agreement, written or oral, express or

implied, with the Office of the United States Trustee (the U.S. Trustee), with the Debtors, with any creditor or any other party in interest, or with any attorney of such person, for the purpose of fixing the amount of any of the fees or other compensation to be allowed out of or paid from the assets of the Debtors, other than as described in the First Fee Application. 4. In accordance with section 504 of Title 11 of the United States Code (the

Bankruptcy Code), no agreement or understanding exists between the Richler Firm and any other entity or individual for the division of such compensation as the Richler Firm may receive for services rendered in connection with this case, nor will any division prohibited by section 504 of the Bankruptcy Code be made by the Richler Firm. 5. I certify that: (i) I have read the First Fee Application; (ii) to the best of my

knowledge, information, and belief formed after reasonable inquiry, the fees and disbursements sought fall within the Guidelines; (iii) the fees and disbursements sought are billed at rates in accordance with those customarily charged by the Richler Firm and generally accepted by its clients; and (iv) in providing a reimbursable service, the Richler Firm does not make a profit on that service, whether the service is performed by the Richler Firm in-house or through a third party. 6.
