MEMORANDUM OF AGREEMENT This Memorandum of Agreement made and executed between: Far Eastern University Diliman, a non-stock, non-profit

educational institution with office/business address at Sampaguita Avenue, Mapayapa Village, Diliman, Quezon City, Philippines, duly organized and existing under Philippine Laws represented herein by Dean Lakan-asa Bautista, MSIS, Executive Director, hereinafter referred to as the UNIVERSITY . and Yves Rocher, a worldwide cosmetics and beauty brand, and sister company Parfois, a women's accessories brand, duly organized and existing under Philippine Laws with both office/business addresses at The Block, SM City North Edsa, North Avenue corner EDSA, Quezon City, Philippines represented herein by Pat Hernandez, Brand Manager for Yves Rocher and Michelle Tible, Brand Manager for Parfois, hereinafter referred to as the COMPANY. Witnesseth that: WHEREAS, This Memorandum of Agreement (MOA) sets out the terms by which the UNIVERSITY and the COMPANY will work together for a part function of the formers Search for Ambassador of Goodwill 2013. WHEREAS, This agreement will remain in effect from preparation dates to the Coronation Night of the Ambassador of Goodwill. Grace Jewel Cruz, Student Affairs Head and Jasiel Racca, Supreme Student Council President will be the key contacts for the UNIVERSITY for this project. Pat Hernandez, Brand Manager for Yves Rocher and Michelle Tible, Brand Manager for Parfois will be the key contacts for the COMPANY for this project. These individuals are responsible for ensuring the conduct of the activities listed below. Through this agreement, the COMPANY agrees to provide the UNIVERSITY its assistance and support with the concurrence of the Search for Ambassador of Goodwill 2013 (AOG 13). NOW THEREFORE, for and in consideration of the foregoing premises, the parties hereby bind themselves to undertake this Agreement, under the following terms and conditions: 1. That Yves Rocher shall provide for the make up products to be used on the photoshoot and on the coronation night for all the contestants of the Search for Ambassador of Goodwill 2013. 2. That Yves Rocher shall also be providing one make up artist for the photoshoot and two of the same for the coronation night for all the contestants of the Ambassador of Goodwill 2013 3. That Yves Rocher shall be giving a make up set of their own brand

to the crowned Ms. Ambassador of Goodwill and a high end perfume, also of their own brand, to the crowned Mr. Ambassador of Goodwill 2013. 4. That Parfois shall be giving their brands gift certificates and accessories to all the contestants of the AOG 13 on the Coronation Night. 5. That Yves Rocher shall be conducting a product raffle, giving one of their facial products to each of the ten winners. 6. That the winners mentioned in the preceding paragraph shall be five female students and five male students of the UNIVERSITY. 7. That the product raffle herein shall be conducted through a question and answer contest to be managed on the official Facebook page of the Ambassador of Goodwill 2013. 8. That Yves Rocher shall be distributing give away samples of their make up products to 150 - 200 persons during the Coronation Night of AOG 13. 9. That Yves Rocher shall be having a booth of their own during the said events Coronation Night in the purpose of handing out their give aways. 10. That the UNIVERSITY shall be providing for the electricity of the aforementioned booth. 11. That the UNIVERSITY shall be including the official logos of Yves Rocher and Parfois in every official AVP of the Search for Ambassador of Goodwill 2013. Term and Termination 1. Effective Date: This Agreement shall be effective as of the date set forth in the second opening paragraph.

2. Termination: This Agreement shall be in effect from the date this agreement is signed and shall _____ (?). Either party may terminate this Agreemen provided that written notice of such partys intention to terminate this shall be presented and that due compensation shall be given. 3. Extension of Term of Agreement: This Agreement can be extended in the event that an unseen uncontrollable situation happens, provided that both parties give their consent.
