ASSIGNMENT AGREEMENT RELATING TO PURCHASE OF AIRBUS A380 This Assignment Agreement (the Assignment Agreement) is entered into as of _____

May 2010 between: The Custodian of the Two Holy Mosques His Majesty King Abdullah Bin Abdulaziz Alsaud (the Assignee); and Kingdom 5-KR-199, Ltd., which is owned by HRH Prince Alwaleed Bin Talal Bin Abdulaziz Alsaud (the Assignor). Whereas, Assignor has entered into an Airbus A380 Purchase Agreement dated October 16th, 2007, relating to the sale by Airbus S.A.S. (Airbus) and the purchase by Assignor of one (1) Airbus A380-800 aircraft (the Aircraft), which agreement is to be amended by an Amendment No. 2, and together with all exhibits, appendices, and letter agreements attached thereto is hereinafter referred to as the Purchase Agreement; and Whereas, Assignor has arranged with Airbus for a Novation Agreement among Airbus, Assignor and Assignee to permit Assignee to have the benefits of the Purchase Agreement on terms under which Assignee will pay a total of US$150,000,000, and which will permit final payment of the balance of $94,500,000 payable to Airbus for the Aircraft to be required only upon the delivery of the Aircraft, which is scheduled under the Purchase Agreement to occur between 1 July 2011 and 30 September 2011; Whereas, Assignee has agreed to pay to Assignor, at the time of the assignment of the Purchase Agreement, US$55,500,000 (with the balance due to Airbus under the Purchase Agreement being US$ 94,500,000 due upon delivery of the Aircraft); NOW, THEREFORE, IT IS AGREED AS FOLLOWS: 1. Assignor agrees to assign to Assignee, and Assignee agrees to assume, all rights and obligations of Assignor under the Purchase Agreement pursuant to a Novation Agreement among Airbus, Assignee and Assignor. 2. Upon execution and delivery of the Novation Agreement by Airbus, Assignor shall pay to Assignee US$55,500,000 in a manner to be agreed between Assignor and Assignee. 3. Assignor and Assignee will cooperate in obtaining from Airbus its consent to this assignment, its confirmation that Assignee is entitled to all of the benefits under the Purchase Agreement, and its release of Assignor from any further obligations under the Purchase Agreement.
