GOLDEN CAGE MMA LLC PROFESSIONAL MMA CONTEST AGREEMENTS PROFESSIONAL FIGHTERS CONTEST AGREEMENT & CONDITIONS: Fighters

/ Manager please read contract before signing. This contest will be conducted under ND MMA Rules and Sanctioned by the North Dakota State Commission of Combative Sports This contract is made this day of _______, 2013, by and between the Golden Cage MMA LLC duly licensed under the laws by ND State Commission of Combative Sports (Hereinafter as Promoter) And _____________________ of the City/State of ____________________ MMA Federal ID # __________ (hereinafter as Fighter)

Fighter on May 4th, 2013 Agrees to enter into a Professional MMA Contest at Minot MAYSA ARENA for (3x5) 3-rounds of 5-minute per-rounds or to a decision with opponent (NAME) _____________________________
of the (City/State) of _________________ MMA Federal ID____________. This contest shall be at a weight not over division weight class /or agreed fight weight of ______ pounds weigh-ins for the bout shall take place on May 3rd, 2013 at (time/place) 7:pm_oclock at ____________________________ All weights shall be taken on scales as provided by the ND Commission of Combative Sports. Note: fighter failing to make agreed weight will forfeit 20% or more of his/her purse or this contract becomes null and void All Fighters (contestants) must provide all required medical information including medical examinations and updated 6-month Blood Lab Works; (negative HIV, Hepatitis-B and Hepatitis-C) to the North Dakota Commission of Combative Sports no later than 30 days before the schedule fights event or Fax to 1-888-262-6914

Promoter shall pay Fighter, and Fighter shall accept, a fights purse on the amount of $_________.US Dollars to
fight and plus a Win Bonus-bouts of $_______, for winning match, other Expenses as follows _______________. All purse amounts shall be made immediately after the conclusion of the entire contest directly to the Fighter, unless otherwise agreed to in writing.

Promoter agrees to make no deduction from the purse monies to be paid to a Fighter unless Fighter agrees to such
a deduction, and only if such a deduction is itemized as an addendum to this contract. Should Fighter desire Manager to be paid directly by the Promoter, Fighter must initial here _______, and the Manger must be currently licensed or have a managers license application on file with the Athletic Commission/

Fighter or Manager may not be entitled to the compensation described above or any part thereof if an official of
the ND State Commission of Combative Sports decides that Fighter and Manager, or either of them: 1) Did not enter into this contest in good faith or had any collusive understanding or agreement regarding the termination of the match, 2) Fighter did not give a good faith exhibition of his/her skills, 3) Fighter and/or Manager has violated any of the laws, rules or regulations administered by the ND State Commission of Combative Sports.

Promoter shall pay to the ND State Commission of Combative Sports any compensation to be forfeited under the
terms of the preceding paragraph. To the extent authorized under state/tribal law, the Commission shall thereupon dispose of said compensation in accordance with applicable statutes and regulations including, but not limited to: (1) forfeiture to the Commission, or (2) payment of all or a portion thereof to Fighter or Manager, minus any statutory/regulatory penalties. All parties agree to accept, and to be bound by, the decision of the Commission which shall be final. In the absence of a statute or regulation to the contrary, it is understood and agreed that the weight of the gloves shall be __________. It is understood and agreed that the ND State Commission of Combative Sports must approve all fight gloves and fights gloves will only be furnished by the Promoter. It is understood and agreed that the rights and obligations of the parties hereto shall be governed by, and construed in according to the laws of the State/Tribe of North Dakota. The terms of this agreement shall, in all

respects, be in conformity with the laws of the State/Tribe of North Dakota, as well as the rules and regulations now, or hereafter, adopted by its ND State Commission of Combative Sports. The Fighter understands by participating in a cage fights contest or exhibition of (MMA) Mixed Martial Arts, that the Fighter is engaging in an abnormally and very dangerous sports activity. The Fighter further understands that this participation will subjects a cage Fighter to a risk of severe injury or death. The Fighter, with full knowledge of this risk, nonetheless, agrees to enter into this agreement and hereby waives any claim that the Fighter or Fighter's heirs may have against the event Promoter, Opponent, Match-maker, Agents and Event Venues as the result of any injury the Fighter may suffer as a result of Fighter's participation in any contest or exhibition of MMA fighting. Fighter must initial here __________, The parties, jointly and severally hereby indemnify and hold harmless the North Dakota Commission of Combative Sports, and each of their members, agents, and employees in their individual, personal and representative capacities against any and all claims, suits and actions, brought against the persons named in this paragraph by reason of this agreement and all other matters relating thereto, and against any and all expenses, damages, charges and costs, including court costs and attorney fees which may be incurred by the persons and entities named in this paragraph as a result of said claims, suits and actions.

Promoter and Fighter agree to fulfill, in good faith, the terms and conditions of this contract during the period
covered by this contract. It is also understood that Fighter will not enters into another Contest or Contracts 30 days prior to said (May 4th 2013) Contest and/or lessens his/her value, the Promoter shall have the option of modifying or canceling this contract. The Commission reserves the right to take any disciplinary action against the Fighter or both parties; this contract becomes null and void
Other Items agreed to by Fighter and Promoter include: 1-Hotel Room May 3rd and 4th 2013

This contract shall be submitted to and approved by the ND Commission of Combative Sports before weigh-ins. No modification or amendment to this contract shall be binding upon the parties unless the same is in writing, signed by the respective parties hereto, and filed with and approved by the Commission. If Promoter or Fighter breaches this contract, the non-breaching party shall have all remedies available at law or in equity.
