The American Taxpayer Relief Act of 2012 made portability permanent while unifying the estate and gift tax with the same very large exemption amount ($5,250,000 indexed for inflation). The GST Exemption was set at the same level. In many, if not most, cases couples with combined taxable estates as large as ten million dollars will be able to avoid federal estate and gift taxes with minimal planning. Where does that leave the estate planner with his or her arsenal full of formula clauses, bypass trusts and QTIPs? FACULTY PROFILES
PROGRAM CO-CHAIRS: Spencer Crona, Esq., is Special Counsel with Brown and Hulbert, LLC. He practices principally in the areas of probate, estate and trust litigation, conservatorships and guardianships, probate review of personal injury settlements and estate administration. Spencer is a member of the Colorado Bar Association, the Denver Bar Association, the CBA Elder Law Section, the CBA Trust & Estate Section and he currently serves as the Chair for the CBA Trust & Estate Section Executive Council. He is also a Fellow of the American College of Trust and Estate Counsel. He has participated in the drafting of numerous Colorado probate statutes. Walter Kelly II, Esq., is a shareholder at Miller & Steiert, P.C., where, since 1996, his practice has been limited to estate planning, trust and estate and administration, preparation of federal and state estate tax returns, probate matters and selected estate litigation. He is a fellow of the American College of Trust and Estate Counsel (ACTEC), and is the recent past Chair of the Trust and Estate Section of the Colorado Bar Association (2010-2011). He is a past chairman of the Statutory Revisions Committee of the Trust and Estate Section. His estate planning practice involves simple and tax-planned estates, using either will-based or trust-based planning tools. KEYNOTE SPEAKER: Joshua S. Rubenstein, Esq., is National Head of his firms Trusts and Estates Practice. He handles a wide variety of matters on a local, national and international level, including personal and estate planning, the administration of estates and trusts, and contested Surrogates Court and tax proceedings for high net worth individuals. He is a frequent lecturer and author on these topics. He is incoming chair of the International Committee of the American College of Trusts and Estates Counsel (ACTEC). Mr. Rubenstein is also extremely active in the community. He is often featured or quoted in prominent publications such as The New York Times and the The Wall Street Journal. FACULTY: Theodore Atlass, Esq., is the sole shareholder of the Denver law firm of Atlass Professional Corporation, where his practice is limited to estate planning, probate, and related tax and litigation matters. Ted has served as program chairman of the Advanced Estate Planning Symposium sponsored by the University of Denver or CLE in Colorado for over 25 years, is a fellow, past regent, and past Colorado State Chairman of The American College of Trust and Estate Counsel, past chairman of ACTEC's Audit and Fiduciary Income Tax Committees, and is a fellow of the American College of Tax Counsel. Ted has presented programs on taxation and estate planning topics to attorneys and CPAs in 38 states. Stephen Brainerd, Esq., is a partner in Davis Graham & Stubbs LLPs Tax, Employee Benefits & Estates Group. His practice is limited to estate planning/administration and related transfer tax matters; fiduciary counseling and risk management; and probate litigation and dispute resolution. He has particular experience in problems facing non-U.S. citizens, and title and conveyance issues. Steve has served as an adjunct professor of Trusts and Estates Law at the University of Denver College of Law. He is a Fellow of the American College of Trust and Estate counsel; a past Chair of the Colorado Bar Association Trust and Estate Section Council and a member of its Statutory Revisions Committee; and a faculty lecturer for both national and Colorado CLE programs. Elizabeth Bryant, Esq., has practiced law in the areas of estate planning and probate for over 20 years. Having worked with well over 1,000 clients, she has encountered almost every issue and solution needed to address the needs of traditional and non-traditional families and individuals. She is a Fellow of the American College of Trust and Estate Counsel, and has been a Colorado Supreme Court appointed member of the Unauthorized Practice of Law Committee since 2009. Beth is the Chair-elect of the Colorado Bar Association Trust and Estate Section.

Kelly Dickson Cooper, Esq., is a Partner with Holland & Hart LLP. As a probate and trust specialist, Ms. Cooper understands the unique relationship that fiduciaries have with their beneficiaries. Ms. Cooper concentrates her practice in all areas of trusts and estates litigation and administration, including estate and gift tax, fiduciary-related disputes, litigation, probate, and estate and trust administration. Her practice also includes the representation of corporate fiduciaries, individual fiduciaries, heirs, beneficiaries, and creditors in the resolution of probate and trust-related disputes. John DeBruyn, Esq., of DeBruyn Law Offices, is a transactional lawyer whose practice emphasizes business, tax and estate planning. He is a former trial attorney with the Tax Division of the US Department of Justice and continues to handle tax controversies. John is a Fellow of the American College of Tax Counsel and of the American College of Trust and Estate Counsel. Her practice emphasizes estate planning, probate, and small business law with a focus on complex wealth preservation plans, including multi generational planning, international estate planning and business succession planning. She is also a Certified Public Accountant. Shelly has lectured extensively on various estate planning topics and is active in the Colorado and Boulder Bar Associations. She served as Chair of the Statutory Revisions Committee of the Trusts and Estates Section of the Colorado Bar Association for 2008-2009 and as Co-Chair of the Taxation, Estate Planning & Probate Section of the Boulder County Bar Association for 2001-2002. She is also a Fellow of the American College of Trust and Estate Counsel (ACTEC) and is admitted to practice in Colorado and Texas. Dylan Metzner, Esq., joined Hamilton Faatz and Waller, PC in 2009 and focuses his practice on trust and estate law, wealth transfer planning, and business formation and operation. Mr. Metzners practice includes the preparation of wills, living trusts, irrevocable insurance and gift trusts, and a variety of other tax advantageous business entities. In addition, Mr. Metzner represents fiduciaries, heirs, and beneficiaries in the resolution of probate and trust-related disputes. Mr. Metzner also represents clients in a broad range of business transactions and entity formations. Kevin Millard, Esq., is a Partner in Chorney & Millard LLP practicing estate planning, probate, and trust administration. Ronald Nemirow, Esq., emphasizes professional malpractice defense (primarily lawyers), litigation of insurance coverage and bad faith disputes, and complex litigation. Mr. Nemirow has lectured throughout Colorado on legal ethics and legal malpractice avoidance, including a continuing legal education program on Practical Legal Ethics, and a lecture on the subject of permissible ex parte contacts before the Workers' Compensation section of the Colorado Bar Association. Daniela Ronchetti, Esq., practices estate planning, tax and non-profit law. She advises clients on various estate planning matters, including the structuring and drafting of wills and trusts, as well as estate and trust administration matters. Ms. Ronchetti also works with non-profit organizations, assisting them with obtaining tax-exempt status and counseling them on corporate governance and compliance issues. Prior to joining BakerHostetler, Ms. Ronchetti served as a law clerk for Justice Alex J. Martinez of the Colorado Supreme Court. C. Jean Stewart, Esq., is Of Counsel with Holland & Hart LLP. With 16 years of experience as the Presiding Judge of the Denver Probate Court, clients trust Ms. Stewart to help them surmount their tax and estate planning obstacles. Ms. Stewart's judicial experience uniquely suits her for selection as an appointed judge, special master, arbitrator, or mediator. She handles cases involving complex estate and trust administration issues, wealth transfer disputes, will and trust contests, conflicts regarding fiduciary responsibility and liability, and contested protective proceedings. Michael Stiff, Esq., focuses on estate planning, probate, trust administration and business law. Dennis Whitmer, Esq., is Special Counsel with Hamilton Faatz and Waller, PC, where he presently provides advice and counsel to the firms clients in the areas of fiduciary law, trust administration, probate administration and estate planning. Prior to joining the firm, he served as a personal trust officer for more than 30 years until he retired as a Vice President and Trust Officer at Colorado State Bank and Trust, N.A. in February of 2011. I TOPIC 1 - Can I, Should I, or Must I Pay Your Taxes? Understanding the Grantor Trust Rules Grantor trusts are a powerful estate planning tool. This program will review the grantor trust rules and explore favorite grantor trust triggers as well as toggling of grantor trust status. Sample grantor trust clauses will be provided and reviewed. Additionally, the program will cover grey areas, common pitfalls, and highlight ways to use grantor trusts effectively to achieve clients estate planning objectives. Presented by Michael Stiff, Esq., and Daniela Ronchetti, Esq., BakerHostetler, Denver, CO I TOPIC 2 - Planning for the New Colorado Resident How should the estate planning attorney approach the representation of a client who has immigrated to Colorado permanently or temporarily from another jurisdiction? ... or who lives in multiple jurisdictions? While there is increasing uniformity among states in the enforceability and interpretation of estate planning documents and the processes that govern the disposition of assets, there are still important issues that should be addressed in planning for such a client. This program will highlight the special concerns of a new Colorado resident, including: Whether and how to establish Colorado as the state of domicile What to look for in reviewing and amending prior documents How to deal with assets remaining in other jurisdictions How to preserve or modify the effects of community property laws on the clients affairs The tax consequences created by the clients relocation and how they can be minimized How to manage the selection of fiduciaries and provide for the administration of multi-jurisdictional estates Presented by Stephen Brainerd, Esq., Davis Graham & Stubbs, LLP, Denver, CO, and Shelly D. Ethical Considerations 1 Ethics in Multiple Client Representation, Serving as a Fiduciary, Credit and Disclosure of Your Estate Planning File In addition to preparing an estate plan for a single, easily identifiable client, estate planning attorneys are frequently called upon to perform variety of other roles: drafting a plan involving multiple family members or family businesses, serving as a personal representative or trustee, or being called as a witness in a contested matter. This interactive discussion will focus on the ethical considerations raised by these common scenarios, for example, identification of the client, conflicts of interest, confidentiality, and disclosures. Specific discussion topics will include: Representing multiple family members, blended families, and family businesses Serving as a fiduciary Representing a fiduciary Disclosing the drafting attorneys client file Presented by C. Jean Stewart, Esq., and Kelly Dickson Cooper, Esq., Holland & Hart LLP, Denver, CO I TOPIC 4 - Colorado's Proclivity for Privity Colorado is among the minority of states in which, absent fraud or malice, a lawyer preparing a testamentary instrument owes no duty to beneficiaries or potential beneficiaries but only to those in privity with the lawyer. This session will explore what this means in terms of malpractice exposure for trust and estate lawyers. What, if any, are the limits of this doctrine? How did Colorado get here? How long is it likely to stay? Given this privity requirement, what exposure, if any, does a Colorado trust and estates lawyer have to beneficiaries or potential beneficiaries? Is there no end to these rhetorical questions? Presented by Ronald Nemirow, Esq., Kennedy Childs, PC, Denver, CO I TOPIC 5 - The Ever Changing Landscape of Estate Planning for the LGBT Community Hardly a week goes by without a change to the legal landscape regarding the rights of those in the Lesbian, Gay, Bisexual and Transgender (LGBT) community. This program will review the current state of same-sex marriage, civil unions and domestic partnerships. Well review the Federal Defense of Marriage Act (DOMA) and discuss the status of legal challenges to this federal law. The presenters will also cover in depth the status of Colorados own Civil Unions bill and provide drafting pointers when dealing with the LGBT community in your practice. Presented by Elizabeth Bryant, Esq., Elizabeth A. Bryant, PC, Denver, CO, and Erica Johnson, Esq., Ambler & Keenan, LLC, Denver, CO I TOPIC 6 - Will or Revocable Living Trust: Considerations in Selecting One or the Other Many estate planning lawyers have a predilection for using either a will or a revocable living trust as the foundational document in an estate plan. This session will ask to you reexamine the reasons for using one or the other. Specific topics to be addressed include the benefits real or illusory of avoiding probate; whether the standard of capacity to make a will is different from the standard of capacity to create a trust; whether one vehicle or the other is less subject to a contest; trust funding issues and pitfalls; operational issues; matters of interpretation, including whether rules of construction for wills also apply to trusts; and specialized uses of revocable trusts. Presented by Kevin Millard, Esq., Chorney & Millard, LLP, Denver, CO I TOPIC 7 - Exculpatory Clauses Revisited Traditionally, exculpatory or exoneration provisions in a will, trust or other governing instrument of an estate plan have been defined as a clause designed to relieve the fiduciary of liability for specific breaches of duty. Many commentators have addressed the dangers of overreaching in the use of these provisions. Some have suggested that such provisions are at best objectionable and at worse void and unenforceable. Courts routinely view such clauses with suspicion. However, a well conceived and drafted exculpatory or exoneration provision can be an indispensible component of an estate plan that is designed to accomplish the Testator/Settlors unique and specific objectives. A fiduciarys standard of practice and duties, as established by case law and statute, are for the most part one size fits all. This one size fits all standard can constrain flexibility, which may thwart the Testator/Settlors goals. A more productive way of considering such provisions is to understand that when appropriately used they can benefit all of the parties of the estate plan, by either prescribing a response to a foreseen event or by allowing greater flexibility in response to evolving circumstances. Metzner, Esq., Hamilton Faatz and Waller, PC, Greenwood Village, CO I TOPIC 8 - Practical Income Tax Issues Arising in Everyday Estate Planning and Administration Unexpected and adverse income tax issues can arise in common estate planning situations, including adverse income tax consequences to the donor when a gift is made, complex income tax consequences occurring upon the mere making of a loan, and the application of exceptions to general tax rules that may result in related parties being subjected to unusually harsh income tax treatment when engaging in the sale or exchange of assets with each other. This session will present case studies to illustrate when such income tax traps may arise, along with ideas on how to deal with them.
