Articles of Incorporation of the ANO GA SECURITY AGENCY, Inc.

KNOW ALL MEN BY THESE PRESENTS: The undersigned incorporators, all of legal age and majority of whom are residents of the Philippines have this day voluntarily agreed to form a stock corporation under the laws of the Republic of the Philippines;

WE HEREBY CERTIFY THAT:

First: That the corporate name of the Corporation shall be Ano Ga Security Agency, INC. and may be popularly called and known as "AGSA".

Second: That the purpose for which the corporation is incorporated is: To provide security services necessary to protect lives and properties of any person, partnership, firm, corporation or any entity requiring such services, and to undertake investigative training, recruitment, development of licensed security officers and guards in accordance with existing laws.

Third: The principal office of the Corporation is located in No. 44 Lucky Street, City of Batangas, Province of Batangas, Philippines.

Fourth: The term for which this corporation shall exist is fifty (50) years from and after the date of incorporation, renewable for such other terms as now or may hereinafter be permitted under the laws of the Republic of the Philippines.

List of additional members, who may be admitted in accordance with the by-laws of the Corporation, shall be entered into the Membership Registry and shall be submitted to the Securities and Exchange Commission from time to time.

Tenth: That Ciid Yy has been elected by the subscribers as Treasurer of the corporation to act as such until his/her successor is duly elected and qualified in accordance with the by-laws; and that as such Treasurer, he has been authorized to receive for and in the name and for the benefit of the corporation, all subscriptions paid by the subscribers.

Eleventh: That no transfer of stocks or interest therein which will reduce the ownership of Filipino citizens to less than the percentage of the capital stock required by law shall be allowed or permitted to be recorded in the Corporate Books and this restriction shall be indicated in all the stock certificates issued by the corporation.
