SUBJECT: Memorandum of Understanding - Yoel Tobin

Attached is the Memorandum of Understanding defining the non-reimbursable detail of


attorney Yoel Tobin from the Counterterrorism Section to the National Commission on Terrorist
Attacks Upon the United States until June 15, 2004. Please review and sign the attached. Please
return the original to Debie Frary at the Bond Building - Room 5124.

MEMORANDUM OF UNDERSTANDING

This Memorandum sets forth the agreement between the Department of Justice,
Criminal Division, Counterterrorism Section (DOJ/CRM/CTS); the National Commission
on Terrorist Attacks Upon the United States; and Criminal Division Attorney Yoel Tobin
regarding a temporary duty detail to be served by Mr. Tobin from April 7, 2003 through
June 15, 20C4. During this detail, the following terms and conditions apply:

1. Location. The detail location shall be in the National Commission on Terrorist


Attacks Upon the United States in Washington, DC.
2. Conti mcd Employment. Mr. Tobin shall continue to be employed by
DOJ/GRM with no break in Federal service. DOJ/CRM shall continue to pay Mr.
Tobin s salary and benefits for the duration of this detail. Mr. Tobin will fax all
time sheets to DOJ/CRM/CTS for continued input. At the conclusion of this
detail Mr. Tobin shall return to his former position with DOJ/CRM.
3. DOJ i Attorney Status. Mr. Tobin will not be a lawyer for the Commission, and
the C >mmission will not be his client. Rather, Mr. Tobin will continue to be a
Depa tment of Justice lawyer. In this capacity, Mr. Tobin has and will continue to
have nformation protected by the attorney-client and deliberative process
privileges and confidentiality obligations under the applicable professional
responsibility rules. Accordingly, during his tenure with the Commission, Mr.
Tobin cannot disclose any client confidences or material protected by the
attorr ey-client or deliberative process privileges, absent the Department of
Justic e's consent.
4. Performance Appraisal. DOJ/CRM is responsible for the performance rating
of Mr Tobin, seeking input from the Commission.
5. Travol Related Expenses. The Commission will reimburse Mr. Tobin for all
trave related expenses incurred during this detail.
6. Termination. This agreement may be terminated by any party upon reasonable
written notice to the other parties.

7. Notification. No deviations from this Memorandum shall be authorized without


the express written approval of DOJ/CRM or the Commission.
