AGREEMENT FOR COLLECTING CORD BLOOD I. DEFINITIONS THIS AGREEMENT FOR COLLECTING CORD BLOOD (agreement) in made at on .

.day of 2013 BETWEEN M/S.LIFECELL INTERNATIONAL PRIVATE LIMITED, a Company registered under the Indian Companies Act, 1956 and having its registered office at No.26, VandalurKelambakkam Main Road, Keelakottaiyur, Chennai 600127, Tamil Nadu, hereinafter referred to as LifeCell (which term shall mean and include all its legal representatives, assigns, nominees, successors etc.,) represented by Mayur Abhaya, Managing Director & CEO, of the ONE PART; AND ( ) hereinafter referred to as the Doctor (which term shall mean and include all its legal representatives, assigns, nominees, successors etc.,) represented by (Name) (Designation) of the OTHER PART; LifeCell and the Doctor shall individually be referred to as party and collectively as parties. WHEREAS LifeCell is into the business of collecting, processing and preserving the umbilical cord blood, cord tissue, menstrual blood stem cells through its own resources and facility. WHEREAS the Doctor is providing gynecology and / or obstretics services. WHEREAS LifeCell is desirous of providing the stem cell banking services to its Clients admitted under the Doctors care for delivering the child and the Doctor upon provided its consent, the parties have decided to reduce the terms into writing as follows. NOW THIS FOLLOWS AGREEMENT WITNESSETH AS 2. Client agreement shall mean the agreement to be entered into by and between LifeCell and the Client. 3. Collection kit shall mean the kit consisting of all essential materials required for the purpose of collection of samples from the clients. 4. Representatives of LifeCell shall mean the employees/agents of LifeCell. 5. Sample shall mean and include the stem cell obtained from Umbilical cord blood, cord tissue collected by the Doctor from a Client for the purpose of LifeCells processing and preservation. 6. Services of LifeCell shall mean and include the umbilical cord blood, cord tissue processing and preservation. II. Responsibilities of the Doctor 1. Upon the client delivering a child, if the Client has signed up for stem cell banking the Doctor shall immediately collect the sample in the collection kit, through its own staffs as trained/instructed by LifeCell in this regard. 2. The Doctor through their staff shall at the earliest possible opportunity but not later than 2 hours from the time of collecting the sample inform the representatives of LifeCell to arrange for pick-up of the sample. 3. The Doctor shall allow the representatives of LifeCell to pick up and dispatch the samples collected from its clients. 4. The Doctor shall not impose additional charges on the clients for the sample collection. 1. Client shall mean the person who has enrolled with LifeCell and admitted under the Doctors care for delivering her child.

III. Responsibilities of LifeCell 1. LifeCell shall provide training/instructions on sample collection at regular intervals to the staffs of the Doctor. 2. LifeCell shall provide with the collection kits to the Doctor for stocking and to be utilized in emergency situations. LifeCell shall replace the damaged and / or expired collection kits on its own motion (or) upon receiving information from the Doctor. 3. LifeCell shall arrange for the sample pick up within 24 hours of intimation from the Doctor. 4. LifeCell shall collect fees from the clients a rate suggested by the Doctor of Rs4000. (Rupees Four Thousand only) per client towards sample collection and pay the Doctor on a monthly basis after deducting applicable taxes. 5. LifeCell shall provide a report to the Doctor on a quarterly basis providing updates on quality of collection including total number of samples collected in that period, preservations and rejections made etc., IV. Term and Termination This agreement shall be in effect for a period of 24 (twenty four) months from the date above mentioned and can be extended further with the mutual consent of the parties. The parties are at liberty to terminate this agreement by serving a 30 days notice on the other party. V. Arbitration and dispute redressal All disputes arising out of this agreement shall be referred to a sole arbitrator to be appointed by the parties on mutual consent. The arbitration proceedings shall be governed by the Arbitration and Conciliation Act, 1996 and the rules framed thereunder and Chennai shall be the place of arbitration. The award as provided by the sole arbitrator shall be binding on the parties.
