BENDIX "FLEET VALUE CALCULATOR" END USER LICENSE AGREEMENT.

Bendix Commercial Vehicle Systems LLC. ("Bendix") grants you a non-exclusive, non-transferable, license to use, for your internal purposes only, the Software and Documentation, free of charge if you are (a) a selected prospective customer or (b) a customer of Bendix or (c) an employee of Bendix. DISCLAIMER OF WARRANTY. This Software and Documentation is provided on an "AS IS" basis, without warranty of any kind. BENDIX MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO THE SOFTWARE, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, ALL OF WHICH ARE DISCLAIMED. The entire risk as to the quality and performance of the Software is borne by you. Should the Software prove defective, you and not Bendix, assume the entire cost of any results as a consequence of your use of the Software. This disclaimer of warranty constitutes an essential part of the Agreement. Bendix does not warrant that your use of the Software will be uninterrupted or that the operation of the Software will be error-free. TITLE. Licensee acknowledges that title, ownership rights, and intellectual property rights in the Software and Documentation shall remain exclusively in Bendix and/or its suppliers respectively. The Software and Documentation are protected by the copyright laws and treaties. Title and related rights in the content accessed through the Software is the property of the applicable content owner and may be protected by applicable law. This License gives you no ownership rights to such content. The license granted herein expressly excludes any right to reproduce, duplicate copy , disassemble, decompile, distribute, sublicense, sell, assign or otherwise transfer the Software or Documentation or any part thereof without the prior written consent of Bendix. If such consent is given, and in order to protect the intellectual property of Bendix in the Software and Documentation, Licensee agrees to reproduce and incorporate appropriate Bendix notice for trade secrets, copyright or any other identifying legends in any reproductions, duplications or copies of the Software or Documentation or any part thereof made by Licensee. Licensee covenants not to disclose the Software or Documentation or any part thereof, or cause or permit the Software or Documentation, or any part thereof, to be used by any person other than approved employees of the Licensee engaged in the business activities of the Licensee on authorized equipment at the Licensees business location. The Licensee agrees to refrain from disclosing or delivering the Software or Documentation, or any part thereof, to any unauthorized person or entity consistent with the provisions hereof. RESERVATION OF RIGHTS The rights granted to Licensee hereunder shall not affect the exclusive ownership by Bendix of any trademark, copyright, patents or common law property rights of Bendix pertaining to the Software or Documentation. The license granted in this Agreement shall not be construed expressly, by implication or estopple, as the grant of a license under any trademark, patent or other intellectual property of Bendix.

THIRD PARTY RIGHTS Bendix Fleet Value Calculator may require the use of third party software products and require an additional license from such third parties to use those third party products. Licensee agrees and acknowledges that, to the extent that the Fleet Value Calculator software applications contain any such third party software: (i) such third party software is provided on an 'as-is', pass-through basis, and as such is provided to Licensee without warranty, indemnification, support or other representation by Licensor, except as independently provided directly to Licensee from the third party licensor; (ii) Licensor bears no liability with respect to such products; and (iii) Licensee may be required to purchase such third party products as are required by the Fleet Value Calculator software.

MODIFICATIONS AND IMPROVEMENTS If the Licensee, or any of its officers, agents or employees modifies or devise any improvements in the Software or Documentation in any manner, the Licensee shall promptly disclose such modification or improvement to Bendix and Bendix shall have a non-exclusive, irrevocable, royalty free license to use such modification or improvement for any purpose including the right to grant royalty free sub-licenses thereof. CONFIDENTIALITY Licensee agrees to treat the Fleet Value Calculator Software and Documentation as confidential proprietary information of Bendix and to use the same degree of care with such Bendix proprietary information as it uses to protect its own proprietary information, but in no event less than a reasonable standard of care. TERMINATION. The license will terminate automatically if you fail to comply with the limitations described herein. On termination, you must destroy all copies of the Software and Documentation. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL BENDIX OR ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES.

Tight margins. Doing more with less. We understand how difficult it can be to compete effectively in today's business environment. Investing in the right stability system for your fleet is about operator safety and the financial impact of serious accidents for your operation. Using data such as the frequency of incidents experienced by your fleet and the resulting costs, this value calculator will assist you in further understanding the benefits that a stability system may be able to offer. By taking the time to collect and input the data, you will be able to estimate the stability system acquisition costs which will best meet your payback targets. We strongly suggest that you review the Stability Frequently Asked Questions (FAQ) prior to this calculator as it will assist in you in entering some of the data. The analysis should only take 10-20 minutes to complete, assuming the necessary data is available and/or accurate estimates can be made. Not all fleets or operators face the same degree of risk. Bendix account managers are available to assist you by describing the unique benefits that stability systems may provide for your unique situation.

Completing the Stability Value Calculator


In each section of the calculator, sample figures representing a variety of vocations have been included as a examples and to indicate the diversity of results that can occur. In addition, a color code system (shown below) is in place throughout the worksheet indicating required data, fields that are optional, and the blocks that will carry automatically calculated values. To begin, go to the tab entitled "Fleet Data" located at the bottom of the screen. Complete the general fleet data information, using the color code below as your guide for required versus optional data. Now, move to the "Frequency" tab and input your fleet's data for incidents over a 12-month period (i.e. 2003, the last four consecutive quarters, 2004 projected, etc...). Next, click the tab labeled "Cost" to enter the information representing your fleet's typical incident costs. Finally, view your results on the summary tab.

Please note: This tool is designed to assist you in the stability system decision process, not to serve as a peformance gaurantee. No system will prevent 100% of the incidents you may experience. Factors such as driver experience and distraction, familiarity with routes, driving conditions, etc... have an effect on your fleet's incident frequency. Your costs are determined by the loads you carry, repair costs, profit per mile, clean up, etc. By applying conservative effectiveness factors to the system performance, the probability of meeting the projected savings is increased.
