DEED OF ABSOLUTE SALE

KNOW ALL MEN BY THESE PRESENTS: This DEED OF ABSOLUTE SALE, made, executed and entered this ____ day of _______________, in Makati City, Metro Manila, by and between: LUIS SEVILLA, of legal age, Filipino, married to Conchita Madera, and with postal address at _____________________________ hereinafter referred to as the SELLER; - AND QUEZON CITY DEVELOPMENT CORPORATION, a corporation duly existing under the laws of the Philippines, herein duly represented by its President, Ma. Cecilia L. Antonio, with principal business address at LPL Towers, 112 Legaspi Street, Legaspi Village, Makati City, Metro Manila, hereinafter referred to as the BUYER. WITNESSETH: THAT WHEREAS, the SELLER is the registered lawful owner and actual possessor of a certain parcel of land with improvements situated in Katipunan Avenue, Brgy. White Plains, Quezon City, and covered by Transfer Certificate Title No. RT-120183 (160435), containing a total area of SIX HUNDRED EIGHTY (680) SQUARE METERS, more or less, and more particularly described and bounded as follows: TCT No. RT-120183 (160435) A PARCEL OF LAND (Lot 1-D-15 of the subdivision plan (LRC) Psd 125516, being a portion of Lot 1-D, (LRC) Psd 124628, LRC Rec. No. 699, 875 and 917), situated in the District of Cubao, Quezon City, Island of Luzon. Bounded on the NE., points 3 to 4 by Lot 1-C, (LRC) Psd 124628; on the SE., points 4 to 1 by Existing Katipunan Avenue (20 m. wide); on the SW., points 1 to 2 by Lot 1-D-14 of the subdivision plan; and on the NW., points 2 to 3 by the Republic of the Philippines, Camp Murphy (Lot 49-C-2-A-13-C-2-E-4-D-2-B-1, Psd-14630). Beginning at a point marked 1 on plan being N. 66 deg. 40E., 5167.23 m. from BLLM No. 1, Mp. of Mandaluyong, Rizal; thence N. 69 deg. 36 W., 18.11 m. to point 2; thence N. 20 deg. 24 E., 37.02 m. to point 3; thence S. 75 deg. 28 E., 18.21

m. to point 4; thence S. 20 deg. 24 W., 38.88 m. to the point of beginning; containing an area of SIX HUNDRED EIGHTY (680) SQUARE METERS, more or less. All points referred to are indicated on the plan and are marked on the ground as follows: points 3 by Old PLS. Cyl. Conc. Mons., 15x60 cm., and 4 by Old P.S. Cyl. Conc. Mons., 15x60 cm., and the rest by P.S. Cyl. Conc. Mons., 15x60 cm., bearings true; date of the original survey, April 8, 1920 Feb. 21, 1921 and that of the subdn. Survey, Sept. 10-11, 1970. . . . (a copy of which title is hereto attached as Annex A) WHEREAS, the SELLER is willing to sell and the BUYER is willing to buy the above-described real property; NOW, THEREFORE, for and in consideration of the amount of FIVE HUNDRED THOUSAND PESOS (Php500,000.00), Philippine Currency, receipt in full is hereby acknowledged by the SELLER to her satisfaction, the SELLER SELLS, CEDES, TRANSFERS and CONVEYS in a manner that is absolute and irrevocable the above real property unto the BUYER, his heirs, assigns and successors-in-interest. The SELLER warrants that she can transfer the title and possession of the aforesaid real property to the BUYER and that there are no other transactions pending registration with the Registry of Deeds in Quezon City that will adversely affect the rights of the BUYER. THAT any and all expenses incidental to the registration and conveyance of the title from the name of the SELLER to the name of the BUYER such as Transfer Tax, Documentary Tax, registration expenses and the like shall be the sole and exclusive account of the BUYER: provided, that capital gains tax shall be for the account of the SELLER.
