SCHEDULE-I General Terms and Conditions

Indore Sahakari Dugdha Sangh Maryadit Indore invites sealed tenders from bonafide manufacturers/associations of such manufacturers and their accredited representative for supply/ Purchase of Spare parts for Hindustan Equipment Make Super Senior extra wide (Jumbo) Pallet Machine, Hammer Mill 10MT per Hour Capacity and other Plant Machinery strictly in adherence to the details specification given in the Schedule II of the tender. Sahakari Dugdha Sangh Maryadit, Indore/Bhopal reserves the right to accept or reject any or all tender, which in their opinions, without further explanation to the tenderer.

1.0 Tender submission

1.1 The tender should be send by registered post, so as to reach the office of General Manager, Cattle Feed Plant, AB Road, Manglia, Indore not later than 3:00 PM on 27.07.2013. 1.2 If the tenders do not propose to send the tenders by Registered post and if they wish to hand over personally the sealed tenders addressed to the General Manager, Cattle Feed Plant, AB Road, Manglia, Indore, they are permitted to do so. But not later than 3:00PM on 27.07.2013. 1.3 The tenders must be submitted in ORIGINAL. The tender marked ORIGINAL shall alone be considered for the purpose of evaluation. 1.4 Individual signing the tender/other connected documents must specify whether he has signed as: a. The sole proprietor of the firm or constituted attorney of such Proprietor. b. A partner of the firm, if it is partnership firm in which case he must have authorities to refer to the arbitration disputes concerning the business of the partnership either by virtue of the partnership deed or by power of attorney. 1.5 The tender should be put in cover. The cover would be sealed and superscribed with tender No., Title and Date of Opening. The cover should bear address of General Manager, Cattle Feed Plant, Manglia. The Sahakari Dugdha Sangh Maryadit, Indore/Bhopal reserves the right to ignore any tender which fails to comply with the above instructions. All outstation tenders should be sent by registered post. 1.6 The tender will be accepted upto 3:00 PM on 27.07.2013 and the same will be opened at 3:30 PM on 27.07.2013. 2

1.7 The tender should clearly state in their offers the address, telephone and Fax No. Any change in address should immediately be notified to the General Manager, Cattle Feed Plant, Manglia and correspondence thereafter will be made at the changed address.

2.0 EARNEST MONEY DEPOSIT :

2.1 All the tenders shall be required to pay Earnest Money as specified by us, in the form of crossed Demand Draft in favour of General Manager, Cattle Feed Factory, Manglia or by cash in CFF, Manglia office (M.R. copy be enclosed). Submission of earnest money by any other mode then specified above shall not be acceptable and the related tender shall not be eligible for consideration. Details of Earnest Money Deposit are as below: Rs. 1,00,000/- (Rs. One Lakh only.) 2.2 Any tender which is not accompanied by Earnest Money Deposit are liable to be rejected. Earnest Money deposit of unsuccessful tenderers will be returned within 30 clear days from the date of opening of the tender after submitting the money receipt in original along with request letter on their letterhead. The earnest money deposit of the successful tender will be released on completion of supply/work as the case may be within the stipulated period. For short supplies and under performance this money will act as security Deposit. 2.3 No interest will be paid for the earnest money for the period during which it (the earnest money) lies in deposit with the Cattle Feed Factory, Manglia, Indore, 2.4 Money receipts or Draft towards earnest money should be enclosed along with Schedule IV (Price Schedule) of the tender documents.

3.0 PRICES :
3.1 The price will be submitted strictly in the format given in tender invitation form. 3.2 Prices offered by the tenderers should be firm and free from all escalations. The prices offered should be valid at least for a period of 12 months from the date of approval of rates, we would communicate our rate approval within 45 days of opening of tender. 3.3 The tender should quote prices F.O.R. Cattle Feed Factory, Manglia (Indore)/Cattle Feed Factory, Pachama, (Sehore) and inclusive all. Wherever required C forms shall be provided to avail of concessional rate of the central sales Tax.

3.4 The prices should be in figures and as well as in words and no cutting/over writing in prices of material terms should be there in tender. 3.5 Prices will be compared on all inclusive basis.

4.0 TERM & MODE Of DESPATCHES :

4.1 The material will be supplied as per the schedule giver by Cattle Feed Factory, Managlia and Pachama and shall be dispatched to concerned factory by road Transport under intimation to the purchaser. Depending upon the type of material, the supplier shall have to carry out proper greasing wherever required/packing/crating to avoid damage during transit and storage at factory premises. Wherever needed proper anti- corrosion solution be applied. Insurance will arranged by suppliers.

5.0 QUALITY GUARANTEE and RELATED TERMS :

5.1 All the Supplied material should be guaranteed against all manufacturing and performance related defects for a period of one year from the date of supply. 5.2 Supplier should take special care for finished sizes on all components to ensure proper fitting and interchangeability of all parts. All fitting related problems shall cause an outright rejection of components. 5.3 A minimum production guarantee on dies and roller shells are needed. Our standard will be an average output of minimum 4000 MT + -5% from a set of one Die and Four Roller Shells. Any short fall in production will be recovered from suppliers pending bills or earnest money. If the production is less than 3800 MT the prorate basis deduction will be made considering production of 4000 MT. For over all evaluation yearly average of all Dies and Roller Shell will be considered. For example 15 Dies and 60 Roller Shells should produce a minimum of 57000 MT in one year. (Note: Both units are producing BIS Type II formulation round the year or better.) 5.4 All rejections will be returned and replaced totally on suppliers cost and liability.

6.0

PAYMENT TERMS :

6.1 Normal term of payment is full payment after receipt, inspection and acceptance of materials in our stores within a period of about 30 days after receipt. Such payment shall be made by accounts payee cheques. Offers agreeing to these terms would be given preference over these specifying other terms. Cattle Feed Factory, Manglia and Pachama will release payment for their respective supplies. If supplier desire the payments by DD or RTGS commission or other applicable charges will be deducted from suppliers account.

7.0 DELAY PENALTY CLAUSE :

7.1 All the materials will attract a delay penalty of 1% of value per week, which gets delayed by more than 7 days as per given schedule. For more than 4 weeks, order will be cancelled. In event of cancellation Material will be purchased from other suppliers and differential cost will be recovered from amount of pending bills or Earnest money.

8.0 OTHERS :
8.1 The acceptance of the tender and award of the purchase order will be the sole right of the CEO, Sahakari Dugdha Sangh, Bhopal/Indore or General Manager, Cattle Feed Factory, Manglia/Pachama, who does not bind himself to accept a tender in whole or in part or reject any or all the tenders received without assigning any reason and no explanation can be demanded of the cause of rejection of the tender by any tenderer. If the tenderer fails make supply within the stipulated time mentioned in purchase order then they may be black-listed and EMD/SD also be forfeited. 8.2 No responsibility shall be attached for premature opening of tender, not properly address and identified. The tenders received against the advertisement upto the specified time limit shall be considered. But the lowest rate shall not be the only criteria for awarding the tender. 8.3 Negligence on the part of tenderer in filling the tender offers no right to withdraw the tender after it has been opened. 8.4 The tenderers should send their offers along with specification, necessary drawing etc., which will from the basis of their quotation and integral part thereof. 8.5 Corrections, if any, in the tender should be noted over and should be signed at the places of each correction made. 8.6 The CEO, Sahakari Dugdha Sangh, Bhopal/Indore or General Manager, Cattle Feed Factory, Manglia/Pachama, reserves the right to place order for sole requirement with any tenderer or split the orders among one or more tenderers . 8.7 Each tender should be accompanied with Income Tax clearance certificate, sales tex number and sales tax clearance certificate without that, the tender may not be entertained. 8.8 The submission of a tender by a tenderer implies that he has read the notice and conditions of the tender and the terms and conditions of contract has made himself aware of scope and specification of the suppliers to be made and the destination where the supply have to be made and satisfied himself regarding the quality and specifications of the articles. The tenderers should submit tender in the prescribed format only. 5

No person or firm is permitted to submit more then one tender under different names. The conditional tenders are liable to be rejected. Each page of the tender and its enclosure should be signed at the bottom by the tenderer. The contractor shall not sublet the contract or assign to any other party or parties, the whole or any portion of the contract.

9.0

LIQIDATED DAMAGES

9.1 Once firm delivery dates are established they shall be strictly adhered to and this forms the essence of the contract. In case they are not followed, Cattle Feed Factory, Pachama / Manglia reserves the right either to cancel the order and made alternative purchases at the risk and expenses of the defaulting supplier or to charge liquidated damages from him at the rate of 2% of the value of goods not so delivered for each months delay or part thereof.

10.0

MANUFACTURERS

10.1 Only manufacturers will be entertained, copy of licence is to be attached with tender with tender for each items filled in. wholesalers dealing with the item will have to attach copy of authorization certificates of the manufacturer.

11.0

INSPECTION

11.1 All the stores are subject to inspection at our works before acceptance. If goods are rejected due to defective or wrong supply the report of our inspector in this respect shall be FINAL and no correspondences on the subject would be entertained. The rejected goods should be removed from our premises within 15 days after receipt of our inspection report failing which the same shall be returned to you at your risk and expenses or disposed off in auction and the proceeds, if any, less our expenses credited to your account.

12.0 WHARFAGE/DEMURRAGE
12.1 Wharfage/Demurrage etc. on account of incorrect or delayed dispatch of material of document shall be the responsibility of supplier and shall be recovered from his bill.

13.0 TERMINATION OF CONTRACT

13.1 Any act of commission or commission of a unit brings the Indore Sahakari Dugdha Sangh Maryadit, shall be competent to debar/black list the unit from further business with the Indore Sahakari Dugdh Sangh Maryadit.

14.0 DRAWING & SPECIFICATIONS

14.1 Rate should be quoted for the specification given in the schedule II where no specification/incomplete specification are given in it detailed specification of the articles and its components should be mentioned by tenderer giving reference to ISI and registration with D.G.S.D. & National dairy Development Board, if any along with printed literature etc., if available. 14.2 If the tendering unit has any doubt as to the meaning of any of the conditions or the specification he shall before submitting the tender set forth the particular thereof, and submit them to Cattle Feed Factory, Manglia, in writing in order that such doubt may be removed.

15.0 CONSEQUENCES OF BREACH OF AGREEMENT

15.1 If the authorized person of the unit or a partner in the contract/tendering firm commit breach of any of the conditions of agreement it shall be lawful for the CEO, Indore Sahakari Dugdha Sangh Maryadit, to cancel the contract and purchases or authorize to purchase stores at the risk and costs of the unit.

16.0 DISPUTE ARBITRATION & FINAL AUTHORITY

16.1 It should be clearly understood that in the event of tenderer failing to accept and execute the supply order, decision of the CEO, Indore Sahakari Dugdha Sangh Maryadit, in this respect will be final and binding on the tenderer. 16.2 At the time of submitting the tender, tenderer shall supply detailed information about their activities in the enclosed form. 16.3 For matters of dispute, relating to the interpretation of the above clause, the decision of the CEO, Sahakari Dugdha Sangh, Indore in case of CFF, Manglia and CEO, Sahakari Dugdha Sangh, Bhopal in case of CFF, Pachama, shall be final and binding on all concerned. For all dispute the venue shall be at Bhopal or Indore . 16.4 Each supplier will have to supply Test/Quality/Guarantee Certificate on companys letterhead for each of their supplies. These certificates should cover all defects against workmanship/manufacturing/performance standards/fittings
