DECLARATION / UNDERTAKING (TO UNDER GO MNRES JAWAHARLAL NEHARU NATIONAL SOLAR MISSIONS CAPITAL SUBSIDY SCHEME)

This Declaration / Undertaking / certification is held on this _________ day of _______Month ______Year.

I /We M/s._______________________________________________________ Represented by____________________________________________________ With the permanent Address As:__________________________________________________________________ __________________________________________________________________ __________________________________________________________________ __________________________________________________________________ working as an Dealer / Installer exclusively marketing for Sudarshan Saur brand Solar Water Heating Systems (SWHS).

I/ We understand that our parent company M/s Sudarshan Saur Shakti Pvt. Ltd. with
their registered Office at 5, Tarak Colony, Opp. Ramakrishna Mission Ashrama, Beed Bypass Road, Aurangabad 431 005 Maharashtra. (Hereinafter referred as the Company) has been accredited as a Channel Partner to execute subsidy scheme for the promotion of SWHS under Jawarlal Neharu National Solar Mission (JNNSM). I / We are pleased to note that company has selected me / us to operate the scheme as a authorized dealer / Installer to operate the scheme on their behalf, as per various guidelines under JNNSM.

I / We Undertake / Declare / Certify various points / terms /conditions as follows, required for executing capital subsidy scheme under JNNSM of MNRE& company.

It is certified that I/we have read the guidelines issued by the Ministry vide 5/23/2009/P&C dated 16th June, 2010 and the related provisions/terms and conditions for availing financial support from the Ministry of New and Renewable Energy and I agree to abide by these guidelines and related terms and conditions. It is also certified that I/we have read the guidelines issued by the company and the related provisions/terms and conditions for availing financial support from the Ministry of New and Renewable Energy, and I / we agree to abide by these guidelines and related terms and conditions.

RELATED TO ORDER EXECUTION:

1. I/ We agree to promote / market & install exclusively Sudarshan Saur Brand SWHS only. 2. I / we will install the SWHS, only in the assigned area by the company. I / We agree for the same. 3. I / We agree to sale company products directly to beneficiary / customer and not to any other dealer, trader/sub-dealer. For that, I / we will sale the products to beneficiary / customer by raising my own Invoice. 4. I/ We will give subsidy sanction/ assurance to the customer only after receiving sanction from the company. 5. I / We agree that I / we will provide our time bound sales target to be executed under JNNSM subsidy scheme for receiving the sanction from the company. 6. I /We will execute the scheme exactly as per sanctioned target received from company. Company will not be responsible to commitment given to any customer exceeding target given to me. I / We agree for the same. 7. I / We agree that, company has full right to change /alter my target without any prior notice. 8. A detailed site survey for proper capacity and model selection has been done/or will be undertaken to identify the beneficiary / customer need before actual supply and installation take place. I / We agree for the same. 9. I / We will not charge extra amount to beneficiary / customer for SWHS installation or any other processing fees etc. except plumbing and extra work required as per site conditions. I / We will raise separate invoice for the same. I agree for the same. 10. I / We confirm that SWHS installed / will be installed at net of subsidy (actual cost less capital subsidy) and beneficiaries will be informed about correct amount of subsidy available from MNRE. 11. I / We agree to raise the invoice / bill the beneficiary / customer as per MNRE & companys present guidelines only. 12. I / We will coordinate with dispatch person till unloading of the right SWHS at right beneficiary / customer installation place. I / We agree for the same. 13. I / We agree to complete the installation of the SWHS immediately i.e. maximum within 3 days from the date of delivery. 14. I / We understand that Individual subsidy claim application clearance on every subsidy claim application will be released by the company after receiving payment and other formalities as per given guidelines. I / We agree for the same. 15. I / We confirm that there will be no duplication of the SWHS with those installed earlier by me / us and also with those installed by other channel partners / companies / dealers.

16. I / We confirm that my present beneficiary / customers proposal in full or part will not be been submitted to any other agency for seeking financial support. 17. I / We confirm that, there is no duplication in the proposal and the submitted proposal is the only proposal by the proponent and to the best of my / our knowledge no other organization has submitted any proposal for the SWHS at these site(s) to MNRE and to the company for the financial support. 18. I / we understand that under JNNSM, beneficiary / customer can avail either capital subsidy OR Loan. Capital subsidy availed beneficiary / customer can not apply for the loan or any other financial assistance facility under JNNSM. I / We agree, not to submit any proposal having financial assistance in such a way from any other bank / Institute. DOCUMENTATION & ITS SUBMISSION TO COMPANY: 19. I / We agree to submit every subsidy claim proposal / order to the company with following documents: a) Order Acceptance Form, b) Customer Invoice Copy, b) Beneficiary / customer passport size Photographs (2 copies) c) Beneficiary / customer Identity Proof, d) Beneficiary / customer Address Proof, e) Joint Inspection Report (JIR) etc. 20. Company will verify, inspect each & every document submitted with order acceptance form, directly with customer. I / We agree for the same. 21. I / We confirm that the installed SWHS serial number and engraved collector serial numbers information will be correct and submitted after inspection & verification. 22. I / We agree to submit full details of each & every SWHS along with full name of beneficiary / customer, address, phone number, e-mail addresses, photograph of beneficiary; capacity, type of SWHS , place & date of installation and installed cost. 23. In case of any wrong document / information submission OR incomplete documents company can blacklist me / us from the scheme OR can terminate the dealership, without prior notice. I/ We agree for the same. 24. Company can black list me /us from this subsidy scheme in case of delay in information / document submission. I / We agree for the same. RELATED FINANCIAL TERMS & CONDITIONS: 25. I / We confirm that bill to the beneficiary / customer will be as per MNRE and company guidelines which include 5 years Annual Maintenance cost. 26. I / We agree to abide by the guidelines for SWHS prices, commission structure, and subsidy structure under MNRE declared JNNSM subsidy scheme for SWHS. I / We also confirm that company has full right to alter or changes the prices, commission structure etc. time to time; without prior notice to me / us. 27. I / We agree to sale the SWHS as per only fixed pricing guidelines of the company. Company can blacklist me / us, if I / we will not sale SWHS as per defined prices by company. I agree for the same.

28. I / We will not follow-up / claim the commission amount till company receives complete 100 % subsidy from MNRE against the specific proposals submitted by me / us forwarded to MNRE by company. 29. In worst case, due to any reason for any specific case/ cases, if MNRE fails to release the subsidy to Sudarshan Saur, in such cases, I / we agree not to claim any amount against subsidy receivable from Sudarshan Saur. 30. I / We agree to recover the payment from beneficiary / customer and will pay to the company as per the norms and company guidelines. 31. I / We agree to submit the subsidy claim accounts to the company at Aurangabad from time to time regarding the sales with the list of beneficiary / customers. 32. I / We know that company has decided to hold some part of my commission as SWHS maintenance / servicing deposit for the warranty period of 5 years, without paying interest to me. I / We agree for the same. 33. In case I / we felt to provide after sales service to my any customer company reserves the right to forfeit / deduct the hold amount. I / We agree for the same. 34. I / We agree that in case, due to any reason if I/ we discontinue dealership activity with company, company has full right to forfeit my /our maintenance/ servicing deposit. 35. I / We agree that any of company authorized representative has full right to check my invoice / bill received from customer & my / our any other financial records as per their requirement. I / We have no objection for the same. 36. I / We agree to abide the rights reserved by company to change or alter the payment mode from time to time and without prior notice to me / us.

AFTER SALES SERVICE: 37. I / We agree to give full and immediate after sales service support to the beneficiary / customer under the warranty period without any charge. 38. I / We agree to provide free service as required & visit minimum once in a year to ensure proper working of the SWHS within warranty period. 39. I / We agree to ensure proper working of the SWHS. 40. I / We understand that the company or their representative has full right to audit all the aspects of me /our working pattern, which may cover marketing, installation, servicing aspects. I / We will provide free access to all such information to company officials. 41. I / We agree to confirm that beneficiary / customer can neither shift / sale nor dismantle the installed SWHS. 42. I / We agree to maintain the stock of spare parts to give immediate & necessary maintenance & services to beneficiary / customer 43. I / We confirm that all the SWHS will be installed as per guidelines issued by the company, and will be inspected by me / us after installation.

OTHER: 44. I / We understand that the SWHS installed under JNNSM scheme will be inspected by third party inspection agency, directly appointed by MNRE. I / We agree to follow-up, co-ordinate & support any representative of such an agency for inspection of all any of my/ our installed SWHS. 45. I / We also agree not to charge any amount to beneficiary / customer or company to carry out such an inspection. 46. In case of lost of SWHS under theft or any natural calamities company will not be responsible. I / we agree for the same. 47. In case of lost of SWHS under theft or any natural calamities, I/ We will take undertaking/ affidavit from customer on the stamp paper and will submit the same to the company. I / We agree for the same. 48. I / We understand that failure to comply by these guidelines may result in denial of financial support by the Company & Ministry. I / We agree for the same. 49. It is strictly understood by me / us Jurisdiction of all the disputes (Civil/Criminal or otherwise) which may arise in between dealer and company both the parties shall be at Aurangabad only where the Company is having its registered office. I / We agree for the same.
