BETWEEN 1. _____, 2._____ and 3. ____, all Indian Inhabitant, being the trustees of ____ ha ing the trust office at_____ hereinafter referred to as ! The Trustees "which ex#ression shall unless it be re#ugnant to the context or meaning thereof be deemed to include the sur i ors or sur i or of them and the Trustees or Trustee for the time being of these #resent and the heirs, executors and administrators of the last sur i ing trustees and their or his assigns$ of the One Part. AND _____, Indian Inhabitant, residing at _____ hereinafter referred to as The Contractor "which ex#ression shall unless it be re#ugnant to the context or meaning thereof include his heirs, executors, administrators$ of the Other Part. WHEREAS by a %eed of trust dated &&&&&& the&&&&&&& trust was created for arious ob'ects or #ur#oses, one amongst them being running of an educational institution for #romotion of education.The abo e referred #arty of one #art are the trustees of the said trust. AND WHEREAS the _____ is an (ducational Institution being managed and controlled by the Trustees and the )rinci#al on behalf of the institution and the trustees is authorised to do all acts, deeds, matter and things necessary for #ro#er management and running of the said Institution. AND WHEREAS the Trustees and the )rinci#al are desirous of a##ointing the #arty of the other #art on contract basis to run a canteen in the (ducational Institution in the #remises to be allotted by them to the #arty of the other #art for running of the said canteen the details of which is more #articularly described in the schedule attached hereto on terms and conditions a##earing herein below. NOW THIS CONTRACTOR AGREEMENT WITNESSETH AND IT IS HEREB AGREED B AND BETWEEN THE PARTIES HERETO AS !O""OWS# 1* The +ontractor shall furnish at his own cost and ex#enses the canteen #remises so allotted to him by the #arty of one #art with all the re,uisite furniture and e,ui#ments including amongst others chairs, tables, lights, fans, exhaust fans,sto e, refigrators, fire extinguisher and other e,ui#ment as may be necessary to run the said canteen in good and hygienic conditions and shall also ta-e all due #recautions to #rotect the said canteen #remises from ha.ards of fire and other ha.ards. If due to any default or negligence or carelessness on the #art of the contractor any damage is caused to the said canteen #remises not only shall the

contractor be liable for the same but the agreement shall also be terminated by the #arty of one #art without any #rior notice. 2* The said contract shall be commenced on or before ________________, 2//1, and shall terminate on or before ________________, 2//2 or early determination of the contract on the #arty of one #art gi ing one month notice to the contractor on breach of any of the terms and conditions of this contract or non&satisfactory #erformance by the said contractor. On the termination of this contract at the ex#iry of the aforesaid #eriod or earlier determination of this contract the contractor shall ,uit, acate and deli er #eaceful #ossession of the allotted #remises in such good and substantial re#air and condition and so maintained, sa ed and cleansed and in all res#ects in such state and condition consistent with due #erformance of se eral terms and conditions herein contained reasonable wear and tear ex#ected.. 3* The +ontractor shall obtain at his own cost and ex#ense all the necessary #ermission and clearance from a##ro#riate authorities as is re,uired for running the said canteen. 0* The +ontractor shall #ay the #arty of one #art the +ontract sum of 1s______________, sub'ect to additions and deductions #ursuant to authorised change orders. 2* The +ontractor shall occu#y and use the said allotted #remises only for the #ur#ose of running the said canteen and for no other #ur#ose. The contractor shall -ee# and maintain the said allotted #remises and the fixtures and fittings therein already existing and belonging to the #arty of one #art in good and tenantable re#air and condition and shall re#air and ma-e good any loss or damage at his own ex#enses"reasonable wear and tear and loss or damage by flood, earth,ua-e ,accident ,irresistible force or act of 3od exce#ted$. 4owe er re#lacement of any exisiting fixtures and fittings which re,uire re#lacement will be the res#onsibility of the +ontractor. 5* The +ontractor shall not sub&let,under&let, or #art with the #ossession of the said allotted #remises , or any #art thereof during the continuance of this agreement. 6* The said allotted #remises shall be used in a reasonable manner without being a nuisance or annoyance to the #arty of one #art or to the neighbours. 7* The +ontractor shall always sell and ma-e a ailable in the said canteen #remises the following items8 tea, coffee, soft drin-s, snac-s " eg and non& eg$, mineral water, and clean drin-ing water "without cost$. 9nder no circumstances any alcoholic drin-s or cigarettes will be made a ailable in the canteen. On breach of this condition the contract will be immediately terminated without gi ing the contractor any notice. :* The +ontractor shall always -ee# the canteen #remises clean and in good and hygenic condition.The )rinci#al or any other staff member shall

be entitled to ins#ect and conduct #eriodical chec-s on the canteen #remises and the conditions thereof without #rior notice. 1/* The canteen will remain o#en between __ to __ only ,unless #rior #ermission in writing of the #rinci#al is obtained. The canteen will remain closed on__ 11* The contractor will em#loy at his own cost and ex#ense sufficient number of em#loyees ca#able of ta-ing and deli ering order to the staff. ;o canteen ser ice shall be #ro ided outside the canteen #remises to students by the +ontractor or by his em#loyer. 12* The contractor shall at his own cost #ro ide his em#loyees with #resentable uniform of standard colour which should be worn during canteen hours by the said em#loyees. The uniform should be clean to #re ent health ha.ards. 13* The #arty of one #art and the (ducational institution will not be res#onsible for any fire, theft or other incidents or accidents occurring in the canteen #remises and if the same occurs due to any negligence or default or carelessness on the #art contractor and or his em#loyees the contractor shall be liable to reimburse the institution for any loss or damages so caused. 10* It shall be the duty of the contractor to be always diligent and careful about the ,uality of the food and or drin-s ser ed in the canteen to #re ent any health ha.ards. If due to negligence or default or carelessness on the #art of the contractor and<or his em#loyees the health ha.ards incur the contractor shall be held liable for the same. 12* ;othing herein contained shall constitute any demise or tenancy or sub& tenancy between the #arty of one #art and the +ontractor or shall be deemed to create any right to tenancy or any right to or interest in the said allotted #remises or any #art thereof or in fa our of the +ontractor, it being an ex#ress intention of the #arties hereto, that this is a mere contractor agreement. 15*On the termination of this contract on or before________ or earlier determination of this contract the #arty of one #art reser es the right to allot or re&allot the said allotted canteen #remises to any #erson or #arty of their own choice. 16* =ll dis#utes or ,uestion arising hereunder shall unless decided by mutual agreement of the #arties be resol ed by referring to two arbitrators one to be a##ointed by the each #arty and the a##ointed arbitrator will a##oint the #residing arbitrator .>uch arbitration shall be held at Mumbai and shall be go erned by and sub'ect to the #ro isions of the =rbitration and +onciliation =ct, 1::5 or any statutory modification or reenactment thereof for the time being in force in India and the =ward shall be binding on the #arties to the dis#ute. 17* =ll out of #oc-et ex#enses incidental to this agreement shall be borne by the #arties hereto e,ually. The #arties shall res#ecti ely bear and #ay their res#ecti e >olicitors<=d ocates fees and costs of and incidental to this =greement.

1:* The #arty of one #art shall retain the original +ontractor =greement and the +ontractor shall retain the du#licate thereof.
