MEMORANDUM OF AGREEMENT

This Agreement, made and executed this 26th day of August 2008 at Manila, by and between:

AMAZING ADVENTURES, Inc., a corporation duly organized and existing under Philippine laws with address at Wheels, Inc., No. 222 E. Rodriguez Sr. Ave., Quezon City, represented by Atty. Maria Lourdes P. Garcia, President, now and hereinafter referred to as the First Party/Event Organizer; - and College Department of Hotel and Restaurant Management and/or the TECHNOLOGICAL UNIVERSITY OF THE PHILIPPINES (TUP), an educational institution duly registered with the Department of Education and Culture with address at Arroceros St., Manila, represented in this Act by Ms. Arceli Rosario, duly authorized, now and hereinafter referred to as the Second Party/Client.

WHEREAS, the First Party is an event-activity organizer which facilitates and promotes educational tours for college students and has committed to offer and provide educational tour for Hotel and Restaurant Management students of the Second Party; WHEREAS, the Second Party is a College Department of Hotel and Restaurant Management of the Technological University of the Philippines and its students and faculty have accepted the offer of the First Party to facilitate its educational tour.

WITNESSETH

That the Event Organizer and the Client, for and in consideration of the covenants, stipulations and agreements herein contained do hereby agree as follows: I. THE EVENT - The educational tour of Hotel and Restaurant Management (HRM) students of the Technological University of the Philippines (TUP), Manila; II. THE TOUR SITES - The tour sites shall be at the Gardenia Bread Factory located in Calamba, Laguna and the Chocolate Lover Store located at Cubao, Quezon City ; III. DATE of TOUR The Educational Tour shall be held on September 17, 2008 from 8 oclock in the morning to 5 oclock in the afternoon;

IV. The CONSIDERATION Each participating student is charged at the rate of P1,200 inclusive of transport service pick up/drop off, insurance coverage, tour site accommodation and viewing of food processing and Certificate. Minimum number of students participating in the tour is 40 pax. Three (3) faculty members joining the tour will be given complimentary accommodation. Excluded is sit down seminar/teach in or food demo.

IV. A.

PRIMARY STIPULATIONS of SERVICES of the First Party The First Party shall make all the preparations for and in behalf of the Second Party before, during and after the tour; A-1. It shall coordinate with the management of the tour sites specifically with Gardenia Factory and the Chocolate Lover Store for the schedule and accommodation of the students on the day of the tour; A-2. It shall provide for transport services by bus which shall commence from pick up from school to the tour sites and back to the school; A-3. It shall procure travel group accident insurance for each student and faculty participating in the tour; A-4. It shall provide tour I.D. passes which are recognized by the tour sites and transport facility; A-5. It shall provide for security personnel who will accompany the students during the tour;

Tour Venues . B. The Gardenia Factory Tour --- It shall include the tour of the bread manufacturing and processing factory;

The Chocolate Lover Store --- It shall include the tour of the chocolate lover store and a sneak preview of a baking seminar being conducted therein;

D.

Purefoods --- (Optional when the time permits and at the expense of the First Party) Venue is in Calamba. Students will have a first hand view of food processing.

V. PRIMARY STIPULATIONS OF UNDERTAKING OF THE SECOND PARTY:

B. Upon signing of this Contract:

B-1. The Second Party shall submit all the names of all the participating students and faculty as well as their other personal circumstances for inclusion in the travel insurance policy to be procured by the First Party for the benefit of the Second Party; B-2. The Second Party shall pay a downpayment corresponding to 50% of the P1,200.00 per student minimum of 40 students or the amount of TWENTY FIVE THOUSAND EIGHT HUNDRED PESOS (P25,800.00); B-3. The Second Party shall submit a list of preference or specifications regarding the tour for consideration of the management of tour sites. If not submitted at the signing of the contract, the list must be submitted to the First Party at least 10 days before the intended tour so that proper coordination can made with the management of the tour sites. B-4. The Second Party shall guarantee that at least 40 paying students shall participate in the tour. In the event, less than 40 students will actually participate and join the tour, the First Party shall have the option to shorten the number of hours of the tour or minimize any of its highlights or waive the complimentary provisions of the three (3) faculty joining the tour.

C. Three days before the date of the tour, the Second Party shall pay in full the total consideration of the tour.

VI. EXCLUSSIONS: Food provisions such as lunch and snacks are not included in this Agreement. Side Tours and tour guides are likewise excluded from this Agreement.

VII. GUARANTEES and WAIVER of LIABILITY:

The parties shall execute their corresponding obligations under this Agreement to the best of their capacity and shall exert their respective level best efforts in complying with the terms hereof. The First Party shall endeavor to perform its obligation of facilitating the tour with best intentions of promoting the interests of the students. The Second Party represents that participating students in the tour are of excellent health and are physically fit in joining the tour.

Any untoward incident unforeseen or fortuitous shall exculpate the First Party from liability. The Parties of this Agreement hereby agree to full performance of the covenant contained herein.
