Warranties. P#C Consulting represents and $arrants to C!"#NT that it has the e2perience and ability to perform the ser ices re3uired by this CONTRACT4 that it $ill perform said ser ices in a professional% competent and timely manner4 that it has the po$er to enter into and perform this CONTRACT4 and that its performance of this CONTRACT shall not infringe upon or iolate the rights of any third party or iolate any la$s& 5o$e er% C!"#NT $ill not determine or e2ercise control as to general procedures or formats necessary to ha e these ser ices meet C!"#NT/s satisfaction& The C!"#NT represents and $arrants to P#C Consulting that it $ill pro ide C!"#NT materials as re3uired in a professional% competent% and timely manner4 that it has the po$er to enter into this CONTRACT on behalf of C!"#NT4 and that its performance of this CONTRACT shall not infringe upon or iolate the rights of any third party or iolate any la$s& 3. Web Design Contract Components. Design Consultation. One design consultation is included in this contract usually prior to preparation of the proposal& The purpose of this consultation is to disco er client needs and plan the $eb site design using the Web Design 6uote sheet& Additional consultations $ill be charged at an hourly rate of 789 and are not included in this contract& These consultations may be in person or by phone% emails are free& Textual Content. Te2tual content $ill be supplied already composed and typed by C!"#NT& C!"#NT may elect to hire P#C Consulting for copy $riting ser ices outside of this CONTRACT at a rate of 789 per hour& Photographs. Photographs $ill be supplied by C!"#NT in digital or print format& :canning in e2cess of fi e photographs per page is in addition to the price set forth in this contract and $ill be billed at 79&;; per scanned image& C!"#NT may elect to purchase stoc- photographs to be used on the $eb site& P#C Consulting can suggest endors of stoc- photography& Time spent by P#C Consulting searching for appropriate stoc- photographs is in addition to the price set forth in this contract and $ill be billed at an hourly rate of 789& Graphical Content. #ach page to contain company logo if desired by C!"#NT& !ogo is to be pro ided by C!"#NT& C!"#NT may elect to hire P#C Consulting to design a logo outside of this contract at an hourly rate of 789& Other graphics can include custom designed na igation% buttons% lines% bullets% and rollo ers& P#C Consulting $ill prepare a draft layout containing proposed custom designed graphics& C!"#NT& A ma2imum of three re isions to the draft layout $ill be included at no e2tra cost to create the loo- and feel that is desired& <urther re isions $ill be billed at the normal hourly rate of 789& Lin s. P#C Consulting $ill add lin-s to e2ternal sites and pages $hen appropriate% at the re3uest of the client& !ploa". De elopment of $ebsite $ill ta-e place on the P#C Consulting ser er& P#C Consulting $ill upload the completed $ebsite to the C!"#NT/: contracted $eb hosting account upon receipt of final payment from C!"#NT&

#inor !p"ates an" Changes. *inor updates and changes to e2isting $eb pages are included for up to t$o $ee-s follo$ing completion of $ebsite& *inor updates and changes are defined as updating lin-s and ma-ing minor changes to a sentence or paragraph& "t does not include remo ing nearly all the te2t from a page and replacing it $ith ne$ te2t& "f the C!"#NT or any agent other than P#C Consulting attempts to update the C!"#NT/s pages during this time% time to repair the $eb pages $ill be assessed at the hourly rate of 789 for 5T*! and 7=9 for programming and is not included as part of the modification time& Change $r"ers. After this CONTRACT is signed any ma.or changes to the proposed design $ill re3uire a C5AN># ORD#R $hich $ill become an addendum to this contract& *a.or updates and changes are defined as adding additional pages% custom graphics and?or functionality to the site outside of $hat is outlined in the proposal and initial design layout& E%mail. Response lin-s to an email address specified by C!"#NT can be included on any page as re3uested by C!"#NT& &. Post%Launch '""itions. The addition of $eb pages% graphics% functionality% photos and any other content after the completion and launch of the $ebsite $ill re3uire a separate proposal and contract& (. #aintenance an" )ourl* +ate. C!"#NT may contract P#C Consulting to pro ide maintenance ser ices for the $ebsite after the t$o $ee- minor update period has e2pired& *aintenance ser ices are a ailable by the hour or by separate maintenance agreement& ,. P#C Consulting $ill endea or to meet specified deadlines laid out in the $eb design 6uote sheet& Client $ill be bound to the dates set out there& Please ma-e e ery effort to submit completed content and appro als by agreed upon deadlines& P#C Consulting $ill not be responsible if target launch date cannot be met due to late submission of materials by Client& - . The Client understands that any $eb hosting ser ices re3uire a separate contract $ith a $eb hosting ser ice& The client agrees to select a $eb hosting ser ice $hich allo$s P#C Consulting full access to the $eb site and cgi1bin directory ia <TP& "f A:P programming $ill be utili0ed on C!"#NT/s site the ser er $ill need to be running in an *icrosoft @P en ironment $ith A:P ser er e2tensions properly installed& . . All payments $ill be made in #uros& P#C Consulting promises to complete all $or- by this date% sub.ect to appro al and receipt of all materials from Client& All final payment shall be due on agreed1 upon date% regardless of delays by Client& 5o$e er% if P#C Consulting is delayed due to circumstances beyond his or her control% contract completion and re3uired final payment $ill be postponed to a ne$ agreed1upon date& At that ne$ date% all fees $ill be due& 10 . Thir" Part* Consultants an" Sub%Contractors. P#C Consulting reser es the right to contract third party consultants $ith the appro al of Client to the right fit for the .ob as $ell as on1 time completion& 11. Legal 1ssues. P#C Consulting does not guarantee that the functions contained in the $eb pages or the $eb site $ill meet the Client/s re3uirements or that the operation of the $eb site $ill be uninterrupted or error1free& The entire ris- as to the 3uality and performance of the $eb site and pages therein is $ith the client& "n no e ent $ill P#C Consulting be liable to Client or any third party

for damages% including lost profits% lost sa ings or other incidental% conse3uential or special damages arising out of the operation of or inability to operate this $eb site and any other $eb pages% e en if P#C Consulting has been ad ised of the possibilities of such damages& "f any pro ision of this agreement shall be unla$ful% oid% or for any reason unenforceable% then that pro ision shall be deemed se erable from this agreement and shall not affect the alidity and enforceability of any remaining pro isions& 12. Cop*rights an" Tra"emar s. Client represents to P#C Consulting and unconditionally guarantees that any elements of te2t% graphics% photos% designs% trademar-s% or other art$orfurnished to P#C Consulting for inclusion in the $eb site are either o$ned by Client% or that Client has permission from the rightful o$ner to use each of these elements% and $ill hold harmless% protect% and defend P#C Consulting from any claim or suit arising from the use of such elements furnished by Client& 13. Cop*right to 2eb pages. When final payment is recei ed and $eb pages are published to Client/s $eb host account the Copyright to the pages $ill be as follo$s: !ogos% banners% buttons and other graphics created by P#C Consulting% for Client% are o$ned and copyrighted by Client& P#C Consulting is not re3uired to -eep or pro ide client $ith nati e source files used in the creation of these graphics& Content and photographs pro ided by Client are o$ned and copyrighted by Client or respecti e o$ners $ho ha e granted use rights to Client& 5T*! code and ser er side and bro$ser side scripting is o$ned by P#C Consulting and its licensors and is licensed to Client for use on this $eb site only& Client is not permitted to use these scripts else$here or sell them to a third party& P#C Consulting reser es the right to display and lin- to completed $eb site as part of a $eb design portfolio& 1&. Pa*ment o3 4ees. "n order for P#C Consulting to remain in business% payments must be made in a timely manner& Payments are due by the dates outlined in this contract or $eb design 3uote sheet& Outstanding balances that are 8; days past due $ill be assessed a late fee of A&9C per each month of delin3uency& P#C Consulting reser es the right to remo e $eb pages from ie$ing on the internet until final payment is made& "n case collection pro es necessary% Client agrees to pay all fees incurred by that process& This agreement becomes effecti e only $hen signed by P#C Consulting Regardless of the place of signing of this agreement% Client agrees that for purposes of enue% this contract $as entered into in Cor-% "reland and any dispute $ill be litigated in Cor-& "reland Please pay on time& 1(.
