Annexure - A GUIDELINES AND CONDITIONS FOR TENDERERS FOR Submission of Tender (Bank Premises) Tenderers are advised to study the following procedures carefully before submission of Tenders: 1. It is proposed to follow the Two BID Tender system for this Tender and BIDS should be submitted in the prescribed formats (Annexure - "A-1" & "A-2"): i) "TECHNICAL BID" (Annexure - "A-l") in ONE COVER DULY SEALED. This BID is meant only for all technical details of the Offered Premises e.g. address, area, quality of construction, floor ventilation, surroundings, Electrical load available, water supply, parking facilities, terms of lease and its renewal and other terms & conditions etc. Please note that Rent. Advances etc. should not be indicated in the Technical Bid. ii. "FINANCIAL BID" (Annexure - "A-2") in ONE Cover. This BID is meant only for all Financial Details of the Offered Premises e.g. rent/rate, maintenance charges, air conditioning charges, generator set charges, taxes, Stamp duty to be shared on 50:50 basis, rent escalation on renewal, advances if any etc. 2. All the points in the Tender forms (Technical & Financial Bids) are to be answered and no separate sheet should be used. Tenderer is expected to furnish all information required in both the BIDS. Failure to furnish all information required in the BIDS {Annexure - "A-l & "A-2') in every respect may result in the rejection of the TENDER. 3. Tenderer should put full Signature on all the pages of the Tender forms. 4. Over writing/white inking of any word/figure in the Tender Forms, unless duly Authenticated by the Tenderer, are liable to be rejected at the option of the Bank. 5. Separate Tender Forms should be used for separate Premises and for separate branches, e.g. if a Tenderer wants to offer more than one premises then separate Tender forms should be used. 6. The tender should be submitted by the tenderer himself by Registered Postl Speed Post/Recorded Delivery/Courier or in person.

7. Since TWO BID Tender system is to be followed, 3 Covers should be used for submission of Tender as detailed below: i. Cover - "1" for Technical Bid. a. "TECHNICAL BID" duly completed and signed should be put in this cover. b. The Cover should be sealed properly with lac. c. The Cover should be Superscribed as: "Offer for Office Premises" "T E C H N I C A L BID" d. Tenderer's Name & Address should be written below the Superscription. ii. Cover - "2" for Financial Bid. a. "FINANCIAL BID" duly completed and signed should be put in this Cover b. The Cover should be sealed properly with lac. c. The Cover should be Superscribed as: "Offer for Office Premises" "F I N A N C I A L B I D" d. Tenderer's Name and Address should be written below the Superscription. iii. Cover- "3" for (containing both the above BIDS). Both the Technical Bid Cover & Commercial Bid Cover, prepared as above, are to be put in this Cover. a. Tenderer's Name & Address should be written just below the Superscription. 8. Sealed Offers prepared in accordance with the procedures enumerated above should be sent by Registered Post/Speed Post/Recorded delivery/Courier/by Hand and should reach on or before the prescribed time limit to the Address mentioned in the Advertisement. Any Tender received after the date specified in Advertisement will be rejected. 9. After Technical Bids are opened and evaluated, a list of short - listed Tenderers will be prepared. The short-listed Tenderers will be contacted for inspection of the premises. 10. The Bank reserves the right to accept any bid, and to annul the Tender Process and reject all bids at any time without assigning any reason thereof.

11. Other Requirements: Offers are invited from the owners themselves and not from Estate Agents/Brokers. Any offers received from Estate Agents / Brokers / any other intermediary shall be rejected outright. (ii). The owners should have a clear title to the property and should be in possession of it. Title clear certificate and occupancy certificate should be submitted along with the Technical Bid. (iii). NOC from the society/builder for leasing out the premises to Bank and to install ATM, Banks display board, etc. to be enclosed to the Technical Bid. (iv). The entire premises should be on a single floor preferably either on the ground floor or the first floor. (v). The premises should preferably have frontage of about 15 - 20 ft. without any encroachments / encumbrances. (vi). The premises should be ready for occupation with all the necessary approvals duly obtained including the approval from Municipal Authorities for occupation and commercial use of the premises. (vii). The carpet area of the premises should be as per advertisement published in Times of India . The area is to be quoted on carpet area basis only. (viii). Construction of strong room/Safe Deposit locker room as per RBI specifications (IS15369: 2003) will have to be done by the landlord at his cost. (ix). All structural and major repairs, periodic painting of the premises will be undertaken by the landlord at his cost as and when required, as per the standard clauses in the Bank s lease agreement. (x). Separate Electric Meter and Water Meter / connection (including deposit payable if any) shall have to be provided by the landlord at his cost. (xi). The Bank will be at liberty to install ATM anywhere in the premises. Necessary permission for ATM installation will have to be obtained by the landlords from society and enclosed to the Technical Bid and from statutory authorities before finalization of offer. (xii). The landlords will also provide place for parking of bank s/customers vehicles. (xiii). Lease will be initially for 10 years with minimum subsequent automatic renewal of lease deed in favour of the Bank for another 5 years. Lease Deed will have to be executed and registered as per Bank s prescribed format (available with our office) with necessary additions / modifications as per the terms / conditions of sanction. The lease deed should be executed before handing over the premises to the Bank. (xiv). The landlord will ensure that the premises is handed over duly completed in all respects as per Banks requirement with the necessary approvals including occupancy certificate/permission for commercial establishments etc. before execution of lease deed. If the building is under construction Commence certificate/intimation of disapproval should be submitted along with the tender document. (xv). The landlord is required to execute the agreement of lease. Lease Deed and the stamp duty / registration charges will have to be borne by the landlord and Bank in equal proportion i.e. on 50:50 basis. (xvi). Property tax present and future levied by Municipal authorities, all or any cess, NOC charges levied by MHADA/CIDCO, Service Tax, etc., will have to be borne by the landlord. 5. Such monthly rent payable for lease period and also for the further periods of renewals, shall be inclusive of all present and future revenues, taxes, impositions and outgoings whatsoever payable in respect of the said Premises by the Lessor/s. Provided that if the Lessor/s has/ve registration for Service Tax, the Lessee shall also pay such service tax in respect of the rent paid by the Lessee under this deed for the said Premises, on the Lessor/s submitting serially numbered bills every month for the rent indicating the service tax component along with the description, classification and value of taxable services provided. Such bill shall also contain the service tax registration number of the landlord apart from his/her/their name, address etc. The service tax shall not be payable by the Lessee if the Lessor/s fail to submit such bill in time, so that the Lessee can claim appropriate reliefs on the basis of such payment.

6. The Lessee doth hereby covenant with the Lessor/s as follows: [i] To pay the said monthly rent and other payments if any, hereby reserved and payable to the Lessor/s on the day and in the manner aforesaid into the SB/Current account No of the Lessor/s maintained with .. Lessee. [ii] To use the said Premises only for the business purposes of the lessee including installation of ATM(s) as also for accommodating the offices of any other institutions or bodies associated with the lessee at its discretion, and may also use a portion of the said Premises for providing amenities to their staff. [iii] To pay all the charges for electricity and water to be consumed by the Lessee in the said Premises to the appropriate authority according to the reading of the electric/water meter or meters to be installed in the said Premises by the Lessor/s at their costs. [iv] To allow the Lessor/s or his/her/their agents from time to time and at all times during the tenure of the Lease and the extended period, if any, during reasonable hours in the day time but on receiving at least 72 hours previous notice in writing from the Lessor/s with or without workmen to enter upon the said Premises for the purpose either of viewing the said Premises or of doing such work or things as may be requisite or necessary for any repairs of the said Premises and every part thereof. To yield and deliver up peaceably and quietly possession of the said Premises to the Lessor/s at the expiration of or earlier determination of the Lease in as good condition as the same have been at the beginning of the said Lease reasonable wear and tear and damage by fire, storm, tempest, earthquake, flood or other act of God, war, strike, riot or Civil commotion, mob violence, air raid violence of army or any irresistible force excepted.

7. The Lessor/s do/es hereby covenant with the Lessee as follows:[i] The Lessee shall quietly hold and enjoy the said Premises and every part/facilities thereof during the continuance of the lease without any interruption by the Lessor/s or any person or persons whosoever, provided the Lessee observes and performs all the covenants and conditions herein contained and on its part to be observed fulfilled and performed [ii] The Lessee shall be entitled to display its signboard/ boards, hoardings, neon signs in such a manner and at such portion of the said Premises whether inside or outside or on the outer wall of the said Premises which the lessee may in its absolute discretion think fit and the Lessor/s shall have no objection thereto. [iii] The Lessee shall be entitled at any time during the continuance of the lease, to install, erect, fix and set up such internal partitions, cabins, walls and electrical and sanitary and other fixtures and fittings, counters, vaults, lockers, cabinets, doors, gates, air-conditioning plants, generator sets etc. in the said Premises and every part thereof as the Lessee may require without causing any damage or injury to the said Premises and on the expiration or sooner determination of this Lease to remove the same and every part thereof at its own costs without thereby causing any damage to the said Premises. [iv] To allow the Lessee, its servants, employees, customers, agents and other persons having business with the Lessee to use the said Premises including the facilities attached to it, for the purpose of ingress to and egress from the said Premises and for effectively conducting the business intended by the Lessee [v] The Lessor/s shall not nor shall they allow any person to use or carry on any noisy, hazardous occupation or business in or upon any part of the said Premises which may cause annoyance or

inconvenience to and/ or otherwise likely to be prejudicial to the interest of the Lessee at the said Premises. [vi] It shall be lawful for the lessee to assign, transfer, underlet, sublet the said Premises or part thereof without reference to the Lessor/s, provided that such transfer is made only to an associate concern of the Lessee. [vii] The Lessor/s shall pay all rents, revenues and other outgoings an impositions whatsoever payable in respect of the said Premises including al kinds of taxes to whomsoever it is payable, including the Central and/or State Government, local authority or any superior landlord Panchayat/ Municipality/ Corporation. [viii] To provide adequate and continuous electric power supply as may be required for the purpose of the business of the Lessee including and not limited to operate and function the computer systems, ATM and other electric and electronic installations relating to the business of the Lessee, Air conditioners, fans and lights etc., and to provide standby generator with sufficient capacity as may be required to carry on the business of the Lessee smoothly, in case of power failure. [ix] To maintain at their cost adequate and continuous supply of water from its source by means of electric water pumps and overhead tanks for the use of the Lessee in the said Premises and to operate and maintain the water pumps in proper repair and condition and also to pay all electric and other charges of operating the said water pumps. To keep the said Premises wind and water tight and to maintain it in proper repair and condition the electric, sanitary and water fittings equipments and appliances pipe lines drains and sewage and execute all repairs to the said Premises as and when required and also execute white-washing and colour washing of the interior and the exterior of the said Premises and also to paint the doors and windows in the said Premises with good paint, once in every three years in the case of exteriors and once in five years in the case of interiors, during the currency of the period of the lease or any renewal thereof but without hindrance to the business activities of the Lessee of the said term of the lease.

To keep the said Premises insured at all times during the term hereby created in the joint names of the Lessor/s and Lessee from loss or damage by fire and against such other risk as may be required by the Lessee with such insurance office or offices as may be approved by the Lessee.

The Lessor/s confirm/s that he/she/they has/ve good right, full power, absolute authority and indefeasible title to grant lease of the said Premises to the Lessee in manner herein appearing.

In the event of the Lessor/s deciding to sell the said Premises during the tenancy or at the expiration of the same, they shall in the first instance offer the premises to the Lesseee at the lowest price which they are prepared to accept for the premises and the Bank shall within one calendar month from the date of such offer accept or reject such offer. The lessor/s hereby undertakes that in the event of eviction of the lessee from the schedule premises at the instance of the lessor/s whatsoever before the expiry of the lease period through Court or otherwise for any reason whatsoever shall compensate the lessee for the expenses incurred for furnishing the premises and installations proportionately for the remaining lease period. The Lessor/s confirm/s that he/she/they has/ve obtained approval from .. Corporation/Municipality/Panchayat vide, approval plan/sanction letter No[.... dated .. for using the said Premises for commercial purpose and there is no restriction under the Town Planning Law/ Scheme to use the said Premises for the purpose of banking business; The Lessor/s confirm/s that the said Premises is free from any encumbrance, trust, lis pendens, attachment or execution, whatsoever.

8. It is hereby agreed by and between the parties hereto as follows:-

[i]

Both the parties agree that if the Lessee does not give notice to vacate or does not vacate the said Premises on the date of the expiry of the existing period or the extended period, if any, it shall be deemed that the Lessee has exercised the option for renewal in terms of clause 2 above, by another period of five/three years and accordingly the increased rent shall become payable with effect from the day succeeding the expiry of the existing period or the extended period as the case may be. In the event of the said Premises or any part thereof being materially damaged or destroyed by enemy action, earthquake, tempest, fire or any irresistible force or acts of gods, war, riot, civil commotion, mob violence, strike, air raid or any irresistible force so as to render the said Premises or any part thereof substantially and permanently unfit for the purpose for which they

were let, this lease at the option of the Lessee be void but in the event the Lessee desiring to continue the lease and the Lessor/s agreeing to repair the damage or injury, the Lessee shall vacate such portion of the said Premises as may be required to enable the Lessor/s to repair or to restore the said Premises to its former state and condition and in such event the whole or proportionate part of rent as the case may be shall abate till the said Premises is restored to its former condition or damage repaired and the Lessee shall continue to pay full rent from the date of such reparation or restoration to the satisfaction of the Lessee. [iii] In the event of the said Premises or any part thereof being acquired or requisitioned by Government or any local authority under any Act for the time being in force, this Agreement shall be determined at the option of the Lessee. In the case of such acquisition, the parties shall be entitled to such compensation as they may respectively be entitled under the law. [iv] Notwithstanding anything to the contrary hereinbefore contained, the Lessee shall be entitled and shall have option to terminate this lease at any time on giving a minimum of three calendar months notice in writing to the Lessor/s and on expiry of the period as specified in such notice Lease as contained herein this deed shall cease to become operative. [v] If the Lessor/s shall at any time fail and neglect to perform and observe any of the covenants and conditions herein contained and on their part to be observed and performed, then the Lessee shall be entitled at its option to determine this lease by giving three calendar months notice or alternatively demand compensation from the Lessor/s for damages suffered by the Lessee by reason of such non-performance or non-observance. [vi] If the Lessor/s shall fail or neglect to pay rents, revenues, rates, taxes, impositions, outgoings cesses howsoever or whatsoever payable by him/her in respect of the said Premises and / or to keep the said Premises and every part thereof in good repair and condition to and / or to keep the said Premises insured for such sum and against such risks as may be required by the Lessee, it shall be lawful (but without making it obligatory) for the Lessee to pay such rents, revenues, rates, taxes, impositions, outgoings and cesses, to incur expenses to keep the said Premises and every part thereof in good repair and condition and to keep the said Premises insured for such sum and against such risks as the Lessee in its absolute discretion may think fit and in any one or more of such cases the Lessee will be entitled in its absolute discretion to deduct such payments and such expenses as aforesaid with interest @ . % above SBT Base

[vii] The Lessee shall be entitled to surrender, leave and deliver any portion / area of the said Premises to the Lessor/s at any time during the currency of the lease or extension thereof, in case the Lessee finds that such area/portion is not required for the purpose for which the said Premises had been taken on lease without affecting the lease in respect of the remaining area/portion for which this lease deed with all the terms and conditions as contained herein will continue to be in force and applicable to both the parties, subject to the condition that the rent fixed for the lease will be reduced / decreased proportionately according to the area/portion surrendered by the Lessee, provided that such surrender shall have been made by the Lessee only after expiry of three months from the date of a notice that may be issued by the Lessee to the Lessor/s intimating him/her/them about such proposed surrender. [viii] If any permission is required to be obtained from any local authority, rent controller or any such statutory or administrative authority or any condition has to be complied with in accordance with any law, rule, license, permit or the like, in respect of the grant of lease as contained herein, the same shall be obtained/ complied with by the Lessor/s. [ix] The Lessor/s and Lessee agree/s that this lease agreement shall be registered along with a duplicate sharing the costs therefor in the ratio 50:50.
