Company and Consultant have entered into a Master Services Agreement dated < > (the Agreement). st Company and Consultant have entered into this Statement of Work (SOW) effective 1 August , 2013, pursuant to Section 1.1 of the Agreement. Except as modified by this SOW, the terms and conditions of the Agreement are incorporated herein by reference and shall govern the performance of the Parties duties under this SOW. Capitalized terms used herein and not otherwise defined are used as defined in the Agreement. In the event of any inconsistency between this SOW and the Agreement, the terms of the Agreement shall govern.

1. Background: Company has engaged IB Technology to

provide a Paradox 4.5 DOS version developerDeveloper. IB Technology has provided a dDeveloper who will work on this engagement. The Ddeveloper is a contractor with IB Tech . The dDeveloper will work from Value Line premises in New York. Services/Deliverables: The dDeveloper will be directly responsible for all the activities assigned to him by the Value Line team . HeE will work as an extended part of the Value Line team.

3. Key Personnel & Fees: The developerDeveloper will report to <?> Sr. Director, Software Development &
R&D, Value Line Inc. He will also report to IB Techs Sr. VP Hi tech Solutions. The hourly fee for the consultant will be USD xxxxxx. The developerDeveloper is expected to work for 40 hours per week. The expected monthly charge (assuming 4.25 weeks per month) shall be _____________. The billing will be on a time & material basis. The developerDeveloper will submit a weekly time sheet. If the developerDeveloper works extra hours, those will be reflected in the billing.

3. 4. Other Fees & Payment Schedule: The payment terms for this SoW, and other SoW specific terms and
conditions are as per section Commercials Payment Terms and Conditions of the MSA

5. Term: 1st Aug 2013 to 31st July 2014 6. General Terms & conditions
1) The developerDeveloper will be eligible for leaves (5 holidays per annum? Sudharm pls confirm) as per standard leave policy at Value Line 2) The developerDeveloper will be working as per the standard working hours defined for other Value Line employees. 3) Value Line will provide the developerDeveloper with laptop/ workstations with all licensed software installed. 4) All expense related to travel & stay away from the base office location will be payable by Value Line. Value Line will also provide the developerDeveloper the standard per diem as per company policy.

5) Value Line will provide a 2 business weeks written notice to terminate this SoW. Value Line will pay IB Tech for these 2 weeks, assuming 40 hours per week. 6) Value Line will not hire IB Techs team members (employees or contractors) for the duration of this contract
