Terms and Conditions of Sale

The following are Zoetis terms and conditions of sale. These apply to all sales of products by Zoetis to the Purchaser to the exclusion of all other terms. 1. Orders and Termination of Accounts
 1.1  Zoetis reserves the right to accept or decline, in whole or in part, any order placed by the Purchaser. 1.2  Zoetis will place on a pending order le any items temporarily out of stock and supply these items when stock becomes available unless the Purchaser specically instructs otherwise before the products are shipped. Zoetis will advise the Purchaser of the delay. 1.3  Zoetis may, in its sole discretion, terminate the Purchasers account. 7.1.1  Disclaimer. The Competition and Consumer Act 2010 (Cth) may confer rights, guarantees and remedies on the Purchaser in relation to the provision by Zoetis of goods and services, which cannot be excluded, restricted or modied. Zoetis does not exclude, restrict or modify those rights. To the maximum extent permitted by law, Zoetis disclaims all other representations, guarantees, warranties and terms, either express or implied, including without limitation warranties and guarantees of title, merchantability or tness for a particular purpose. 7.1.2 Liability. In relation to goods or services which are not of a kind ordinarily acquired for personal, domestic or household use or consumption supplied by Zoetis, to the fullest extent permitted by law, Zoetis liability for breach of any such consumer guarantee, which cannot be excluded is limited at the option of Zoetis to: (a)  in the case of goods; replacing, repairing or paying the cost of replacing or repairing the goods; or  (b)  in the case of services; the resupply or payment of the cost of having services resupplied. 7.1.3  Full liability for injury and death. Zoetis does not seek to exclude its legal liability (if any) for any death or personal injury which is caused by its own negligence. 7.2  Events Beyond Zoetis Control 7.2.1  Zoetis will not be liable for delay or failure to deliver resulting from scarcity of materials, strikes, acts of God or any other cause beyond its reasonable control.

2. Delivery
2.1  Zoetis will endeavour to deliver products for accepted orders on or before any estimated delivery date. Zoetis does not warrant or undertake that it will do so. 2.2  If the Purchaser gives notice to Zoetis of non-receipt of products within 7 days of the estimated date of delivery, Zoetis will send the Purchaser an additional dose. 2.3  A delivery fee will apply to all shipments of Zoetis products. 3.1  Prices are subject to change by Zoetis on 30 days notice to the Purchaser. 4.1  For recurring orders, the Purchasers account will be debited monthly. A copy of Zoetis Direct Debit policy is available at Zoetis direct.com.au. 4.2  If the Purchaser is paying by credit card, in addition to the specied prices, the Purchaser must also pay Zoetis a credit card surcharge of 0.9% (inclusive of GST). 4.3  In order for the Purchaser to avoid their account being debited their monthly subscription fee due to product being sent they must successfully unsubscribe from Postman Paws program at least seven (7) days prior to their monthly product dispatch date. 5.1  The Purchaser may not at any time, directly or indirectly, on-sell, transfer or distribute any products. 5.2  The Purchaser must not sell, transfer or distribute any of the products to any person that it knows, or has reasonable grounds for believing, will or may export such products out of Australia. 5.3  Any breach of these terms will preclude the Purchaser from purchasing any further products from Zoetis, until such time as Zoetis is satised, in its sole discretion, that the Purchaser will not further breach this provision.

8. Governing Law and Jurisdiction

8.1  These terms are governed by the laws of New South Wales. The Purchaser irrevocably submits to the exclusive jurisdiction of the courts of New South Wales. 9.1  The risk in products purchased passes to the Purchaser upon delivery to the Purchaser. 9.2  The Purchaser agrees to accept correspondence electronically, including by email, facsimile and internet. 9.3  The Purchaser is solely responsible for the activity that occurs on the Purchasers account. 9.4  Zoetis may collect personal information as a result of its dealings with the Purchaser. If so, Zoetis will abide by its privacy policy. A copy of that policy is available on Zoetis website at Zoetis.com.au. 10.1  These additional terms and conditions apply to the Postman Paws veterinary clinic incentive scheme (Incentive Scheme). 10.2  The Purchaser acknowledges that by entering a veterinary clinic code during the subscription process, incentive payments will be made to the corresponding veterinary clinic. 10.3  The incentive payments will continue for the term of the Purchasers subscription with the corresponding veterinary clinic, as long as the veterinary clinic code remains associated in the Purchasers account. 10.4  Zoetis reserves the right to vary the incentive payment amount made to veterinary clinics during the Incentive Scheme. 10.5  Zoetis reserves the right to modify or discontinue the Incentive Scheme in whole or in part at any time.

6. Waiver and Variation

6.1  A provision of or a right created under these terms in favour of Zoetis may not be waived or varied except in writing signed by Zoetis. Zoetis may elect not to exercise its rights arising from a breach of any provision of these terms and such election, even if the breaches are continuous and multiple, will not create any estoppel or presumption against Zoetis. 6.2  Zoetis reserves the right to vary or add to these terms at any time without notice.
