Code and Bylaws

Article I Name
This organization shall be known as Iowa Blue Chicken Club, Inc., otherwise abbreviated to IBCC. The organization shall be volunteer in nature and not for profit.

Article II Objectives
The objectives of the organization shall include but not be limited to the following: To provide a support network for the membership, where member talent is embraced and encouraged. To educate the general public and further the interest in the Iowa Blue chicken breed through breeding, displa ing, showing, and promoting the Iowa Blue. To promote the breeding of and improvement of the Iowa Blue chicken breed. To uphold the standards set b the !merican "oultr !ssociation upon acceptance of the Iowa Blue breed into the #tandards of "erfection.

Article III Membership/Membership Contributions


Section 1 - !ll worth persons of honorable character interested in our breed, our organization and our ideals are eligible for membership in our club. Section 2A - !pplication for membership ma be obtained b an individual and sent to the Treasurer with full pa ment or filled out online with the pa ment completed on online. !ll membership contributions must be paid in $.#. Section 2B- %unior &embership, for outh under ,1 ears of age, shall have all rights of membership with the e2ception of serving on the Board of 3irectors. Section 3 &embership shall date from %anuar ,st to 3ecember 0,st. &embership Contributions shall be pa able on or before the first da of %anuar of each ear. 4otification shall be sent to an member whose contribution is delin5uent be ond %anuar ,) with lapse of membership occurring -ebruar , st if membership contribution remains delin5uent. 3uring the month of 4ovember each member shall be notified that their &embership Contribution is pa able on or before %anuar ,.

Section 4 - &emberships beginning after 4ovember ,st shall have their &embership Contribution applied for the upcoming ear6s membership with membership voting privileges beginning %anuar , st of the upcoming ear. Section 5 $pon receiving membership of the club, ever member is accountable to the B /aws and Code of 7thics8 and ma not operate 9in all dealings with the club or all dealings on behalf of the club: outside of the stated B /aws and Code of 7thics. Section 6 &embership in the organization ma be terminated b :

Resignation - !n member in good standing or not in good standing ma resign from the organization upon written notice to the Treasurer, but no member shall resign when in debt to the organization. $pon resignation all &embership Contributions shall be forfeited to IBCC. Lapsing - ! membership ma be considered as lapsed and automaticall terminated if such member;s contribution remains unpaid on -ebruar , st of each ear. The Board of 3irectors ma grant an additional 90*: da s of grace in meritorious cases. !n member whose membership has lapsed b reason of nonpa ment of their contribution shall be re5uired to pa their membership contribution before being reinstated to membership in the organization. In no case ma a person be entitled to vote whose contribution is unpaid. Expulsion - <ith the Board of 3irectors review, membership ma be immediatel terminated b e2pulsion for violating an of the rules and precepts defined in the B /aws = Code of 7thics. $pon e2pulsion, all &embership Contributions shall be forfeited to IBCC.

Section 7 The IBCC reserves the right to refuse membership to an person.

Article IV Officers / Districts


Section 1 >fficers of the club shall consist of the "resident, ?ice'"resident, #ecretar , Treasurer, and 91: 3irectors 9one 3irector from each of the si2 3istricts:. These officers shall make up the Board of 3irectors with each officer having one vote. If a member holds more than one position on the Board of 3irectors, that person shall have onl one vote. Section 2 The Board of 3irectors shall control the affairs of the club at all times and remove from office an officer 9upon the majorit vote of the Board of 3irectors:, for misconduct or failure to ade5uatel perform the duties of his+her office. Section 3 At no time shall any member of office or candidate for office campaign for an elected office. !t no time shall an member be allowed to use mone 9personal or otherwise: to campaign for a position within the IBCC, and no member shall be allowed to campaign at meetings or in publications 9IBCC publications or otherwise:. Section 4 $ntil such time as the Board of 3irectors deems the club 9or an individual 3istrict: has reached sufficient size to elect a 3istrict 3irector for each district, the "resident, ?ice'"resident, #ecretar , and Treasurer shall appoint 91: @eneral 3irectors 9one for each 3istrict:. @eneral 3irectors shall serve , ear terms 9%anuar ,st A 3ecember 0,st: without term limits. Section 5 !t such time as the Board of 3irectors deems a 3istrict 9or 3istricts: large enough to elect a 3istrict 3irector, the @eneral 3istrict leader shall complete his+her term and the elected 3istrict 3irector shall take over leadership of the 3istrict at the ne2t designated election. The 3istrict 3irector elections shall occur opposite the "resident, ?ice'"resident, #ecretar , and Treasurer 7lections.

Section 6 There shall be 91: districts as follows: 3istrict , A 4orthwest !laska, Idaho, &ontana, >regon, <ashington, < oming 3istrict . Section 7 The Board of 3irectors b majorit vote ma increase, decrease or rearrange the number of 3istricts as the deem necessar . Section 8 !t such time an individual #tate reaches .* active members for 9.: consecutive ears, said #tate ma petition the Board of 3irectors to have their #tate established as a separate 3istrict with all privileges granted a 3istrict. !n #tate 3istrict with less than .* active members for ) consecutive ears shall be re'absorbed in the original district or in a district deemed most convenient b the Board of 3irectors.

Article V Election of Officers


Section 1 7ligibilit of >fficers re5uires each candidate or appointee to be an active member of the club, in good standing within the club, and membership contributions up to date. Section 2 !ll elected officials shall serve 9.: ear terms starting %anuar , st and ending 3ecember 0,st. The "resident, ?ice'"resident, #ecretar , and Treasurer shall not serve more than 9.: consecutive terms. 3istrict 3irectors ma serve an unlimited number of terms. Two members of an immediate famil ma not serve concurrentl as "resident and Treasurer, nor become co'signers of the organizations funds. Section 3 4ominations for officers shall be held from >ctober ,'>ctober 0, st. 7lections for officers shall be held from 4ovember ,st'4ovember 0*th. !ll elections shall be held online via the IBCC website, with the <ebmaster being responsible for tall ing votes and notif ing the newl elected members b email of the results no later than 3ecember .nd. The <ebmaster shall promptl post the election results on the IBCC website. !ll general elections shall be officiated b the <ebmaster via the IBCC website.

Section 4 4o person ma be a candidate in an election who has not been nominated. 4ominations shall be made b submitting the designated nominations form via the IBCC;s website in the month of >ctober. The nominated candidates receiving the greatest number of votes for each office shall be declared elected, with the "resident selected first, the ?ice'"resident second, the #ecretar third, and the Treasurer fourth. Section 5 In the event that there is a tie vote for an office, the members of the Board of 3irectors 9who aren;t currentl running for office: shall each cast a vote to break the tie. In such an event, the #ecretar shall manage the voting and tall ing. If the #ecretar position is found to be in a tie vote, then the Treasurer shall manage the voting and tall ing.

Article VI Operation of the Club


Section 1 The management of the IBCC shall be vested in the Board of Directors, which consists of all elected officers. The Board of Directors shall by ma ority vote! Approve all appointments made by the "resident.

Section 2 The "resident shall be the Chief &'ecutive (fficer of the IBCC and he)she! #hall preside at all official club meetings for the IBCC and the Board of 3irectors and shall perform all the duties customar and usual to the office. #hall be authorized to sign checks, drafts, and other orders for the pa ment of monies, notes or other indebtedness issued in the name of the organization, as well as statements and reports re5uired to be filed with the state, federal officials, or agencies. The "resident ma appoint 9subject to !rticle ?I, #ection ,: another member 9subject to !rticle ?, #ection .: to receive authorization of the IBCC account is his+her place. #hall prepare the meeting agendas and have them available to the membership prior to each meeting. #hall appoint 9subject to !rticle ?I, #ection ,: a <ebmaster for the club. #hall appoint 9subject to !rticle ?I, #ection ,: all vacancies of the Board of 3irectors. >fficers appointed b the "resident shall hold office until the ne2t election c cle for said office. #hall be his+her dut to encourage all elected or appointed officers to perform their responsibilities as outlined in this B /aws and Code of 7thics. <ill submit, in a timel manner, an article to the 4ewsletter Committee for publishing in the 5uarterl 4ewsletter. <ill on a monthl basis be in communication with each of the Board of 3irectors to keep updated on IBCC interests. !t the e2piration of his+her term of office, all organization propert and all past records shall be turned over to the dul elected successor. Section 3 The ?ice'"resident will assume all duties of the "resident in his+her absence and he+she: #hall take over the role of "resident and assume all duties should the "residenc become vacant. #hall appoint a replacement for the ?ice "resident 9subject to !rticle ?I, #ection ,: should he+she be re5uired to assume the "residenc in the event that the "residential office becomes vacant. #hall be the primar contact person to receive website emails and website correspondence. <ill submit, in a timel manner, an article to the 4ewsletter Committee for publishing in the 5uarterl 4ewsletter.

Section 4 The #ecretar : #hall keep a record of all official club meetings of the IBCC and of the Board of 3irectors and of all matters for which a record shall be re5uired for the organization. #hall notif members of all official club meetings, and keep a roll of members of the organization with their addresses and contact information. #hall keep a book in which the B 'laws and other adopted rules shall be written. #hall keep a written log in this book stating when amendments are made to an of them with a cross'reference to the meeting minutes in which it occurred. <ill submit, in a timel manner, an article to the 4ewsletter Committee for publishing in the 5uarterl 4ewsletter. !ll special elections+voting shall be officiated b the #ecretar . !t the e2piration of his+her term of office, all organization propert and all past records shall be turned over to the dul elected successor. Section 5 The Treasurer: #hall collect and receive all monies due or belonging to the organization. Be+#he shall deposit them in a financial institution designated b the Board of 3irectors, in the name of the organization. #hall at all times keep the books open to inspection of the Board of 3irectors and shall report to them at ever meeting the condition of the organizations finances. #hall deposit all mone in such financial institution and t pe of account as shall be designated b the Board of 3irectors, in the name of the organization, subject to withdrawal onl upon one 9,: of the two 9.: signatures to appear on the account. The onl authorized signatures shall be the "resident and Treasurer. <ith written notice to the ?ice "resident of the withdrawal. #hall maintain an up to date roll of members of the organization and communicate all updates of membership to the <ebmaster and #ecretar . #hall fulfill other duties that are usual and customar to the office.

#hall provide a prepared financial statement at ever meeting and submitted to the "resident for club review. !t the e2piration of his+her term of office, all organization propert and all past records shall be turned over to the dul elected successor.

Section 6 The @eneral+3istrict 3irector represents the IBCC within his+her 3istrict and: #hall be activel involved with IBCC activities within his+her 3istrict. "romote, encourage, and work to advance the goals of the IBCC through friendl communication within his+her 3istrict. It will be left to the discretion of each @eneral+3istrict 3irector to appoint #tate 3irectors if needed. <ill submit, in a timel manner, an article to the 4ewsletter Committee for publishing in the 5uarterl 4ewsletter.

If the @eneral+3istrict 3irector fails to complete these responsibilities during the first ear, a replacement director ma be appointed.

Section 7 <ebmaster shall: Be responsible for all website maintenance for the IBCC.

Be allowed to serve as <ebmaster concurrentl with other officer positions within the club. #erve until resigning post or until a new <ebmaster has been appointed.

Section 8 Junior President / Junior Vice-President ! junior member ma be appointed b the "resident 9subject to !rticle ?I, #ection ,: to serve a one ear term as either a %unior "resident or %unior ?ice'"resident. The %unior "resident will serve under mentorship of the "resident with the %unior ?ice'"resident serving mentorship under the ?ice'"resident. This program is designed to prepare our outh for leadership roles within the organization as well as allowing them to participate in the regular duties of both the "resident and ?ice'"resident offices.

Article VII Committees


Section 1 Committees ma be appointed at an time b either the "resident or a majorit vote of the Board of 3irectors to assist in conduction of the club;s business or advance the work of the organization. Section 2 - The duration of a committee appointed b the "resident shall be determined b the "resident. The duration of a committee appointed b the Board of 3irectors shall be determined b the Board of 3irectors. The Board of 3irectors shall define the powers of all committees. Section 3 - !t least one member of the Board of 3irectors shall be active in each appointed committee with the remaining committee members consisting of Board of 3irector members and+or active members appointed b the "resident, ?ice'"resident, #ecretar , and Treasurer. 7ach committee must consist of an odd number of members, and there shall be no limits imposed on the number of committees a member of the Board of 3irectors or active member ma participate in. Section 4 - 7ach committee shall first present their decisions to the Board of 3irectors for acceptance b the majorit of the Board of 3irectors. >nce an acceptance has been issued, the Board of 3irectors will decide 9b majorit : if the committee decisions are to be instantl incorporated or if said decisions must be sent to the membership for vote. ?oting times and durations pertaining to the committee decisions as voted on b the membership shall be determined b the "resident, ?ice'"resident, #ecretar , and Treasurer. Section 5 !ll committee decisions pertaining to the breed #tandard, amendments to the B /aws = Code of 7thics, and &eet Fegulations shall be re5uired to pass a majorit vote of the membership voting. This vote ma be held at either a club meeting or electronicall via the IBCC website and managed b the <ebmaster. Section 6 !n committee appointment ma be terminated b a majorit vote of the Board of 3irectors upon written or email notice to the appointee, and the "resident ma appoint 9subject to !rticle ?I, #ection ,: successors to those persons whose services have been terminated.

Article VIII Miscellaneous


Section 1 The Fisc ! "e r The >rganization;s fiscal ear shall begin on the ,st da of %anuar and end on the 0,st da of 3ecember. Section 2 #ener ! $eetin%s @eneral meetings will be held at least one time per ear, at a time and place to be announced at the previous meeting if possible. If not, all members will be notified b the #ecretar of the meeting date, time and location.

Section 3 &uoru' !t all official club meetings, a 5uorum 9defined as at least 0 members of the Board of 3irectors: will be re5uired in order to conduct an club business or decide an issues. Article IX Amen ments to the !" #a$s an Co e of Ethics


Section 1 In %anuar following the election of the "resident, the "resident shall appoint 9subject to !rticle ?I, #ection ,: a committee of at least 9.: members to review the B /aws and Code of 7thics for updating revisions. The committee shall report their findings to the Board of 3irectors. If changes are found necessar b the committee, then the Board of 3irectors shall follow the protocols as numerated in !rticle ?II, #ection C, and #ection ). Section 2 !dditional amendments to the B laws and Code of 7thics of the organization ma be proposed b the Board of 3irectors or b an member in good standing at a general meeting. Section 3 - !mendments must be presented in an electronic correspondence to the general membership a minimum of 0* da s prior to being voted upon. This vote ma be called b the "resident and be via a membership meeting or via an electronicall conducted vote via the club6s website. &ajorit vote of members present at designated meeting or electronic vote via the IBCC website shall pass amendments.

Article X Meets
Section 1 - >nce the Iowa Blue is recognized in the !merican "oultr !ssociation6s #tandard of "erfection,
a B /aws committee shall be formed to establish the structure of all club meets.

Article XI Dissolution
Section 1 - The organization ma be dissolved at an time b the written consent of not less than two' thirds 9.+0: of the members. In the event of dissolution, after pa ment of all just debts and liabilities of the organization, an remaining assets shall be donated to the !merican "oultr !ssociation.

This Code of 7thics of the Iowa Blue Chicken Club, Inc. is established as a means to promote professionalism and sportsmanship within the >rganization, as well as to protect and maintain the credibilit of the >rganization as a representative >rganization for the Iowa Blue Chicken Breed within the $nited #tates if !merica and with the !merican "oultr !ssociation.

Section 1 - 7ach member of the organization will compl with the recognized and accepted standards governing e2hibition and breeding for the !merican "oultr !ssociation. Section 2 - 7ach member shall breed with the breed6s standard, use, and breed characteristics in mind.

Article II / (portsmanli0e Con uct


Section 1 - 7ach member of the organization will e2hibit honest , integrit and conduct himself+herself in a civil and sportsmanlike manner in representing the club, in e2hibition, and in breeding+sales of the fowl. Section 2 - 7ach member should be willing to educate the public on the Iowa Blue Chicken breed and act as an ambassador of the breed at public functions. Section 3 - 7ach member of the organization will work in cooperation with other organizations and agencies for the benefit of the conservation of the breed. Section 4 - 4o member of the organization will behave in a manner that will discredit this organization and the "oultr communit . Section 5 - 4o member of the organization will e2press negativities or untruths towards other members, groups, or organizations. Section 6 !t no time shall the IBCC den membership based on race, religion, gender, or political affiliation. 4or shall an member be discriminated against based on the above listed criteria.
