    The Board has adopted a Majority Voting Policy stipulating that shareholders shall be entitled to vote in favor of, or withhold from voting for, each individual director nominee at a shareholders' meeting. Each of the nominees listed below has advised Management that he will be willing to serve as a director if elected. The Board must take formal action on the Nominations Committee's recommendation within 90 days of the date of the applicable shareholders meeting.

    The Board has adopted a Majority Voting Policy stipulating that Shareholders shall be entitled to vote in favor of, or withhold from voting for, each individual director nominee at a shareholders meeting. In an uncontested election of directors, if the number of Common Shares withheld for any nominee exceeds the number of Common Shares voted for the nominee, then, notwithstanding that such director was duly elected as a matter of corporate law, he or she shall tender his or her written resignation to the chair of the Board. The Board must take formal action on the Nominations Committees recommendation within 90 days of the date of the applicable shareholders meeting and announce its decision by press release. Each of the nominees listed below has advised Management that he will be willing to serve as a director if elected. Management does not contemplate that any of the nominees will be unable to stand for election and serve as a director, but should that circumstance arise for any reason, the persons named in the accompanying proxy may vote for another nominee or nominees in their discretion.
