1. Voice-Ring, Inc., ("Company") is a telecommunications carrier subject to the requirements set orth in !ection "#.$%%& o the 'e(eral Communications Commission)s (*'CC)s+) rules. Company has establishe( policies an( proce(ures to satis y compliance ,ith the 'CC)s rules pertaining to use, (isclosure an( access to customer proprietary net,or- in ormation (*C./I+) set orth in sections "#.$%1 et. seq. $. 0he Company recogni1es that C./I inclu(es in ormation that is personal an( in(i2i(ually i(enti iable, an( that pri2acy concerns ha2e le( Congress an( the 'CC to impose restrictions upon its use an( (isclosure, an( upon the pro2ision o access to it by in(i2i(uals or entities insi(e an( outsi(e the Company. 3. 0he Company has (esignate( a C./I Compliance 4 icer ,ho is responsible or5 (1) communicating ,ith the Company)s attorneys an(6or consultants regar(ing C./I responsibilities, requirements an( restrictions7 ($) super2ising the training o Company employees an( agents ,ho use or ha2e access to C./I7 (3) super2ising the use, (isclosure, (istribution or access to the Company)s C./I by in(epen(ent contractors an( joint 2enture partners7 (#) maintaining recor(s regar(ing the use o C./I in mar-eting campaigns7 an( (8) recei2ing, re2ie,ing an( resol2ing questions or issues regar(ing use, (isclosure, (istribution or pro2ision o access to C./I. #. Company employees an( agents that may (eal ,ith C./I ha2e been in orme( that there are substantial e(eral restrictions upon C./I use, (istribution an( access. In or(er to be authori1e( to use or access the Company)s C./I, employees an( agents must recei2e training ,ith respect to the requirements o !ection $$$ o the Communications 9ct an( the 'CC)s C./I Rules (!ubpart : o .art "# o the 'CC Rules). 8. ;e ore an agent, in(epen(ent contractor or joint 2enture partner may recei2e or be allo,e( to access or use the Company)s C./I, the agent)s, in(epen(ent contractor)s or joint 2enture partner)s agreement ,ith the Company must contain pro2isions (or the Company an( the agent, in(epen(ent contractor or joint 2enture partner must enter into an a((itional con i(entiality agreement ,hich pro2i(es) that5 (a) the agent, in(epen(ent contractor or joint 2enture partner may use the C./I only or the purpose or ,hich the C./I has been pro2i(e(7 (b) the agent, in(epen(ent contractor or joint 2enture partner may not (isclose or (istribute the C./I to, or allo, access to the C./I by, any other party (unless the agent, in(epen(ent contractor or joint 2enture partner is e<pressly an( speci ically require( to (o so by a court or(er)7 an( (c) the agent, in(epen(ent contractor or joint 2enture partner must implement appropriate an( speci ic sa eguar(s acceptable to the Company to ensure the con i(entiality o the Company)s C./I. I a customer calls Company requesting in ormation that is consi(ere( C./I, Company (oes not release such in ormation unless customer pro2i(es a pre-establishe( pass,or(, requests that the in ormation be sent to the customer)s a((ress o recor(, or Company calls the telephone number o recor( an( (iscusses the requeste( in ormation. =. >ithout customer appro2al, Company (oes not use, (isclose or permit access to C./I to pro2i(e or mar-et ser2ice o erings ,ithin a category o ser2ice to ,hich the customer (oes not alrea(y subscribe, e<cept as permitte( by the 'CC rules.

Company has establishe( a system by ,hich they can (etermine ,hether a customer has appro2e( or (isappro2e( o Company)s release or use o C./I prior to that in ormation being use( or release(. 11. Company personnel are traine( as to ,hen they are an( are not authori1e( to release or use C./I, an( 2iolation o these rules ,ill subject personnel to e<press (isciplinary action (inclu(ing reme(ial training, repriman(s, un a2orable per ormance re2ie,s, probation, an( termination), (epen(ing upon the circumstances o the 2iolation (inclu(ing the se2erity o the 2iolation, ,hether the 2iolation ,as a irst time or repeat 2iolation, ,hether appropriate gui(ance ,as sought or recei2e( rom the C./I Compliance 4 icer, an( the e<tent to ,hich the 2iolation ,as or ,as not (eliberate or malicious). 1$. I an( ,hen customer appro2al to use, (isclose, or permit access to customer C./I is (esire(, Company obtains such customer appro2al through ,ritten or oral metho(s (ho,e2er, ,e only utili1e the oral authori1ation to obtain limite(, one-time use o C./I or inboun( an( outboun( customer telephone contacts, an( such C./I authority, i grante(, lasts only or the (uration o that speci ic call). Company honors a customer)s appro2al or (isappro2al until the customer re2o-es or limits such appro2al or (isappro2al. 13. Company has establishe( a proce(ure ,hereby all sales personnel must obtain super2isory appro2al o any propose( outboun( mar-eting request or customer appro2al o the use o C./I an( recor(s re lecting carrier compliance ,ith the Commission Rules are maintaine( or a minimum o one year. 1#. .rior to any solicitation or customer appro2al, Company pro2i(es noti ication to customers o their right to restrict use o , or (isclosure o , an( access to the customer)s C./I. Recor(s o these noti ications are maintaine( or a perio( o at least one year. 18. Company)s noti ications pro2i(e in ormation su icient to enable our customers to ma-e in orme( (ecisions as to ,hether to permit the use or (isclosure o , or access to, their C./I. Company a(2ises its customers o the precise steps the customer must ta-e in or(er to grant or (eny access to C./I, an( that (enial o appro2al ,ill not a ect the pro2ision o any ser2ices to ,hich the customer subscribes.

'urther, a recor( o all instances ,here C./I ,as (isclose( or pro2i(e( to thir( parties or ,here thir( parties ,ere allo,e( access to C./I is maintaine( by Company. 0hese recor(s re lect a (escription o the campaigns, the speci ic C./I use( in the campaign an( ,hat pro(ucts or ser2ices ,ere o ere( as part o the campaign. 0hese recor(s are retaine( or a minimum o one year. 1&. Company maintains appropriate paper an(6or electronic recor(s that allo, its employees, in(epen(ent contractors an( joint 2enture partners to clearly establish the status o each customer)s 4ut-out an(6or 4pt-In appro2als (i any) prior to use o the customer)s C./I. 0hese recor(s inclu(e5 (i) the (ate(s) o any an( all o the customer)s (eeme( 4pt-out appro2als an(6or 4pt-in appro2als, together ,ith the (ates o any mo(i ications or re2ocations o such appro2als7 an( (ii) the type(s) o C./I use, access, (isclosure an(6or (istribution appro2e( by the customer. $%. ;e ore a customer)s C./I can be use( in an out-boun( mar-eting acti2ity or campaign, the Company)s recor(s must be chec-e( to (etermine the status o the customer)s C./I appro2al. Company employees, in(epen(ent contractors an( joint 2enture partners are require( to noti y the C./I Compliance 4 icer o any access, accuracy or security problems they encounter ,ith respect to these recor(s. I ne,, a((itional or e<ten(e( appro2als are necessary, the C./I Compliance 4 icer ,ill (etermine ,hether the Company)s *4pt-4ut C./I /otice+ or *4pt-In C./I /otice+ must be use( ,ith respect to 2arious propose( out-boun( mar-eting acti2ities. $1.
