User agreement The issuing of an invoice(s) to a customer (s) by 2324595 Ontario Inc.

, conducting its business under PalTel as business name is considered as part of this agreement and the payment of such invoice(s) by customer shall be construed as an acceptance. All invoices are due upon issuance date and have seven (7) days to be paid otherwise if such invoice(s) are not paid within the given period all or part of services may be terminated and discontinued without prior notice to the customer. Unless or except where we require payment by credit card only, you have the option to pay your Service Fees by credit card, debit card or by pre-authorized payment; and you hereby authorize us to charge the credit card or debit financial institutions account provided to us in payment for all outstanding Service Fees every time an invoice is rendered by us to you for the Service in accordance with the this agreement up to the full amount of the invoice. In the case of recurring payments by credit card, you must provide us with a valid credit card number and related required information at the time when you subscribe to the Service so that we can charge the credit card on recurring basis it is your responsibility to maintain the validity of your credit card. In the case of payment by recurring financial institution account debit, you must provide us with the particulars of the financial institution account to be debited (including without limitation the applicable transit number, institution number and account number) and related required information at the time when you subscribe to the Service so that we can debit the financial institution account on recurring basis. We may, at our discretion require that fill out, execute and send us to a pre-authorized payment form in a form provided by us to which you are directed. Charges for a service will commence on the date that the Service is ordered (the Order Date). Unless otherwise agreed to by you and us, we will bill you monthly using the credit card on the account. Invoices will be delivered by email to the primary email address associated with your Account. All communications for the purpose of billing or legal notice may be made by email or by delivery to your domicile, which shall be deemed to be the last billing and/or service address (es) that you have provided us Bundles: if the customer is on bundle and want to cancel any service of the bundle or the whole bundle any discount was given to the customer because of having a bundle will be invalid and the discount amount will be due immediately and customer will bear the normal price of the remaining service/s as individual service/ s. Prices for all services such as- but not limited to- DSL service, cable services, IPTV service, activation fees, number porting fees, shipping rates, moving frees, hardware prices, bundle prices are subject to be changed according to the companys policy without prior notice. Porting number; the company will offer the porting number service if applicable for a certain fee Shipping: customer will bear the shipping cost based on the company shipping rates and shipping availability; the company does not hold responsibility for any damage to the product caused by the carrier.

Cancellation: if for any reason the customer wants to cancel any service a written two weeks notice by the customer should be sent by email to Cancel@paltel.ca or to Billing@paltel.ca otherwise the customer will continue to be charge normally Any equipment, hardware, and device purchased from the 2324595 Ontario Inc. have full 1 year warranty; the warranty will not cover physical damage to equipment not consistent with normal wear and tear. As long as your internet services are active with us and the modem was purchased directly from us, we will troubleshoot any equipment troubles and will provide a replacement modem or receiver STB for the IPTV or Internet phone adapter or any device was purchased from the company free of additional cost within the warranty period and based on the above limitations. The defective modem must be returned to the company immediately otherwise the customer agrees and gives the right to the company to charge him for the replaced equipment Buy back, payback and returns; once the any device / hardware is purchased by the customer the company has the right not to buy back the hardware -or refund - and not to return the money back to the customer unless the device is under warranty maximum one year of purchasing date- if the defect is factory defect then the company is liable to switch the device with another working one and the warranty period shall not exceed the remaining period of the previous warrantee period. Disclosure; the company may disclose the personal information of the customer- subscriber such as the customers identity and the customer address and phone numbers and related information without the knowledge or consent of the customer when: A) Required to comply with a subpoena or warrant issued or an order made by a court, person or body with jurisdiction to compel the production of information, or B) To comply with rules of court relating to the production of records; or C) Made to a government institution or part of a government institution that has made a request for the information, identified its lawful authority to obtain the information and indicated that (1) It suspects that the information relates to national security, the defense of Canada or the conduct of international affairs, (2) The disclosure is requested for the purpose of enforcing and / or administrating any law of Canada, a province or a foreign jurisdiction, carrying out an investigation relating to the enforcement of any such law or gathering intelligence for the purpose of enforcing any such law. Disclaimer, Limitation of Liability and Indemnification; the customer (s) know and aware that the 2324595 Ontario Inc. does not own or manage certain equipment, routing, software, and programming used to provide the services and neither 2324595 Ontario Inc. nor its officers, directors or employees may be held liable for (i) Any claim, damage, fines, penalties, profit or loss, data loss, and estimated revenue as a result of service upstream, downstream and outage

Dialing 911 service the 2324595 Ontario Inc. provides a basic 911 type service and this service is like any other service provided by the company depends on the availability and stability of the internet service, customer/s understand, know and agree that the 911 calls may take longer time to reach emergency service providers than in the case of traditional 911 calls the 2324595 Ontario Inc. cannot be held liable getting and using this service and or its outages caused by any reason.

The customer hereby waives the company of any and all claims or causes of action, arising from or relating to any service outage and/or inability to dial 911 from the customers phone line or to access emergency service Even if 2324595 Ontario Inc. were to be found to be negligent or at fault, the company shall not be liable for more than a refund of the monies paid by Customer to it. The company makes no representation as to the merchantability or fitness for any purpose of the Phone or DSl or cable or IPTV service or any other service provided by it and ancillary derive to be provided to customer This agreement shall be governed by the laws of the province of Ontario, Canada, and in the event any litigation must be initiated to reinforce the terms of this agreement, said legal action must be brought in the courts of the Province of Ontario
