General Terms of Trade of IKEA Furnishing , Ltd.

, (GTT herein after) in connection with the Corporate Customer Service


About these General Terms These General Terms of Trade of IKEA Lakberendezsi Kft.( registered seat: 1148 Budapest, rs vezr sqr. 22.-Hungary, registered by the Metropolitan Court of Budapest under the registration number of: 01-09162734, tax number: (IKEA) become effective as of November 1, 2011. IKEA reserves the right to change and amend these General Terms of Trade at their own discretion. Any changes to the General Terms will be effective for all orders or purchase placed after the change is published. These General Terms and any modification is available on the website of IKEA (www.ikea.hu) and in each IKEA store (at the information desk in Workspaces department). By using the website and placing order either by e-mail or otherwise you agree to be bound to these General Terms. IKEA tries to make sure that all information on the website , at IKEA store as well as in these General Terms and any other document prepared by IKEA (including the acknowledgement or/and confirmation of order) are correct, however mistakes and errors are possible. IKEA reserves the right to modify of its commitments and statements due to obvious printing and other mistakes. You should also be aware that the products are subject to availability, IKEA reserves the right to stop selling products due to any unexpected problem or shortage of production. General Terms of Trade apply to registrations made and Purchases submitted from November 1, 2011. These General Terms are applicable for the relationship between IKEA and Corporate Customers regarding the following services with the following conditions: Corporate Customer Service Corporate Customer is a legal entity or any party, which is registered in the Companies Register, including business companies, and a natural persons having their own business on the strength of a trade license or other license under specific regulations, in each case those customer (further referred to as customer) who is not regarded as consumer according to the Hungarian law. At IKEA a Corporate Customer after having been registered in IKEA Business Programme may use the services of an Interior Consultant for planning a business space, order products by email via www.IKEA.hu, collecting and delivery of products. These services are charged according to the applicable price list and conditioned by membership in the IKEA business programme.

Should third party sub-contractor of IKEA provide transport of the goods, picking and assembly service to the customer in such case IKEA provides these services provided by a third party to a customer as the intermediary service.
Membership registration Membership registration in the IKEA BUSINESS programme (IBP herein after) may be realized through the IKEA website or personally in any IKEA store in Hungary in Workspaces department. When making the registration personally the Corporate Customers shall contact the department Workspaces at the IKEA store to fill in the Registration Form. When making online registration Corporate Customer must use the online form on the IKEA website and submit the registration. Registration form must be submitted by the mandatory legal representative (or by an authorized person). After the Registration form is filled and handed over or submitted online to IKEA the Corporate Customer is registered in the IBP. IKEA may demand valid certificate of registration issued by the relevant court/authority as well as the written authorization regarding the acting person. IKEA is entitled to check the data provided by Corporate Customers in the official register and if any discrepancies noticed IKEA is entitled to ask for additional data or documents to submit. IKEA has the right to suspend the membership

registration process until the documents are not submitted. Opening of a Customer Account Opening of the Customer account may be realised personally at any IKEA store or via email as follows: Opening the Customer account personally at IKEA store: Opening of a Customer Account is conditioned by registration of membership in the IBP and by submitting of a valid registration certificate (or as the case may be any other valid business license). For opening a Customer Account the customers representative shall fill in the Registration Form (Annex No. 1 GTT) at the Workspaces department of an IKEA store. Person acting on behalf of the customer should prove his or her authorization by original documents (such as: registration certificate/specimen or by written authorization duly signed by the customer in harmony with the applicable legal rules). Customer is regarded as the holder of the Customer Account. After having filled in the Registration Form the customer shall obtain a unique numerical code serving as the variable symbol for identification of their payments sent to the credit of IKEA account. Opening the Customer Account via e-mail: Opening of a Customer Account is conditioned by registration of membership in the IBP. Following documents have to be submitted by the Corporate Customer in pdf: valid registration certificate issued by the relevant court/authority, or any other official document which proves the existence and operation of a Corporate Customer valid specimen of the representative or/and the written authorization regarding the acting person IKEA is entitled at any time to ask the submission of any other documents which are in accordance of IKEAs judgment- necessary to indentify and check the legal existence and duly y operation of the Corporate Customer Terms of Use of the Customer Account It is possible to use the Customer Account for payments in all the IKEA stores in Hungary. The Customer Account may be used by the maximum of five authorized persons. The authorization (name, surname, copy of valid ID and address card) is granted by the holder of the

Customer Account. Changes of the Customer Account data or of the invoicing data may be realized solely by the holder of the Customer Account who shall do so either personally by the person duly authorised as regulated above at any IKEA store or via e-mail. . Any authorised person acting on behalf of the holder of the Customer Account is obliged to prove their identity with an ID and address card. The account may be used solely by the authorized person and the holder of the account. It is the account holders responsibility to keep IKEA updated if any of their data used for registration is changed including the data of the authorized persons. Account holder must warrant IKEA that he or she is duly authorized to hand over IKEA any data of third party authorized persons. During the validity of the Customer Account any notification (modification) in respect of the bank account can be made either personally at any IKEA Store or via e-mail by the authorised representative of the account holder by proving its identity by an ID and address card. Authorised person should present (or submit in pdf. ) the original copy of the authorisation. The Customer Account is kept in Hungarian forints. No any interest is earned on the Customer Account and paid by IKEA to a customer. Costs of the money transfer in Customer Account, if any , shall be covered by the customer IKEA holds no responsibility for possible misuse of the Customer Account and for the correctness of data provided by the customer. Terms of Payment To realize a purchase it is necessary to remit financial means at the amount corresponding to the value of the intended purchase in advance to the IKEA account administered by UniCredit Bank Ltd, Account No.: 10900028 00000005 04880067. The number of the Customer Account is the variable symbol. Order of the goods by the customer shall be binding on IKEA after customer receives Confirmation of order from IKEA. Payment by bank transfer does automatic reservation of a product not mean

IKEA cannot guarantee availability of products due to changes of the product range that may occur as a result of stoppage or interruption of sale of certain products. Shopping by e-mail When ordering goods through e-mail the following additional rules are applied: Customer should place the order indicating: data of the customer (name, address, telephone number, number of IKEA BUSINESS card and number of Customer account) name of the goods, article numbers, quantity and price (by using IKEA shoping list this is self-activating) place of delivery in Hungary other services needed under the Corporate Customer Service, if any The customer order is not binding for IKEA until the full purchase price and other costs, including shipping, is placed on the Customer Account and Confirmation of the order is being send by IKEA co-worker and confirmed by customer within 24 hours. Customer shall not be entitled to cancel the order after his confirmation of Order. Upon the Confirmation of order by the customer , as specified above, IKEA is entitled to deduct the full purchase price and other costs of the order from the Customer Account. Shopping in the IKEA Store personally It is possible to use the Customer Account for payments in all the IKEA stores in the Hungarian Republic with the exception of the Restaurant, Bistro and the department of Swedish specialities. After having proved their identity the Corporate Customer shall obtain a Waybill /A proof of the current balance of their money on the IKEA account/ at Workspaces department. The Corporate Customer shall use this Waybill when paying for goods at the checkout at the IKEA store. After having paid the Corporate Customer shall obtain a copy of the proof of purchase (with a note: Not a tax document). Within 10 workday at the latest they shall receive a clearing invoice (Tax Document), which shall be sent to the address specified in the Registration Form.

Terms of Guarantee Obligatory guarantee period for the goods as specified in the applicable legal rule is 12 months starting from the date of purchase. Returning Goods Without Giving a Reason, Complaints When returning some goods without giving a reason (within max. 120 days from the date of purchase if registered in IBP) or in case of a complaint the customer is obliged to submit the original invoice proving the purchase of the product. The financial amount for the returned goods or the goods under complaint and any other amount which is due to a customer in connection with its justified complaint shall be paid non-cash to the Customer Account administered by IKEA. Withdrawal or Cancellation of the Customer Account The financial means that have not been withdrawn shall be returned by bank transfer to the account specified in the registration Form or any other bank account notified by the account holder in harmony with these General Terms within a week from the date of purchase of the goods. In case the financial means have not been withdrawn the customer may ask, in writing, for them to be returned , In the case when the customer requires cancellation of the Customer Account will send the signed application (Annex No.2 GTT) to: IKEA Lakberendezsi Kft, Financial Department/IKEA BUSINESS., 1148 Budapest, rs vezr sqr. 22.-Hungary, Withdrawal or cancellation of the Customer Account has no impact on the customer's membership in the IBP. Cancellation of the IBP Membership In the case when the customer requires cancellation of their IBP membership, they may ask, in writing, for cancellation of the membership (Annex No.2 GTT). Please, send the signed application to: IKEA Lakberendezsi Kft, IKEA BUSINESS, 1148 Budapest, rs vezr sqr. 22.-Hungary, By cancellation of the IBC membership the Customer Account of the customer shall be automatically cancelled. The financial means that

have not been withdrawn shall be returned by bank transfer to the account specified in the registration Form or any other bank account notified by the account holder in harmony with these General Terms within thirty days from the date of delivery of the application. Personal Data Protection The customer's personal data stated in the Registration Form shall be processed by IKEA Furnishing Ltd. for the purposes of realization of the Customer Account. Upon signing the Registration form the customer agrees, the IKEA shall use personal data (such as name, address, bank account number, ID number, address card number, e-mail, telephone number and the products purchased) in order to provide the Corporate Customer Service to the customer and also for the customer satisfaction survey and for newsletters reports. The customer may at any time revoke their given consent by email at IKEA Contact Centre: ikea6.telc@ikea.com.

Revoking consent of handling their data the customers registration and Customer Account is automatically terminated The personal data shall be processed by the IKEA Furnishing Ltd ( 1148 Budapest rs vezr tere 22.)and by an external processor Cetelem esk republika a.s., Karla Englie 5/3208, 150 00 Praha 5, both automatically and manually and they shall not be transferred to other persons. Provision of personal data is voluntary.
