CONTRACT FOR CONSULTANTS SERVICES This CONTRACT is entered into by and between ___________________________________ (Consultant), duly licensed by the

Republic of the Philipppines, with residence address at ________________________________________________________ and __________(the Client) having its principal place of business at ______________. WHEREAS, the Client wishes to have the Consultant perform the Services herein referred to; WHEREAS, the Consultant is willing to perform these Services; NOW, THEREFORE, THE PARTIES hereby agree as follows: 1. Services Under the terms and conditions stated in this Contract, Consultant agrees to perform the following specific accounting services for the Client: Preparation of journals and ledgers Preparation of financial statements Preparation of financial reports Preparation of tax returns Other accounting related services as deemed necessary

2. Term This Contract shall be effective on ________________. It shall continue in effect or a period of 12 months unless sooner terminated as provided in this Contract. 3. Accountants Fee In consideration of the services to be performed by the Accountant, the Client agrees to compensate the Consultant for the services rendered with an amount of Two Thousand Seven Hundred Fifty Pesos (P2, 750.00) per month. This amount has been established based on the understanding that it includes any tax obligation that may be imposed on the Consultant. 4. Costs and Expenses The Client shall reimburse the Consultant any incidental costs and expenses the Consultant incurs in performing the services for the Client under this Contract such as photocopying and related expenses, document filing fees, notary fees and similar expenses. 5. Mutual Representations a. Representations by the Client: The Client represents and warrants that: (i) it will comply with applicable law in its use of Services;

(ii) execution, delivery, and performance of this Contract have been duly authorized and shall not conflict with any obligation of the Client whether arising by contract, operation of law, or otherwise; (iii) this Contract a valid, binding obligation of the Client; and (iv) the Client has all rights necessary and power necessary to appoint the Consultant as accounting agent. b. Representations by the Consultant: The Consultant represents and warrants that: (i) it will comply with applicable law in its use of Services; (ii) execution, delivery, and performance of this Contract have been duly authorized and shall not conflict with any obligation of the Client whether arising by contract, operation of law, or otherwise; (iii) this Contract a valid, binding obligation of the Consultant; and (iv) the Consultant has all rights necessary to provide the Services contemplated herein. 6. Confidentiality Any confidential information (including all technology, processes, trade secrets, contracts, propriety information) exchanged between the Consultant and the Client in connection of the performance of the Services shall be held by the Consultant in trust for the benefit of the Client only, and the Consultant will not divulge or authorize anyone to divulge during the term of this Contract, or any period thereafter, any information or knowledge acquired in the course of its performance. 7. Termination This contract may be terminated as follows:

(a) On notice: This contract may be terminated by either party by giving 30 days written notice to the other party. (b) On certain occurrence: This Contract shall terminate automatically on the happening of any of the following events: * Death of a party (c) For unsatisfactory performance: If the Client at any time becomes dissatisfied or has reasonable basis for dissatisfaction with the Consultant performance under this Contract, the Client may terminate this Contract immediately by giving notice in writing to the Consultant. The Client shall be the sole judge as to whether the performance of the Consultant is satisfactory. 8. Law Governing This Contract shall be governed by the laws of the Republic of the Philippines.
