3. P2RPOSES AND OB4ECTI5ES
It is re!orded that the Consortium has been "ormed "or the so$e and e&!$usi(e purpose o"
"ormu$ating and submitting a bid to the In(itation with a (iew to the Consortium being awarded the
2roe!t and e&e!uting the 2roe!t "or the C$ient in terms o" a mandate !on!$uded with the C$ient'
6. CO))ENCE)ENT AND D2RATION OF AGREE)ENT
This Agreement sha$$ !ommen!e on the E""e!ti(e Date and sha$$ therea"ter !ontinue unti$ su!h time
as the Consortium is "ina$$% in"ormed o" its "ai$ure to be awarded the 2roe!t# in whi!h e(ent this
Agreement sha$$ automati!a$$% terminate# or in the e(ent that the Consortium is awarded the 2roe!t
and appointed# unti$ the due e&e!ution o" the 2roe!t b% the Consortium or ear$ier termination o" the
2roe!t in a!!ordan!e with the mandate agreement to be !on!$uded between the C$ient and the
Consortium'
7. NAT2RE OF CONSORTI2)

genera$# their !apabi$ities to obtain and e&e!ute the 2roe!t in a!!ordan!e with their spe!i"i! s@i$$
and e&pertise and as agreed to between the 2arties prior to the !ommen!ement o" an% proe!ts
or tas@s on beha$" o" the C$ient as a resu$t o" the ConsortiumEs su!!ess"u$ appointment to the
2roe!t'

8. GENERAL RIGTS AND OBLIGATIONS OF TE PARTIES
1'4' Ea!h 2art% sha$$ at a$$ times disp$a% the highest degree o" goodwi$$ and bona fides towards the
others in a$$ matters re$ating to the Consortium'

the bid timeous$% to the C$ient "or and on beha$" o" the Consortium and in a!!ordan!e# as "ar
as is reasonab$% possib$e# with the In(itation but sube!t to the instru!tions and agreement b%
a$$ 2arties with the !ontents thereo"'
1'0' A$$ 2arties sha$$ !o operate "u$$% with ea!h other with a (iew to the preparation o" the bid
proposa$ to the C$ient# it being spe!i"i!a$$% re!orded and agreed that it is the intention o" the
2arties that the Consortium be appointed b% the C$ient "or the 2roe!t'
1'-' Bo 2art% sha$$ ha(e a !$aim o" an% nature whatsoe(er against an% other member o" the
Consortium in the e(ent that the Consortium is# "or an% reason at a$$# not awarded the 2roe!t
as !ontemp$ated in the In(itation'
1'.' ABC or its nominee is hereb% authorised to e&e!ute a$$ do!umentation "or and on beha$" the
Consortium "or the purposes o" submitting the tender o" the Consortium to the C$ient in
response to the In(itation'
1'>' Cube!t to !$ause 44'+ (Financial Provisions)# an% and a$$ o""i!ia$ !orresponden!e with or
destined "or the C$ient emanating "rom an% member o" the Consortium sha$$ on$% be
dispat!hed to the C$ient through the o""i!es o" the )ead *ember and an% o""i!ia$
!orresponden!e "rom the C$ient sha$$ on$% be !hanne$$ed through the )ead *ember in order
that the a""airs and wor@ o" the Consortium and its re$ationship with the C$ient ma% proper$% be
managed' =ithout derogating "rom the abo(e# the 2arties ma% agree that an% o" the other
2arties ma% !onta!t the C$ient dire!t$% where su!h !onta!t is re9uired "or purposes o"
e&e!ution o" the 2roe!t and pro(ided that the )ead *ember has du$% in"ormed the C$ient that

Committee)# in writing o" the nature o" su!h !on"$i!t o" interest'
1',' Ea!h 2art% sha$$ at a$$ times ma@e a "u$$ dis!$osure o" in"ormation re$ating to the a""airs o" the
Consortium to the other 2arties# in!$uding the "urnishing o" a!!ounts and e&p$anation o" an%
matters when reasonab$% re9uested to do so'
1'1' Ea!h 2art% sha$$ at a$$ times pun!tua$$% pa% its debts and re"rain "rom an% !ondu!t and a(oid
an% pro!eedings whi!h might $ead to the atta!hment o" an interest in the Consortium'
1'4/' Bo 2art% sha$$# without the prior written !onsent o" the other 2arties# bind the Consortium as
suret% "or an% bod% or entit% or otherwise en!umber the interests o" the Consortium'
1'44' Ea!h 2art% agrees to !o3operate "u$$% and in good "aith and to p$a!e at the disposa$ o" the
Consortium the bene"its o" its e&perien!e# te!hni!a$ @now$edge and e&perien!e# and to use its
best endea(ours to a!hie(e the obe!ts o" the Consortium as stated in this Agreement'
1'4+' Ea!h 2art% sha$$ !arr% out di$igent$% and pun!tua$$% a$$ the duties that su!h 2art% is ob$iged to
!arr% out and per"orm in terms o" this agreement and sha$$ where reasonab$% re9uested b%
the 2roe!t Committee re"erred to in !$ause 4/ (Project Committee)# pro(ide reasonab$e
assistan!e !ommensurate with its e&pertise and s@i$$s to other members o" the Consortium in
the dis!harge o" its respe!ti(e ob$igations'
1'40' A$$ 2arties sha$$# in re$ation to the 2roe!t# not be entit$ed to o""er their ser(i!es to an% person#
entit% or organisation other than as a member o" the Consortium'
1'4-' A$$ wor@ !arried out b% ea!h 2art% sha$$ not under an% !ir!umstan!es whatsoe(er be uti$iAed
b% an% member o" the Consortium other than e&!$usi(e$% "or the bene"it o" the Consortium in
respe!t o" the 2roe!t without the prior written !onsent o" a$$ 2arties and the C$ient# as
re9uired in terms o" !$ause 4? (Confidentiality)'
19. )ANAGE)ENT OF TE CONSORTI2)
4/'4' The Consortium sha$$ be managed b% a 2roe!t Committee !onsisting o" 4 (FBE) representati(e
"rom ea!h 2art% as nominated and appointed "rom time to time b% the 2arties# whi!h
representati(es sha$$ a!t as proe!t managers "or the purposes o" per"orming the 2roe!t and
managing the ro$es and duties o" the respe!ti(e 2arties# and the 2arties agree to !omp$% with
and adhere to the dire!tions and instru!tions o" the 2roe!t Committee# where su!h instru!tions

and dire!tions are issued in good "aith and with the intention o" ensuring that the 2roe!t is
!arried out a!!ording to the instru!tions o" the C$ient and the pro(isions o" the mandate
agreement with the C$ient'
4/'+' The 2roe!t Committee sha$$ meet "rom time to time as ma% be agreed upon# but in the absen!e
o" agreement# sha$$ meet at $east on!e a month# during the "irst wee@ o" ea!h !a$endar month
with e""e!t "rom the "irst !a$endar month !ommen!ing a"ter the E""e!ti(e Date# whi!h meeting
ma% be !on(ened b% an% o" the 2arties b% written noti!e to the other 2arties'
4/'0' The 2roe!t Committee sha$$ operate through mutua$ !onsent o" a$$ the 2arties'
4/'-' Cube!t to this !$ause 4/# the 2roe!t Committee sha$$ be entit$ed to regu$ate its wor@ings and
a!ti(ities in its own dis!retion'
11. FINANCIAL PRO5ISIONS
44'4' The Consortium wi$$ !harge the C$ient the "ees and disbursements as set out in the "inan!ia$
proposa$ !ontained in the bid proposa$ submitted b% the Consortium to the C$ient in response
to the In(itation# and it is re!orded that su!h "ees and disbursements are the ma&imum "ees
and disbursements whi!h the Consortium is entit$ed to !harge the C$ient "or ser(i!es
rendered# un$ess a !ontrar% agreement is rea!hed with the C$ient regarding "ees and
disbursements'
44'+' The 2arties agree to in(oi!e the )ead *ember "or their respe!ti(e !harges "or "ees and
disbursements# and the )ead *ember sha$$ !onso$idate the respe!ti(e "ees (in!$uding a$$
disbursements) o" the 2arties and pro(ide the C$ient with a sing$e in(oi!e "or "ees (in!$uding
a$$ disbursements) pa%ab$e to the )ead *ember on beha$" o" Consortium on the a!hie(ement
o" predetermined pa%ment mi$estones b% the Consortium' The )ead *ember o" the
Consortium# a"ter ha(ing re!ei(ed pa%ment "rom the C$ient in terms o" the pro(ided in(oi!e#
sha$$ within 4/ (TEB) wor@ing da%s# pa% b% e$e!troni! trans"er into the respe!ti(e ban@
a!!ounts nominated b% the 2arties# the amount "or "ees and disbursements in(oi!ed b% ea!h
2art% to the )ead *ember'
44'0' 2a%ment b% the )ead *ember o" the amount in(oi!ed b% ea!h respe!ti(e 2art%# sha$$ be
deemed to be a "u$$ dis!harge o" the respe!ti(e 2art%Es portion o" the re(enues a!!ruing to the
Consortium "rom time to time "or ser(i!es rendered to the C$ient# and no 2art% sha$$ be
entit$ed to re!ei(e an% amounts in e&!ess o" these amounts'
44'-' Ea!h part% sha$$ be $iab$e "or their own operating and running !osts# in!$uding but not $imited
to tra(e$ and a!!ommodation !osts in!urred in the e&e!ution b% the 2art% o" its duties in terms
o" this Agreement'

between the 2arties'
44'>' The 2arties sha$$ not be $iab$e to ea!h other "or an% !osts or e&penses in!urred in the
preparation or pro(isioning o" assistan!e in the preparation o" the bid to be submitted b% the
Consortium in response to the In(itation'
12. PROFESSIONAL INDE)NIT: INS2RANCE
Ea!h 2art% hereb% warrants that it is the bene"i!ia$ ho$der o" pro"essiona$ indemnit% insuran!e
!o(er on su!h $e(e$s and terms as are ade9uate to honour the ob$igations o" that 2art% in terms o"
this Agreement# the !osts whereo" sha$$ be "or the a!!ount o" that 2art%'
1!. S2BCONTRACTING
40'4' Botwithstanding an%thing to the !ontrar% !ontained in this Agreement or an%where e$se the
Consortium sha$$ be entit$ed but not ob$iged# to engage the ser(i!es o" whate(er
sub!ontra!tors# !onsu$tants or e&perts the !onsortium deems "it on su!h terms and !onditions
that the Consortium deems "it "or the purposes o" !arr%ing out or assisting with the !arr%ing
out o" the 2roe!t# pro(ided that a$$ the 2arties ha(e !onsented to su!h engagement and the
terms and !onditions o" su!h engagement and pro(ided "urther that the terms and !onditions
o" su!h engagement sha$$ be binding on a$$ the 2arties'
40'+' In pro!uring the engagement o" the ser(i!es o" an% person as !ontemp$ated in 40'4# the
Consortium sha$$ ensure that the terms and !onditions o" su!h engagement !ontain an
appropriate indemnit% in "a(our o" a$$ members o" the Consortium against a$$ !$aims b% an%
third part%'
10. INDE)NIT:
In addition to and without preudi!e to an% other indemnit% or ob$igation !ontained or

b% the 2roe!t Committee sha$$ be redu!ed to writing and sha$$ be binding on the 2arties'
4.'0' I" the 2arties are unab$e to reso$(e an% dispute within +4 (T=EBTH3FBE) wor@ing da%s o"
re"erra$ to the 2roe!t Committee# either 2art% ma% re"er the dispute "or arbitration# whi!h
arbitration sha$$ be sha$$ be !ondu!ted b% an arbitrator appointed b% the Arbitration Foundation
