UPON EXECUTION OF THIS AGREEMENT AND PRIOR TO OR SIMULTANEOUSLY
WITH THE FIRST TRANSACTION, WE GUARANTEE THAT THIS MASTER FEE
PROTECTION AGREEMENT AND IRREVOCABLE CORPORATE PAYMENT ORDER
WILL BE LODGED WITH THE BANK AND/OR PAYING BANK. WE FURTHER
AUTHORIZE THE BENEFICIARIES LISTED HEREIN, TO LODGE THIS IPPA WITH THE
PAYMASTERS BANK AND SUCH LODGING SHALL BE WITH THE SAME FORCE
AND EFFECT AS IF THE INVESTOR HAD DONE SO. INVESTOR WAIVES ALL
DEFENSES.

The undersigned, (Investor) does hereby indemnity guarantee with full
individual and/or corporate responsibility and authority under penalty of perjury
to provide consultancy indemnity profit participation fee/pay protection of FIVE
PERCENT (5.0%) of the face value of the Gross Private Investment
proceeds/profits of each and every tranche of this transaction described above
including any/all rolls and extensions thereof payable to the beneficiaries named
herein for Five Years(5).

Without protest or delay, such payment shall be wire transferred less any bank
charges for the said expense and free of all local and national taxes and liens to
the extent legally permissible.

This payment order is irrevocable, unchangeable, unconditional, divisible and
transferable. This instruction is valid for any/all rollovers, extensions, renewals or
additions to the above referenced transaction, and any new contracts for
purchase of securities, for buy-sell trading or transactions between the Investor,
[including any affiliate] and Lender/Trader, for a period of Five (5) years. In the
event that a death occurs of any intermediary, consultant, and/or individual being
compensated on this agreement, compensation will be designated to their
beneficiaries.

If Investor does not provide evidence to each intermediary group by the end of
the business day EDT that the first tranche is completed that he has lodged this
irrevocable FPA with his bank, then any intermediary group may do so with the
same force and effect as if the Investor had done so.

The transaction code may be amended only by agreement between all the
parties hereto signed and notarized by each intermediary group.

This transmission via facsimile or e-mail will be accepted as an original, and the
Investor will confirm that he has the power to execute this pay order.

It is understood, that all parties herein involved are considered to be bound by
international standard of non-circumvention / non-disclosure as governed by the
international chamber of commerce, and if subject to litigation to the laws of the
involved countries.

This document does not constitute an offer or solicitation of an offer. The receipt
of this document constitutes this acknowledgement on the part of the recipients
hereof that the transactions herein are not to be in violation of existing
regulations and law and all parties herein are bound to obey and be in
compliance with all regulations and law as related to private placement
transaction herein.

This IPPA shall apply to all transactions between this Lender/Trader and
Investor, including either principals affiliates, nominees, agents or assigns and
shall apply to all renewals, rollovers, extensions, leverage, introduction of new
clients by current client, loans, etc.

This IPPA shall also apply to any Investment Opportunity that has been facilitated (to
include the buying/selling of bank instruments and/or bonds and/or lines of credit and/or
private placement opportunities)

THE CONSULTANT BANK SHALL PROVIDE THE BENEFICIARIES BY FAX
OR EMAIL OF ALL PAYMENT INSTRUCTIONS AND DOCUMENTATION
UPON THE CLOSING OF EACH AND EVERY TRANSACTION OF THE ABOVE
TRANSACTION.

All disputes arising hereunder shall be resolved by binding non appeal able
arbitration in New York, New York or Switzerland under the rules of the AAA. The
prevailing party shall recover his attorneys fees, expenses, costs and treble
damages, together with prejudgment interest, compounded annually at the rate
of 20%.


UNDER NO CIRCUMSTANCES WHATSOEVER MAY THE INVESTOR
WITHDRAW THIS IRREVOCABLE PAY ORDER OR OTHERWISE INSTRUCT
ITS BANK TO DISHONOR ANY PAYMENT DEMAND HEREUNDER BY ANY
PAYMASTER OR BENEFICIARY. ALL PARTIES AND BENEFICIARIES TO
THIS AGREEMENT ARE THIRD PARTY BENEFICIARIES TO THE
UNDERLYING FINANCIAL INSTRUMENTS PURCHASE CONTRACT
BETWEEN THE PRINCIPALS.
