I ndian Oil began operation in 1959 as I ndian Oil Company Ltd. The I ndian Oil Corporation
was formed in 1964, with the merger of I ndian Refineries Ltd.
I ndian Oil Corporation Limited, or I ndian Oil, is an I ndian state-owned oil and gas
corporation with its headquarters in New Delhi, I ndia. The company is the world's 98th
largest public corporation, according to the Fortune Global 500 list, and the largest public
corporation in I ndia when ranked by revenue. I ndian Oil and its subsidiaries account for a
47% share in the petroleum products market, 34% share in refining capacity and 67%
downstream sector pipelines capacity in I ndia. The I ndian Oil Group of Companies owns and
operates 10 of I ndia's 21 refineries with a combined refining capacity of 65.7 million metric
tons per year. President of I ndia owns 78.92% in the company. in FY'11 I OCL sold 64.1
million tonnes of petroleum products and reported a PBT of Rs.9096 Crore, & Govt of india
earned an excise duty of Rs.25789.90 crore and tax of Rs.1650 Crore. I t is one of the five
Maharatna status companies of I ndia ,apart from Coal I ndia Limited, NTPC Limited, Oil and
Natural Gas Corporation and Steel Authority of I ndia Limited.
I ndian Oil operates the largest and the widest network of fuel stations in the country,
numbering about 19,463. I t has also started Auto LPG Dispensing Stations . I t supplies
I ndane cooking gas to over 62.4 million households through a network of 5,456 I ndian
distributors. I n addition, I ndian Oil's Research and Development Center at Faridabad
supports, develops and provides the necessary technology solutions to the operating divisions
of the corporation and its customers within the country and abroad.
The volatility in the crude market & subsidy burden on the I OCL has dented the company
performance like other PSU oil companies. Moreover, bureaucratic hurdles in projects are
hurting company advancement. I OCL has one of the best technical manpower for execution
of jobs.















Mr. R.S. Butola is the Chairman of Indian Oil Corporation Ltd., Indias flagship oil & gas
major and the largest commercial enterprise in India. He also heads IndianOils group
companies - Chennai Petroleum Corporation Ltd. and I OT I nfrastructure & Energy Services
Ltd. and industry organisations such as Petroleum Federation of I ndia.
I n a career spanning almost three decades, out of which two decades are in the hydrocarbon
industry, Mr. Butola has gained versatile experience in all facets of hydrocarbon industry
ranging from project development and execution to commercial closures.
At I ndianOil, Mr. Butola is spearheading an enterprise wide exercise aimed at strengthening
internal systems by optimising the supply chain and achieving zero process interruption. He is
navigating the Company in times of unprecedented challenges being faced by oil & gas
companies with particular focus on building bench strength in its core businesses besides
acquiring competencies to manage new businesses such as E&P, Nuclear energy, renewables,
etc.
Mr. Butola is widely travelled, an avid reader and an astute thinker in the energy industry with
a rare insight into both upstream and downstream sectors.

success right from inception in the year 1964. The Corporations objectives in this key
performance area are enshrined in its Mission statement: "to help enrich the quality
of life of the community and preserve ecological balance and heritage through a strong
environment conscience."

We at I ndianOil have defined a set of core values for ourselves Care, I nnovation,
Passion and Trust to guide us in all we do. We take pride in being able to claim
almost all our countrymen as our customers. Thats why, we coined the phrase,
IndianOil India I nspired", in our corporate campaigns. Public corporations like
I ndianOil are essentially organs of society deploying significant public resources. We,
therefore, are aware of the need to work beyond financial considerations and put in
that little extra to ensure that we are perceived not just as corporate behemoths that
exist for profits, but as wholesome entities created for the good of the society and for
improving the quality of life of the communities we serve.

Sharing Profits

Every year, I ndianOil sets aside a fixed portion of its profits for spreading smiles in
millions of lives across the country through a comprehensive community welfare and
development programme. About one-fourth of the community development funds are
spent on the welfare of Scheduled Caste and Scheduled Tribe beneficiaries.


I ndianOil has a concerted social responsibility programme to partner communities in
health, family welfare, education, environment protection, providing potable water,
sanitation, and empowerment of women and other marginalised groups. IndianOil has
always been in the forefront in times of national emergencies. I ndianOil People have
time and again rallied to help victims of natural calamities, maintaining uninterrupted
supply of petroleum products and contributing to relief and rehabilitation measures in
cash and kind.

I ndianOil Foundation:

The I ndianOil Foundation (I OF), a non-profit Trust was created in 2000 to protect,
preserve and promote the National Heritage, in collaboration with ASI and NCF of the
Government of I ndia. In the first phase, the following sites have been identified for
developing tourist friendly facilities in the monument complex:

Konark Sun Temple, Odisha in Eastern Zone
Vaishali, Bihar in Eastern Zone
Kanheri Caves, Maharashtra in Western Zone
Khajuraho, Madhya Pradesh in Central Zone
Warangal Fort, Andhra Pradesh in Southern Zone
The projects for developing tourist friendly facilities at the above sites are in various
stages of planning/execution.

The Corporation also supports a variety of endeavours in arts, culture, music and
dance, apart from organising programmes on its own under the banners of I ndianOil
Art Exhibition, I ndianOil Sangeet Sabha and I ndianOil Kavi Sammelan.

IndianOil Scholarship Schemes:
I ndianOil Educational Scholarship Schemes: I ndianOil awards 2600 scholarships to
meritorious students pursuing full-time courses in 10+/I TI , Engineering/Medical and
Business Administration to nurture and support talent among the deserving students
belonging to families with less than rupees one lakh as the gross joint annual income.
Out of which 50% are reserved for SC/ST/OBC students, 25% of the Scholarship is
earmarked for girl students and 10% for Physically Handicapped students.
IndianOil Scholarships Scheme for Graduate and Post-Graduate students: Under
the scheme total 600 scholarships (300 for Engineering, 200 for MBBS and 100 for

National Causes and Natural Calamities:
I ndianOil responds proactively to provide aid and relief to the victims of any natural
calamities like floods, tsunami, earthquake, cyclones etc. I ndianOil also contributes for
national causes in the benefit of the nation like setting up of educational institutions of
national importance like the Rajiv Gandhi Institute of Petroleum Technology to
promoting a cause like National Childrens Fund, Jansankhya Sthirtha Kosh etc.

Environment:
As part of its environment-protection initiatives, I ndianOil has invested close to Rs.
7,000 crore in state-of-the-art technologies at its refineries for production of green
fuels meeting global standards. To further reduce dependence on precious petroleum
products and secure the nations energy security, the Corporation is now in the process
of commercialising various options in alternative fuels such as ethanol-blended petrol,
biodiesel, and Hydrogen and Hydrogen-CNG.








I n our opinion, based on test check carried out by us, verification of records
produced to us and according to the information furnished to us by the
Company, its Company Secretary and Officers, the Company has complied
with the provisions of the Companies Act, 1956 (the Act) and Rules made
under the Act and the Memorandum and Articles of Association of the
Company with regard to:

1) maintenance of various Statutory Registers and documents and making
necessary entries therein;

2) filing of the requisite forms and returns with the Registrar of Companies,
Maharashtra, Mumbai and Central Government within the time prescribed
under the Act and rules made there under;

3) service of documents by the Company on its Members, Auditors,
Debenture holders and Debenture Trustees;

4) closure of Register of Members and Share Transfer Books of the Company
from 13th September, 2010 to 21st September, 2010 (both days inclusive);

5) convening and holding of the meetings of Directors and Committees of the
Directors including passing of the resolutions by Circulation;

6) convening and holding of 51st Annual General Meeting on 21st
September, 2010;

7) approval of shareholders obtained through Postal Ballot Process;

8) minutes of the proceedings of General Meeting and meetings of the Board
and its committees were properly recorded in loose leaf form, which are
being bound in book form at regular intervals;

9) appointment and remuneration of Auditors and Cost Auditors;

10) transfers and transmission of shares and issue and delivery of original and
duplicate certificates of shares: dematerialization / re-materialization of
shares;

11) composition and terms of reference of Audit Committee;

12) declaration and payment of dividend;

13) transfer of amounts due under the Act to the I nvestor Education and
Protection Fund;

14) payment of interest on debentures and redemption of debentures;

15) investment of Companys funds including inter corporate loans and
investments and investment and loans to others;

16) giving guarantees in connection with loans taken by subsidiaries and
associate companies;

17) borrowings and registration, modification and satisfaction of charges;

18) deposit of both the employees and employers contribution relating to
Provident Fund with the Trusts created for the purpose;


19)contracts, Common Seal, Registered Office, and publication of name of
the company; and

20) generally, all other applicable provisions of the Act and the Rules made
there under that Act.

21) The Company has complied with all the requirements under the Listing
Agreement executed with the Bombay Stock Exchange Limited and
.National Stock Exchange Limited except that of Clause 49(1)(A) pertaining
to the Composition of Board of Directors regarding 50% I ndependent
Directors on the Board of the Company;
